STAATSKOERANT, 27 AUGUSTUS 2010No.334897DEFINITIONS1.DefinitionsIn this Statute any word or expression to which a meaning has been assigned bythe Higher Education Act 1997 (Act No. 101 of 1997), as amended, has the samemeaning so assigned to it, and unless the context otherwise indicates:"absolute majority" means 75% of the total number voting in the body concerned;"academic employee" means any person appointed to teach or to do research atthe University and any other employee designated as such by the Council of theUniversity;"Act" means the Higher Education Act, 1997 (Act No.1 01 of 1997), as amended;"certificate" means a certificate of the University awarded to a student oncompletion of the work prescribed for the certificate by the Senate;"Chancellor" means the person contemplated in paragraph 4 of this Statute andSection 26(1) of the Act;"Convocation" means the convocation of the University contemplated inparagraphs 46 to 51 and Section 26(2) of the Act;"Council" means the Council of the University contemplated in paragraph 20 ofthis Statute and Section 20 of the Act;"days" includes Saturdays, Sundays and public holidays;"degree" means a degree of the University conferred upon a student oncompletion of a programme of study prescribed for the degree by the Senate;"diploma" means a diploma of the University awarded to a student on completionof a programme of study prescribed for the diploma by the Senate;"diplomate" means a person who has obtained a diploma of the University;"donor" means a person, body or entity who has made a donation to theUniversity, which, in the opinion of the Council, warrants that person, body or entitybeing recognised as a donor as contemplated in paragraph 57 of this Statute;"employer" means the Council of the University;"entity" means any organisation, forum or body and includes any organisationalstructure provided for in the Act and this Statute or determined by the Council;"examination" means any test or assessment including any written or oralassessments;1

8No. 33489GOVERNMENT GAZETTE, 27 AUGUST 2010"executive management" means the rectorate and any other officer who may sobe co-opted;"faculty" means a planned cluster of learning programmes, qualifications, curriculaor modules, so clustered for the purposes of effective management andenhancement of the quality of the academic programmes of the University andincludes the personnel appointed to perform the tasks pertaining to the work in thefaculty;"graduate" means a person upon whom a degree has been conferred;"graduate of the University" means a person upon whom the University hasconferred a degree;"institutional forum" means the institutional forum contemplated in paragraph 43of this Statute and section 31 of the Act;"majority" means half the total number of members plus one of the voting bodyconcerned (50% 1);"Minister" means the Minister of Education;"non-academic staff' means any employee who is not an academic staff;"office bearer" means a functionary provided for in the Act or determined by theCouncil;"officer of the University" means a member of the staff of the University;"postgraduate" means any student who is registered for any qualification forwhich the minimum admission requirement is a Bachelor's degree or equivalent;"professor" means an academic employee who has been given the title ofprofessor by the University or by another University, but does not include anemeritus professor, associate, adjunct or assistant professor;"programme" a purposeful and structured set of learning experiences that leadsto a qualification;"qualification" means a certificate, a diploma or a degree;"recognised staff body" means a body organised by and among the staff torepresent their interests;"rectorate" means the Vice-Chancellor and Principal, Deputy Vice-Chancellors,and the Registrar;2

STAATSKOERANT, 27 AUGUSTUS 2010No.33489"registrar" means the officer contemplated in paragraph 16 of this Statute andSection 50(1) of the Act;"Rules" means the institutional Rules of the University made in terms of section 32of the Act and this Statute;"seat of the University" means the seat contemplated in paragraph 2(2) of thisStatute and section 65A of the Act;"senate" means the Senate of the University contemplated in paragraph 31 of thisStatute;"senior management" means for the purpose of section 31 (2)(a) of the Act, theVice-Chancellor and Principal, Deputy Vice-Chancellors, the Registrar, the deansof faculties and the administrative positions equivalent to the positions of the deansof faculties."simple majority" means the majority of votes cast, excluding abstentions;"SRC" means the Student Representative Council of the University contemplatedin paragraph 52 of this Statute and Section 35 of the Act;"Statute" means the Statute framed and in force as contemplated in Section 32 ofthe Act;"student" means any person who has registered for a qualification with theUniversity;"University" means the University of Limpopo.39

10No.33489GOVERNMENT GAZETTE, 27 AUGUST 2010UNIVERSITY2.Name, status, seat and powers of University(1)(2)The name of the University is the University of Limpopo.The seat of tl1e University, is Turl:loop Campus, Mankweng, in thePolokwane Municipality.(2.1) The University conducts its academic activities at its other campuses atMedunsa and Edupark.(2.2) The official address of the University is University of LimpopoTurfloop CampusLimpopo ProvincePrivate Bag X1106Sovenga0727(3)(4)(5)(6)(7)3.The University is a juristic person as contemplated in section 20(4) of theAct and is capable of performing all functions in relation thereto.Notwithstanding subparagraph (3), the University may not, without theconcurrence of the Minister, dispose of or alienate in any manner, anyimmovable property acquired with the financial assistance of the State orgrant to any person any real right therein or servitude.The University may confer degrees and honorary degrees and awarddiplomas and certificates in its own name as contemplated in section 65Band 65C of the Act.It is recorded that the University is formed as a result of the merger of twoformer separate institutions of higher education being the University of theNorth and the Medical University of Southern Africa.It is further recorded that the activities of the merged institution will continueat the campuses of the institution and beyond.Constitution of the UniversityThe University shall consist of:(1 )Office Bearers:(a)(b)(c)(d)(e)(f)(g)(h)the Chancellor;the Council;the Vice-Chancellor and Principal;the Deputy Vice-Chancellors;the Registrar;Executive Director or Directors;Head of Departments;a Convocation;4

STAATSKOERANT, 27 AUGUSTUS 2010(i)(j)(k)(I)(m)(n)(2)No.3348911the Institutional Forum;the faculties, the schools, and such other academic structures of theUniversity as may determined by Council;the academic employees of the University;the non-academic employees of the University;the SRC;the students of the UniversityNo vacancy in any of the officers contemplated in subparagraph (1) nor anyvacancy or deficiency in the number or defect in the composition of thebodies contemplated in subparagraph (2) impairs or affects the existence ofthe University as a juristic person or any function or powers conferred uponthe body or the University by this Statute or by the Act.CHANCELLOR4.Powers, duties and functions(1)(2)(3)(4)5.The Chancellor is the titular head of the University with no executivepowers.The Chancellor, presides at all congregations of the University and confersall degrees and awards all diplomas and certificates in the name of theUniversity.The Chancellor performs such other functions as assigned to him or her bythe Council.The Chancellor must at all times embody the aspirations and values of theUniversity and actively advance the interests of the University.Election and Appointment of the Chancellor(1)The Chancellor is elected by the Council in the following manner(a)(b)(c)(d)(e)(f)The Chairperson of the Council determines the date on which ameeting of the Council is to be held for the purpose of electing aChancellor;The Secretary to the Council gives due notice to the members ofCouncil of the date, time and venue for the meeting contemplated insubparagraph (1 )(a);The Secretary to the Council invites office bearers contemplated inparagraph 3(1) to submit nominations for the office of the Chancellor;The nominations contemplated in subparagraph (1 )(c) must reachthe Secretary to the Council at least 20 working days before themeeting contemplated in subparagraph (1 )(b);The nominations contemplated in subparagraph (1 )(c) must be inwriting and must include the nominee's written consent and asuccinct curriculum vitae;The Secretary to the Council must, within five working days after theclosing date for nominations, inform members of Council and theInstitutional Forum in writing of the nominations received;5

12No. 33489GOVERNMENT GAZETTE, 27 AUGUST 2010(g)(h)(i)(j)(2)6.A special meeting of the Institutional Forum must be held before themeeting contemplated in subparagraph (1 )(b) for purposes ofconsidering the nominations and advising the Council prior to theCouncil meeting on the appointment of a candidate to the office ofChancellor;The Chancellor is elected by secret ballot and a majority of themembers present at the meeting contemplated in subparagraph(1 )(b);If no candidate receives a majority of votes, successive rounds ofvoting are held; andIn each successive round of voting the candidate receiving the fewestvotes is eliminated as a candidate.After the Council has elected a Chancellor, the name of the Chancellor isannounced by the chairperson of the Council.Term of office of the Chancellor(1)(2)(3)(4)(5)The Chancellor shall be elected for a period to be determined by theCouncil, but not exceeding five years, unless he or she tenders aresignation in writing to the Councilor vacates office for any other reasonbefore the end his or her term of office.The Chancellor is eligible for reappointment.The Chancellor may be removed from office by a resolution of a two thirdsmajority of the members of the Council on account of unbecoming conductor incapacity to perform the functions of the office.The resolution contemplated in subparagraph (3) may not be passed if theChancellor has not been given the opportunity to speak.The term of office of the Chancellor terminates in the event of(5.1) death or incapacity;(5.2) resignation; or(5.3) removal from office by Council as contemplated in subparagraph 6(3)of this Statute.7.Absence of the ChancellorIf the office of the Chancellor becomes vacant or the chancellor is absent or unableto perform his or her duties due to incapacity or any other reason, the ViceChancellor and Principal performs those powers, duties and functions.VICE-CHANCELLOR AND PRINCIPAL8.Powers, duties and functions(1)(2)The Vice-Chancellor and Principal is the academic, administrative andmanagement head of the University;The Council shall delegate to the Vice-Chancellor and Principal all thepowers necessary to perform his or her duties;6

STAATSKOERANT, 27 AUGUSTUS 2010(3)(4)(5)(6)(7)(8)(9)(10)(11)9.No. 3348913The Vice-Chancellor and Principal may in turn delegate duties to otheremployees or committees;The Vice-Chancellor and Principal is accountable to the Council;The Vice-Chancellor and Principal is a member of both Council and Senateand all their respective committees;The Vice-Chancellor and Principal serves as chairperson of Senate;The Council may assign additional functions, and grant additional powersand privileges to the Principal as contemplated in Section 68(2) of the Act;When the Vice-Chancellor and Principal is absent or unable to carry out hisor her duties, he or she may delegate all his or her powers and duties to amember of the Executive Management as contemplated in Section 68(3) ofthe Act;An acting Vice-Chancellor and Principal must be appointed by theVice-Chancellor and Principal for periods of absence of the Vice-Chancellorand such acting Vice-Chancellor has the same functions of the ViceChancellor and Principal;The Vice-Chancellor and Principal is responsible for the day-to-daymanagement and administration of the University and has all the powersnecessary to perform these functions.The Vice-Chancellor and Principal has the power to appoint acting officerssubject to the terms of this Statute.Appointment of Vice-Chancellor and PrincipalSubject to the Act, the advertising of the post of Vice-Chancellor and Principal, theinvitation for nomination of candidates, the search for suitable candidates, thecriteria for the short-listing of candidates and the interviewing and appointmentprocesses are determined by Council.10.Term of office of the Vice-Chancellor and Principal(1)(2)(3)The Vice-Chancellor and Principal holds office for such periods asdetermined by his or her contract.The appointment may be terminated during the period of office by sixmonths' notice. Any resolution by Council to give notice must be passed ata meeting of the Council by a majority vote consisting of not less than 75%of the members of Council.If the office of Vice-Chancellor and Principal becomes vacant or the ViceChancellor and Principal is absent or unable to perform his or her duties dueto incapacity or any other reason, the Council must (a)(b)appoint an acting Vice-Chancellor and Principal, after consultingSenate and the institutional forum, to act as the Vice-Chancellor andPrincipal until such time as a new Vice-Chancellor and Principal takesup his or her appointment, and;after consultation with the Senate and the institutional forum, appoint asuccessor.7

14No. 33489(4)11.GOVERNMENT GAZETTE, 27 AUGUST 2010An acting Vice-Chancellor and Principal has the same powers, duties andfunctions as the Vice-Chancellor and Principal.Delegation of dutiesThe Vice-Chancellor and Principal may delegate any of the powers assigned tohim or her by the Councilor the Senate to any officer of the University, exceptwhere the Councilor the Senate decides otherwise.12.AccountabilityThe Vice-Chancellor and Principal is accountable to the Council in respect of themanagement and administration of the University and to the Senate in respect ofacademic matters.DEPUTY VICE-CHANCELLOR13.14.Powers, duties and functions(1)The Deputy Vice-Chancellor is responsible for assisting the Vice-Chancellorand Principal in the management and administration of the University andhave the powers and duties conferred upon him or her by the Council, thisStatute, and the Institutional Rules and delegated to him or her by the ViceChancellor and Principal.(2)A Deputy Vice-Chancellor is a member of the Council and the Senate andtheir committees except that the Council may on good cause determine thatone or more Deputy Vice-Chancellors should not be a member of acommittee of the Councilor a joint committee of the Council and the Senate.(3)The Deputy Vice-Chancellor may delegate any of the powers assigned tohim or her by the Council to any officer of the University, except where theCouncil decides otherwise.(4)A Deputy Vice-Chancellor is accountable to the Vice-Chancellor
