TERMS & CONDITIONS Each bidder must be properly registered and conform to UPI buyers requirements.Cattle must be weighed on certified scales.All cattle are sold FOB the farm of origin.The Auctioneer reserves the right to reject any or all bids.If any disputes arise between two or more bidders, the Auctioneer may put the lot up for sale again andresell to the highest bidder. The decision of the Auctioneer shall be final. The record of the sale kept by the Auctioneer and Clerk will be taken as the final in the event of any dispute. Any purchase with a delivery date of more than 29 days from the date of sale will be required to make apartial payment of 50.00/hd within 7 days of sale. Acceptable payment is as follows: Payment must be received by UPI on the day after the cattle are receivedby the buyer. All payments must be made by either wire transfer, or a check sent by some form of overnightcarrier such as UPS, Fed Ex, etc. All fees incurred for wire transfer or overnight delivery will be at thebuyer’s expense. In the event of multiple day shipments, payments will be required on each day’s delivery,unless approved prior to first shipment. All payments are made in US Dollars. All payments will be made toUnited Producers Inc. general account.Overnight Delivery:United Producers Inc.8351 North High St, Suite 250Columbus Ohio 43235 Any announcements made during the sale will take precedence over the printed material.TRUCK LOAD LOTSAll cattle will be sold in truck load lots unless otherwise stated. The head count stated in the contract will be adjusted to fit thetrucks in order to keep the weight at contract specifications. If the cattle are heavier or lighter than estimated, the seller will adjustthe head count up or down to fit total represented weight in the contract. Seller is obligated to deliver headcount specified in thecontract. Failure to do so will result in a freight adjustment made by the seller based on the difference between contracted payweight and actual pay weight. Seller is responsible for freight adjustment for weight under 10% of the estimated weight stated inthe contract after headcount obligation has been met (not to exceed 50,000 pounds gross weight per truck). UPI reserves the rightto make an additional adjustment, charging the seller and compensating the buyer, for loss of value for number of cattle short ofcontracted headcount.TRANSFER OF TITLESeller warrants to UPI and the buyer that seller has good and marketable title to the livestock sold and that the livestock will bedelivered free from all security interests, liens or encumbrances. If said livestock are subject to a lien, security interest or chattelmortgage in favor of the party stated in the contract, this lien, security interest or encumbrance shall be satisfied by seller prior toor at delivery. Seller agrees to defend title to the livestock, indemnify and hold UPI and buyer harmless from any and all loss ordamage on account of any liens, encumbrances and other defects in the title. There are no warranties expressed or implied beyondwhat is expressly set forth in this contract. A delay in payment by buyer is not to be considered an extension of credit by UPI.LIEN OF UNITED PRODUCERS, INC.UPI shall have a lien for all expenses, commissions, and outlays of every sort, including legal expenses and counsel fees, and forall liabilities that shall be made or incurred by seller in connection with the consignment. As security for the commissions andexpenses of UPI, UPI shall have a general lien on all of the contracted cattle and all of the proceeds of the sale, including accounts,promissory notes, drafts and any other evidence of indebtedness arising out of any sale by UPI, on behalf of the seller. Buyeraccepts and hereby agrees title to all contracted cattle remains the property of UPI, and that the contracted cattle will not be resoldor reassigned to any other party, until UPI receives full payment from the buyer.RISK OF LOSSThe seller will be liable for loss of the cattle until they are loaded onto buyer’s trucks. UPI will deduct insurance to cover the cattleduring the time which we start sorting and loading the cattle this insurance is optional, it will deducted from the check unless awaiver is signed prior to the sale. The buyer assumes all risk of loss for the cattle after they are loaded on buyer’s trucks.BEEF INDUSTRY COUNCILUPI will act as agent for the Beef Industry Council and collect the mandatory 1.00 per head check off, and any additional checkoffs that are required by the state of origin. Seller agrees to have this fee deducted from proceeds of the sale.

INCIDENTAL EXPENSESSince January 1, 2015, all feeder cattle moved out of the state of origin must be accompanied by a Certificate of Health Inspectionfrom an accredited veterinarian. It is the Buyer’s responsibility to furnish necessary information at least 3 days prior to weighup in order to obtain certificate from the Seller. It shall be the Seller’s responsibility to pay for and provide the certificate or theinformation necessary to secure a certificate from the veterinarian.Seller is also responsible for incidental expenses such as but not limited to yardage, brand inspection and weighing charges.IN CASE OF BID DISPUTEIf any dispute arises between two or more bidders, UPI reserves the right to immediately put the lot up for sale again and resellto the highest bidder. The decision of UPI shall be final and absolute. All sale day information and changes announced will takeprecedence over any material printed prior to the sale.DELIVERYUPI will deliver only to the original buyer. This contract is not assignable. The agent representing UPI shall have the right atdelivery, to sort and reject any cattle that are not in good, strong, and healthy shipping condition. Unmerchantable cattle includebut are not limited to crippled, lame, deformed, bulls, stags, lump jaw, bad backs, locos, bad eyed, non-performers, unhealthycattle and shorts. Any cattle added to the cattle described in the contract after the date of the auction without the approval of thebuyer may not be accepted by the buyer.DELIVERY DATESIf uncontrollable circumstances such as weather, availability of trucks, death, etc. requires seller or buyer to request minor changesto the delivery dates outside of the contract delivery date range, UPI has the authority to make adjustments to accommodate theparticular circumstance.BUYER DEFAULTDefault shall exist if full and final payment is not received within one day from the date buyer takes possession of the livestockdescribed herein, or if the check given in payment for the livestock is dishonored, or upon the death, bankruptcy, or insolvencyof the buyer or upon the sale of said livestock without UPI’s written permission. Upon default, UPI, with or without notice, mayexercise any and all rights accorded to it by law and this contract, including, but not limited to the following: if buyer defaults,he will forfeit his 50.00 per head partial payment. The defaulting party shall be liable for actual and incidental damages as aredetermined by the Uniform Commercial Code, plus court costs and attorney’s fees, as well as to any available equitable relief.SELLER DEFAULTUpon sellers failure for any reason whatsoever to deliver to buyer all cattle purchased, seller shall promptly pay UPI allcommission owed. UPI will refund to the Buyer the total amount of the partial payment advanced by the buyer. The defaultingparty shall be liable for actual and incidental damages as are permitted by the Uniform Commercial Code, plus court costs andattorney’s fees, as well as to any available equitable relief.BUYERS TRUCKSThe agent representing UPI shall have the right to make any necessary adjustments concerning shrink at delivery if buyer’s trucksare not on time and cause any unnecessary shrinkage to sellers cattle. The buyer assumes responsibility and liability for loss forthe cattle upon loading on buyer’s trucks. Seller agrees to provide the labor to load the cattle on the trucks.CATTLE THAT ARE PASSED OVERSeller will be charged a 4.00 per head fee for cattle passed over.CONTRACTSUnited Producers Inc. reserves the right to sign the Livestock Contract on behalf of the Buyers and Sellers.
