Qualifications received by the correct time and date shall be opened and the offerorssubmitting shall be publicly read. All other information contained in the solicitation shall remain confidentialuntil award is made. This Solicitation is being done by the Buckeye Elementary School District No. 33 as a memberof the Strategic Alliance for Volume Expenditures “SAVE”. While this Proposal is for theBuckeye Elementary School District No. 33, other public entities have expressed interest inutilizing the resulting contracts. School District Procurement Rules A.A.C. R7-2-1191 throughR7-2-1195 authorizes and governs intergovernmental procurements. Any contract resultingfrom this solicitation shall be for the use of the consortium members. In order to participate inany resultant contract, a public entity must have entered into a cooperative purchasingagreement with the consortium. No volume is implied or guaranteed. Members of “SAVE”, agroup of schools/public entities have signed an intergovernmental agreement under such acooperative purchase agreement to obtain economies of scale. On the following pages is alist of current members in the Consortium who potentially may wish to utilize this contract.Other public entities in Arizona may be added during the term of the contract by SAVE withthe approval of the lead public entity and the contract vendor. DEFINITION OF TERMSA Complete list of definitions can be found in the Arizona Administrative Code R7-2-1001. The termslisted below are defined as follows:“Attachment” means any item the Solicitation requires the Offeror to submit as part of the submittal.“Contract” means the combination of the Solicitation, including the Special Instructions to Offeror,Special Terms and Conditions, and the Specifications and Statement or Scope of Work/Services; and anySolicitation Amendments (Addenda) or Contract Amendments; Purchase Orders and any terms appliedby law.Contract Amendment” means a written document signed by the Procurement Officer that is issued forthe purpose of making changes in the Contract.“Contractor” means any person who has a contract with the School District/public entity.“Cost” means the aggregate cost of all materials and services, including labor performed byforce account.“Days” means calendar days and shall be computed pursuant to A.R.S. 1-243 unless otherwisespecified.“Exhibit” means any item labeled as an Exhibit in the Solicitation or placed in the Exhibits section of thesolicitation.“Governing Body” means group comprised of elected or appointed officials, such as School DistrictGoverning Boards, City Councils, County Supervisors, Board of Regents, etc. which has the authority tomake fiduciary decisions for a Member organization.“Gratuity” means a payment, loan, subscription, advance, deposit of money, services, or anything ofmore than nominal value present or promised, unless consideration of substantially equal or greater valueis received.“Materials” means all property, including equipment, supplies. Printing, insurance and leases or propertybut does not include land, a permanent interest in land or real property or leasing space.“Member” Any entity part of (S.A.V.E.) Strategic Alliance for Volume Expenditures“Offer” means a response to a Request for Qualifications.“Offeror” means a person submitting an offer in response to a Request for Qualifications.“Person” means any corporation, business, individual, union, committee, club other organization orgroup of individuals.“Responsible Offeror” means a person what at the time of contract award has the capability to performthe Contract requirements with the integrity which will assure good faith performance.“Responsive Offeror” means a person who submits a Qualification or proposal which conforms in allmaterial respects to the Invitation for Qualifications or Request for Proposals.“Services” means the furnishing of labor, time or effort by a contractor or subcontractor which does notinvolve the delivery of a specific end product other than required reports and performance, but does notinclude employment agreements or collective bargaining agreements.Buckeye Elementary School District No. 33RFQ # 17-003 Job Order Contracting – General ContractorsPage 8 of 61

“Procurement Officer” means the person duly authorized to enter into and administer Contracts andmake written determinations with respect to the Contract or his or her designee.“Solicitation” means an Invitation for Qualifications (IFB), a Request for Proposals (IFB), or a Requestfor Quotations (RFQ).“Solicitation Amendment (or Addendum)” means a written document that is authorized by theProcurement Officer and issued for the purpose of making changes to the Solicitation.“Subcontract” means any Contract, express or implied, between the Contractor and another party orbetween a subcontractor and another party delegating or assigning, in whole or in part, the making orfurnishings of any material or any service required for the performance of the Contract.“School District/Public Entity” means the School District/public entity that executes the contract.Buckeye Elementary School District No. 33RFQ # 17-003 Job Order Contracting – General ContractorsPage 9 of 61

UNIFORM INSTRUCTIONS TO OFFERERS1.InquiriesA.B.Duty to Examine. It is the responsibility of each Offeror to examine the entire Solicitation,seek clarification in writing, and check its submittal for accuracy before submitting theQualification. Lack of care in preparing a Request for Qualification shall not be grounds forwithdrawing the submittal after the due date and time nor shall it give rise to any Contractclaim.Solicitation Contact Person. Any inquiry related to a Solicitation, including any requests foror inquiries regarding standards referenced in the Solicitation, shall be directed solely tothe Solicitation contact person. The Offeror shall not contact or direct inquiries concerningthis Solicitation to any other employee unless the Solicitation specifically identifies a personother than the Solicitation contact person as a contact.C.Submission of Inquiries. The Procurement Officer or the person identified in the Solicitationas the contact for inquires may require that an inquiry be submitted in writing. Any inquiryrelated to a Solicitation shall refer to the appropriate Solicitation number, page, andparagraph. Do not place the Solicitation number on the outside of the envelope containingthat inquiry since it may then be identified as an submittal and not be opened until after theQualification due date and time.D.Timeliness. Any inquiry shall be submitted as soon as possible and at least seven (7) daysbefore the Qualification due date and time. Failure to do so may result in the inquiry notbeing answered.E.No Right to Rely on Verbal Responses. Any inquiry that results in changes to theSolicitation shall be answered solely through a written Solicitation Amendment orAddendum. An Offeror may not rely on verbal responses to its inquires.F.Solicitation Amendments/Addenda. The Solicitation shall only be modified by a SolicitationAmendment or Addendum.G.Pre-Qualification Conference. If a pre-Qualification conference has been scheduled underthis Solicitation, the date, time, and location appear on the Solicitation cover sheet orelsewhere in the Solicitation. An Offeror should raise any questions it may have about theSolicitation or the procurement at that time. An Offeror may not rely on any verbalresponses to questions at the conference. Material issues raised at the conference thatresult in changes to the Solicitation shall be answered solely through a written SolicitationAmendment or Addendum.H.Persons with Disabilities. Persons with a disability may request a reasonableaccommodation, such as a sign language interpreter, by contacting the appropriateSolicitation contact person. Requests shall be made as early as possible to allow time toarrange the accommodation.I.Submittal Opening. Submittals shall be opened on the date and time, and at the placedesignated on the cover page of this document, unless amended in writing by the District.The name of each Offeror shall be read at this time. All Offers, any modifications andother information received in response to the Request for Qualifications shall o n l y b eshown to authorized District personnel having a legitimate interest in the evaluation. Aftercontract award, the Submittals and evaluation documents shall be open for publicinspection.J.Time Stamp. Submittals will be time stamped when received. to but no later than the time indicated in the Request for Qualifications (RFQ).Submittals received after the time stated in the RFQ will not be considered and willremain unopened. Offeror assumes the risk of any delay in the U.S. Mail. Whether sent bymail or by means of personal delivery, the Offeror assumes responsibility for having hisSubmittal deposited on time at the place specified.2.Submittal PreparationA.Forms: No Facsimile or Telegraphic Offers. A response shall be submitted either on theforms provided in this Solicitation or their substantial equivalent. Any substitute documentfor the forms provided in this Solicitation will be legible and contain the same informationrequested on the form. A facsimile, telegraphic or mailgram offer shall be rejected.B.Typed or Ink; Corrections. A response must be typed or in ink. Erasures, interlineations orother modifications in the submittal must be initialed in ink by the person signing the Offer.Modifications shall not be permitted after Qualifications have been opened except asotherwise provided under R7-2-1030.C.Signature(s) on Qualifications. The Offer and Contract Acceptance document within theSolicitation should be submitted with an original ink signature by the person authorized tosign the Offer. The signature shall signify the Offeror’s intent to be bound by theQualification and the terms of the Solicitation and that the information provided is true,accurate, and complete. Failure to submit verifiable evidence of an intent to be bound, suchas an original signature, may result in rejection of the Offer.D.Exceptions to Terms and Conditions. All exceptions included with the Offer shall besubmitted in a clearly identified separate section of the offer in which the Offeror clearlyidentifies the specific paragraphs of the Solicitation where the exceptions occur. Anyexceptions not included in such a section shall be without force and effect in any resultingContract unless such exception is specifically referenced by the Procurement Officer in awritten statement. The Offeror’s preprinted or standard terms will not be considered as apart of any resulting Contract. All exceptions that are contained in the Offer may negativelyaffect the solicitation evaluation based on the evaluation criteria as stated in theSolicitation or result in rejection of the Offer. No exceptions included in the Offer shallbecome part of the resulting Contract unless agreed and accepted to by the District.E.Cost of Offer Preparation. The District will not reimburse any Offeror the cost of respondingto a Solicitation.F.Solicitation Amendments/Addenda. Unless otherwise stated in the Solicitation, eachSolicitation Amendment or Addendum should be signed with an original signature by theperson signing the Qualification, and shall be submitted no later than the Qualification duedate and time. Failure to return a signed copy of a material Solicitation Amendment orAddendum or to follow the instructions for acknowledgement of the SolicitationAmendment/Addendum may result in rejection of the Qualification.G.Taxes.1.Federal Excise Tax - Arizona School Districts/Public Entities are exempt from certainFederal Excise Tax on manufactured goods.2.Transaction Privilege Taxes - Arizona School Districts/Public Entities are subject toall applicable state and local transaction privilege taxes. in Arizona include State, County and City taxes.3.Property Taxes - Arizona School Districts/Public Entities do not pay state property taxes.4.Taxes on Shipping - Transaction privilege tax may not be collected on delivery charges tothe District’s location if separately stated on the invoice.5.Payment of Taxes – The District is responsible for payment for all taxes listedon the invoice. Contractor is responsible for collection of such taxes and shall forwardall taxes to the proper revenue office.H.Provision of Tax Identification Numbers. Offeror’s are required to provide their ArizonaTransaction Privilege Tax number and/or Federal Employer Identification number, ifapplicable, in the space provided on the Offer and Acceptance Form.I.Identification of Taxes in Offer. School Districts/public entities are subject to all applicablestate and local transaction privilege taxes. If Arizona resident Offerers do not indicate taxeson a separate item in the Qualification, the School District/public entity will conclude thatthe price(s) offered includes all applicable taxes.J.Disclosure.
