AND ITS AFFILIATES,INCLUDING SYNOLOGY AMERICAN CORP AND SYNOLOGY UK LTD., (COLLECTIVELY, "SYNOLOGY") FOR ANYSYNOLOGY SOFTWARE, TOGETHER WITH ANY OTHER ASSOCIATED FIRMWARE, MEDIA, PRINTED MATERIALS AND"ONLINE" OR ELECTRONIC DOCUMENTATION (COLLECTIVELY, THE "SOFTWARE") AVAILABLE FOR DOWNLOAD ATWWW.SYNOLOGY.COM OR PROVIDED WITH OR INSTALLED ON A SYNOLOGY PRODUCT (THE "PRODUCT").YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY OPENING THE PACKAGE CONTAINING THESOFTWARE, INSTALLING THE SOFTWARE NOT OTHERWISE PRE-INSTALLED BY SYNOLOGY ON A PRODUCT OROTHERWISE USING A PRODUCT THAT INCLUDES PRE-INSTALLED SOFTWARE. IF YOU DO NOT AGREE TO THETERMS OF THIS EULA, DO NOT OPEN THE BOX CONTAINING THE PRODUCT, INSTALL THE SOFTWARE OR USE THEPRODUCT CONTAINING THE SOFTWARE. INSTEAD, YOU MAY RETURN THE PRODUCT TO THE RESELLER WHEREYOU PURCHASED IT FOR A REFUND IN ACCORDANCE WITH THE RESELLER'S APPLICABLE RETURN POLICY.Section 1. Limited Software License. Subject to theterms and conditions of this EULA, Synology grants you alimited, non-exclusive, non-transferable, personal license toinstall, run and use one copy of the Software on the Productsolely in connection with your authorized use of the Product.Section 2. Documentation. You may make and use areasonable number of copies of any documentation providedwith the Software; provided, that such copies will only beused for internal business purposes and are not to berepublished or redistributed (either in hard copy or electronicform) to any third party.Section 3. Backup. You may make a reasonable numberof copies of the Software for backup and archival purposes.Section 4. Updates. Any software provided to you bySynology or made available on the Synology web site atwww.synology.com ("Web Site") that updates orsupplements the original Software is governed by this EULAunless separate license terms are provided with suchupdates or supplements, in which case, such separate termswill govern.Section 5. License Limitations. The license set forth inSection 1 applies only to the extent you have ordered andpaid for the Product and it states the entirety of your rightswith respect to the Software. Synology reserves all rightsnot expressly granted to you in this EULA. Without limitingthe foregoing, you will not, and you will not authorize orpermit any third party to: (a) use the Software for anypurpose other than in connection with the Product;(b) license, distribute, lease, rent, lend, transfer, assign orotherwise dispose of the Software or use the Software in anycommercial hosted or service bureau environment;(c) reverse engineer, decompile, disassemble or attempt todiscover the source code for or any trade secrets related tothe Software, except and only to the extent that such activityis expressly permitted by applicable law notwithstanding thislimitation; (d) adapt, modify, alter, translate or create anyderivative works of the Software; (e) remove, alter orobscure any copyright notice or other proprietary rightsnotice on the Product; or (f) circumvent or attempt tocircumvent any methods employed by Synology to controlaccess to the components, features or functions of theProduct or Software.Section 6. Open Source. The Software may containcomponents licensed to Synology under the GNU GeneralPublic License ("GPL Components"), currently available athttp://www.gnu.org/licenses/gpl.html. The terms of the GPLwill control solely with respect to the GPL Components to theextent that this EULA conflicts with the requirements of theGPL with respect to your use of the GPL Components, and,in such event, you agree to be bound by the GPL withrespect to your use of such components.Section 7. Audit. Synology will have the right to audit yourcompliance with the terms of this EULA. You agree to grantaccess to Synology to facilities, equipment, books, recordsand documents and to otherwise reasonably cooperate withSynology in order to facilitate any such audit.Section 8. Ownership. The Software is valuable propertyof Synology and its licensors and is protected by copyrightand other intellectual property laws and treaties. Synologyor its licensors own all right, title and interest in and to theSoftware and all copyright and other intellectual propertyrights in the Software.Section 9. Limited Warranty. Synology warrants that for aperiod of ninety (90) days after either your (a) installation ofthe Software on Products that do not include pre-installedSoftware or (b) use of a Product that includes pre-installedSoftware, as applicable, (the "Warranty Period"), theSoftware will substantially conform to Synology's publishedspecifications for the Software, if any, or otherwise set forthon the Web Site. Synology will use commercially reasonableefforts to, in Synology's sole discretion, either correct anysuch nonconformity in the Software or replace any Softwarethat fails to comply with the foregoing warranty, provided thatyou give Synology written notice of such noncompliancewithin the Warranty Period. The foregoing warranty does notapply to any noncompliance resulting from any: (w) use,reproduction, distribution or disclosure not in accordancewith this EULA; (x) any customization, modification or otheralteration of the Software by anyone other than Synology;(y) combination of the Software with any product, services orother items provided by anyone other than Synology; or(z) your failure to comply with this EULA.Section 10.Support.During the Warranty Period,Synology will make available to you the support services.Following the expiration of the applicable Warranty Period,support for Software may be available from Synology uponwritten request.Section 11. Disclaimer of Warranties. EXCEPT ASEXPRESSLY SET FORTH ABOVE, SYNOLOGY AND ITSSUPPLIERS PROVIDE THE SOFTWARE "AS IS" ANDWITH ALL FAULTS. SYNOLOGY AND ITS SUPPLIERSHEREBY DISCLAIM ALL OTHER WARRANTIES,EXPRESS, IMPLIED OR STATUTORY, ARISING BY LAWOR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANYIMPLIEDWARRANTIESOFMERCHANTABILITY,FITNESS FOR A PARTICULAR PURPOSE OR USE, TITLEAND NONINFRINGEMENT, WITH REGARD TO THESOFTWARE. WITHOUT LIMITING THE FOREGOING,SYNOLOGY DOES NOT WARRANT THAT THESOFTWARE WILL BE FREE OF BUGS, ERRORS,VIRUSES OR OTHER DEFECTS.Section 12. Disclaimer of Certain Damages. IN NOEVENT WILL SYNOLOGY OR ITS LICENSORS BE LIABLEFOR THE COST OF COVER OR FOR ANY INCIDENTAL,INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL ORSIMILAR DAMAGES OR LIABILITIES WHATSOEVER(INCLUDING, BUT NOT LIMITED TO LOSS OF DATA,INFORMATION, REVENUE, PROFIT OR BUSINESS)ARISING OUT OF OR RELATING TO THE USE OR

INABILITY TO USE THE SOFTWARE OR OTHERWISEUNDER OR IN CONNECTION WITH THIS EULA OR THESOFTWARE, WHETHER BASED ON CONTRACT, TORT(INCLUDING NEGLIGENCE), STRICT LIABILITY OROTHER THEORY EVEN IF SYNOLOGY HAS BEENADVISED OF THE POSSIBILITY OF SUCH DAMAGES.Section 13. Limitation of Liability. SYNOLOGY'S ANDITS SUPPLIERS' LIABILITY ARISING OUT OF ORRELATING TO THE USE OR INABILITY TO USE THESOFTWAREOROTHERWISEUNDERORINCONNECTION WITH THIS EULA OR THE SOFTWARE ISLIMITED TO THE AMOUNT ACTUALLY PAID BY YOUFOR THE PRODUCT REGARDLESS OF THE AMOUNT OFDAMAGES YOU MAY INCUR AND WHETHER BASED ONCONTRACT, TORT (INCLUDING NEGLIGENCE), STRICTLIABILITY OR OTHER THEORY. The foregoing disclaimerof warranties, disclaimer of certain damages and limitation ofliability will apply to the maximum extent permitted byapplicable law. The laws of some states/jurisdictions do notallow the exclusion of implied warranties or the exclusion orlimitation of certain damages. To the extent that those lawsapply to this EULA, the exclusions and limitations set forthabove may not apply to you.Section 14. Export Restrictions. You acknowledge thatthe Software is subject to U.S. export restrictions. Youagree to comply with all applicable laws and regulations thatapply to the Software, including without limitation the U.S.Export Administration Regulations.Section 15.U.S. Government License Rights.AllSoftware provided to the U.S. Government is provided withthe commercial license rights and restrictions described inthis EULA. By installing, copying or using the Software, theU.S. Government agrees that the Software is "commercialcomputer software" or "commercial computer softwaredocumentation" within the meaning of FAR Part 12.Section 16. Termination. Without prejudice to any otherrights, Synology may terminate this EULA if you do not abideby the terms and conditions contained herein. In such event,you must cease use of the Software and destroy all copies ofthe Software and all of its component parts.Section 17. Assignment. You may not transfer or assignyour rights under this EULA to any third party. Any suchtransfer or assignment in violation of the foregoing restrictionwill be void.Section 18. Applicable Law. Unless expressly prohibitedby local law, this EULA is governed by the laws of the Stateof Washington, U.S.A. without regard to any conflict of lawprinciples to the contrary. The 1980 U.N. Convention onContracts for the International Sale of Goods or anysuccessor thereto does not apply.Section 19. Dispute Resolution. Any dispute, controversyor claim arising out of or relating to this Warranty, theSoftware or services provided by Synology with respect tothe Software or the relationship between you and Synologywill be resolved exclusively and finally by arbitration underthe current commercial rules of the American ArbitrationAssociation if you reside in the United States, except asotherwise provided below. In such cases, the arbitration willbe conducted before a single arbitrator, and will be limitedsolely to the dispute between you and Synology. Thearbitration, or any portion of it, will not be consolidated withany other arbitration and will not be conducted on a classwide or class action basis. The arbitration shall be held inKing County, Washington, U.S.A. by submission ofdocuments, by telephone, online or in person as determinedby the arbitrator at the request of the parties. The prevailingparty in any arbitration or legal action occurring within theUnited States or otherwise shall receive all costs andreasonable attorneys’ fees, including any arbitration fee paidby the prevailing party. Any decision rendered in sucharbitration proceedings will be final and binding on theparties, and judgment may be entered thereon in any courtof competent jurisdiction. You understand that, in theabsence of this provision, you would have had a right tolitigate any such dispute, controversy or claim in a court,including the right to litigate claims on a class-wide or classaction basis, and you expressly and knowingly waives thoserights and agrees to resolve any disputes through bindingarbitration in accordance with the provisions of thisSection 19. If you do not reside within the United States,any dispute, controversy or claim described in this Sectionshall be finally resolved by arbitration conducted by threeneutral arbitrators in accordance with the procedures of theR.O.C. Arbitration Law and related enforcement rules. Thearbitration shall take place in Taipei, Taiwan, R.O.C., and thearbitration proceedings shall be conducted in English or, ifboth parties so agree, in Mandarin Chinese. The arbitrationaward shall be final and binding on the parties and may beenforced in any court having jurisdiction. Nothing in thisSection shall be deemed to prohibit or restrict Synology fromseeking injunctive relief or seeking such other rights andremedies as it may have at law or equity for any actual orthreatened breach of any provision of this EULA relating toSynology's intellectual property rights.Section 20. Attorneys' Fees. In any arbitration, mediation,or other legal action or proceeding to enforce rights orremedies under this EULA, the prevailing party will beentitled to recover, in addition to any other relief to which itmay be entitled, costs and reasonable attorneys' fees.Section 21. Severability. If any provision of this EULA isheld by a court of competent jurisdiction to be invalid, illegal,or unenforceable, the remainder of this EULA will remain infull force and effect.Section 22. Entire Agreement. This EULA sets forth theentire agreement of Synology and you with respect to theSoftware and the subject matter hereof and supersedes allprior and contemporaneous understandings and agreementswhether written or oral. No amendment, modification orwaiver of any of the provisions of this EULA will be validunless set forth in a written instrument signed by the party tobe bound thereby.

(c) "Category III Product" means all otherSynology product models purchased by Customer afterMarch 1, 2008. (d) "Category IV Product" means all otherSynology product models purchased by Customer beforeFebruary 29, 2008. (e) "Customer" means the originalperson or entity purchasing the Product from Synology or anauthorized Synology distributor or reseller. (f) "Product"means a Category I Product, Category II Product,Category III Product, or Category IV Product and anyhardware incorporated into the product by Synology and anyaccompanying documentation. (g) "Software" means theSynology proprietary software that accompanies the Productwhen purchased by Customer, is downloaded by Customerat the Web Site, or is pre-installed on the Product bySynology, and includes any firmware, associated media,images, animations, video, audio, text and appletsincorporated into the software or Product and any updates orupgrades to such software. (h) "Warranty Period" means:(i) the period commencing on the date the Product ispurchased by Customer and ending (1) five years after suchdate for Category I Products; (2) three years after such datefor Category II Products; or (3) two years after such date forCategory III Products; or (4) one year after such date forCategory IV Products. (i) "Web Site" means the Synologyweb site located at www.synology.com.Section 2. Limited Warranty and Remedies2.1Limited Warranty. Subject to Section 2.7, Synologywarrants to Customer that each Product (a) will be free ofmaterial defects in workmanship and (b) under normal usewill perform substantially in accordance with Synology'spublished specifications for the Product during the WarrantyPeriod. Synology warrants the Software as set forth in theaccompanying end user license agreement provided with theProduct, if any.2.2Product Registration.Customers may registerProducts with Synology and may obtain the manufacturingdate for Category I Products, Category II Products andCategory III Products at the Web Site. The failure to registera Product at the Web Site will not diminish the warrantyrights set forth in Section 2.1. Synology is not responsiblefor Customer's failure to identify the manufacturing date ofany Product.2.3Exclusive Remedy. If Customer gives notice ofnoncompliance with any of the warranties set forth inSection 2.1 within the applicable Warranty Period in themanner set forth below, then, upon verification of thenoncompliance by Synology, Synology will, at Synology'soption: (a) use commercially reasonable efforts to repair theProduct, or (b) replace the noncomplying Product or partthereof upon return of the complete Product in accordancewith Section 2.4 The foregoing sets forth Synology's entireliability and Customer's sole and exclusive remedy for anybreach of warranty under Section 2.1 or any other defect ordeficiency in the Product. Customer will reasonably assistSynology to diagnose and validate any nonconformity withthe Product. The warranty set forth in Section 2.1 does notinclude: (1) any warranty relating to the Software;(2) physical installation or removal of the Product fromCustomer's site; (3) visits to Customer's site; (4) labornecessary to effect repairs or replace defective parts otherthan during Synology's or its contracted service providers'normal local business hours, exclusive of weekends andservice providers’ holidays; (5) any work with any third partyequipment or software; (6) any warranty of the hard disk ifinstalled by Customer or any other third party; or (7) anywarranty of compatibility with the hard disk.2.4Return. Any Product returned by Customer underSection 2.3 must be assigned a Return MerchandiseAuthorization ("RMA") number by Synology before shipmentand must be returned in accordance with Synology's thencurrent RMA procedures.Customer may contact anyauthorized Synology distributor or reseller or SynologySupport to obtain assistance in obtaining an RMA, and mustprovide proof of purchase and product serial number whenasking for such assistance. For warranty claims, Customermust return the complete Product to Synology in accordancewith this Section 2.4 to be eligible for coverage under thisWarranty.
