Theyhave been formulated in the best interestof the exhibitor, and we respectfullyask for full cooperation of the exhibitorin their observance. It is imperativethat all exhibitors, exhibit designers,communication and marketing firms, andother third parties acting on an exhibitor’sbehalf are aware of and adhere to theCOSM rules and regulations. If payment is not received by thisdate, virtual booth will be placed on holduntil full payment has been received.VIOLATIONS—As a condition forexhibiting, each exhibitor will agree toobserve all policies. Violators will incura reduction in points for each regulationviolated. The first regulation violated willresult in the company not accruing theexhibit participation points for the year.The second regulation violated will resultin the company losing one-half of itsaccrued exhibit participation points. Thethird regulation violated will result in thecompany losing all of its accrued exhibitparticipation points. The fourth regulationviolated will result in the company not beingeligible to exhibit at future COSM meetings.The COSM Secretaries Liaison Committeereserves the right to levy a more severepenalty, without successive progressionthrough the preceding regulations.Booth Information andServicesADVERTISING & MARKETINGOPPORTUNITIES—COSM will beoffering limited advertising and marketingopportunities. Details outlined on page 7of this prospectus.BADGES AND BOOTH STAFFING—Each exhibiting company is entitled to threecomplimentary badges per virtual boothspace. Substitutions are not permitted,and badges cannot be shared. A 50per badge fee will be charged above andbeyond your booth allotment. A physicianwho wants to register as an exhibitor mustbe a full-time employee of the exhibitingcompany and possess a business cardwith that company’s name. Using exhibitorregistration to register physicians andother professional attendees who are notfull-time employees is strictly prohibited.Any exhibiting company found to be inviolation will forfeit its priority points forthe current year. COSM requires thatall representatives be registered for themeeting. Badge exchange betweenexhibitor representatives is not permissible.Booths must be staffed during postedexhibit hours.BOOTH MATERIALS — Exhibitorswill have access to an online portal foreasy uploading. The portal will be madeavailable once full payment is received. Allvirtual booth tasks will be due by Friday,March 19.BOOTH ACTIVITIES — No accreditedcontinuing education activity (in otherwords, for which CME or CEU certificationis awarded) may be conducted in theexhibit booth. No promotion of a CMEaccredited ACS educational session isallowed from the virtual booth. The FDA also forbids thepromotion of approved drugs or devicesfor unapproved uses. UnapprovedClass III devices may be displayed onlyif they are the subject of an effectiveinvestigational device exemption (IDE).Class I or II devices that have not beenapproved by the FDA may be displayedonly if they are the subject of a pending510(k) premarket notification application.Any investigational product (including anyproduct subject to a pending 510(k)) thatis displayed or graphically depicted withinthe exhibit must: contain only objectivestatements about the product; contain noclaims of safety, effectiveness, or reliability;contain no comparative claims to othermarketed products; display the statement“Caution: Investigational Devices. Limitedto Investigational Use” in prominent sizeand placement; and not be sold or be thesubject of order taking or name gatheringuntil approved. Nogifts over 100 are permitted. Exhibitorsmust follow the AMA Guidelines on Giftsto Physicians from Industry. Any giftsaccepted by physicians individually shouldprimarily entail a benefit to patients.Accordingly, textbooks, modest meals,and other gifts are appropriate if they servea genuine educational function. Cashpayments may not be offered. Exhibitorsare solely responsible for notifying anywinners, and alcohol is not permitted as aprize.LEAD RETRIEVAL — Exhibitors willhave access to lead retrieval reports intheir virtual booth portal. Exhibitors receivefull access to the live meeting, includingscientific sessions, with registration. CMEis not available to those registered solelyas exhibitors, however. Details for exhibitorregistration will be available in February2021.FORCE MAJEURE —The performanceof this Agreement by either party issubject to acts of God, war, governmentregulation, disaster, fire, epidemic,threatened or imminent strikes, civildisorder, curtailment of transportationfacilities, threats or terrorist attacks, orother similar occurrence beyond the controlof the parties, making it illegal, impossible,or commercially impractical to carry onthe Virtual Exhibits or fully perform theterms of this Agreement. This Agreementmay be terminated, or performance maybe excused without penalty, for any oneor more of such reasons by written noticefrom one party to the other.INDEMNIFICATION ANDINSURANCE —Each party agrees toindemnify and hold harmless the other,its agents, and employees from andagainst all claims, liabilities, and expenses,including reasonable attorneys’ fees,arising from acts, omissions, or breachof this Agreement by the party or itsagents or employees. COSM and theExhibitor hereby each grant to the other alimited, non-exclusive license to use certainof the granting party’s Intellectual Property,including names, trademarks, andcopyrights, in connection with promotion ofthe Virtual Exhibit Program.LIMITS IN LIABILITY — In no eventshall COSM be liable to the Exhibitor formore than the amount paid under theAgreement.RELATIONSHIP OF THE PARTIES— COSM and Exhibitor agree that thisAgreement is not intended to create anypartnership, agency, joint venture, oremployer/employee relationship of anykind; both parties agree not to contract anyobligations in the name of the other or touse each other’s credit in conducting anyactivities under this Agreement. The partiesagree that exhibiting as part of the VirtualExhibits does not constitute ACS’ officialendorsement, guarantee, acceptance, orapproval of Exhibitor, its services, products,programs, or activities.TERM AND TERMINATION — ThisAgreement is effective as of the date oflast signature, and will terminate (i) uponconclusion of the post promotion of theVirtual Exhibits, or (ii) upon the occurrenceof a material breach (including failure tomake timely payments) by either party ifsuch breach is not cured within thirty (30)days after written notice of such breach isreceived, or (iii) upon thirty (30) days’ noticeby COSM to Exhibitor, with or withoutcause. In the event of termination formaterial breach by COSM, or terminationwithout cause by COSM, COSM will refundpayments made by Exhibitor. Upon anytermination of this Agreement, all rightsand privileges for use of the other party’sIntellectual Property shall expire, and eachparty shall discontinue the use of the otherparty’s Intellectual Property.14MiscellaneousThis Agreement supersedes all priorwritings or oral agreements and constitutesthe entire agreement between the partieson the subject hereof; it may be amendedonly by a writing clearly setting forth theamendments and signed by both parties.This Agreement is binding on the parties,their successors, and assigns, providedthat no party may assign this Agreementwithout the prior written consent of theother party. Either party’s waiver of orfailure to exercise any right provided forin this Agreement shall not be deemed awaiver of any further or future right underthis Agreement.
