IntroductionHow to use the IDEXXCode of EthicsThe IDEXX Code of Ethics is our guide to conductingour business ethically. It is more than a collectionof policies and requirements; it is a resource thatproactively informs our decisions and actions.We use the Code of Ethics to: Gain the foundational understanding of howwe ethically serve our key stakeholders. Seek deeper knowledge of topicsthat apply to our work activities. Understand how to report ethical concerns. Our Code of Ethics provides guidanceon what we need to know to meet ourcommitments to being ethical. Additionalresources, including applicable policies,procedures, manuals and toolkits,are available for all IDEXXers throughour internal employee communicationchannels. These internal resources willbe updated periodically to ensure wehave easy access to current resources.It is our responsibility to review andunderstand IDEXX policies and proceduresand to raise any questions regarding anypolicy or procedure with our manager.Our Code of Ethics is essential to achievingour Purpose and is structured around our keycommitments to conducting our business ethically: Avoiding conflicts of interest withour responsibilities at IDEXX. Who the IDEXX Codeof Ethics applies toOur Code of Ethics applies to all IDEXXers,including all members of the IDEXX workforcearound the world (employees and contractors ofall IDEXX businesses and subsidiaries worldwide),and members of the IDEXX Board of Directors.In addition, we expect our global business partnerswho act as agents or representatives of IDEXXto conduct themselves in a manner consistentwith this Code when acting for, on behalf of orin the name of IDEXX, including when sellingand promoting IDEXX products and services.Our duty to understand,clarify and actIf we are faced with an uncertain situation, orhave a concern or question regarding the Codeor its application, it is our duty to ask for help.There are many people within IDEXX available toanswer our questions. If we are not sure who togo to, we should start with our direct manager.When we think that something we encounter maybe contrary to this Code or a violation of a lawgoverning our conduct in any part of the world, wehave an obligation to raise our concern. Generally,our direct manager will be in the best positionto quickly address an ethics issue, but there aremany other ways we can raise our concerns.IDEXX encourages us to speak up in any waythat feels right to us under the circumstances.Whichever way we choose to report ourCode of Ethics concerns we can beconfident that IDEXX’s policy is to: Take all reported concerns seriously andinvestigate allegations of misconduct. Never retaliate against anyone for reportinga suspected violation in good faith orfor seeking clarification on any businesspractice, contemplated action, or decision.If we feel we have experienced retaliation by makinga report, or have witnessed retaliation against a fellowIDEXXer, we also need to speak up. How we reach the IDEXXEthics HotlineThe IDEXX Ethics Hotline is one resourceavailable to report concerns. We can call andspeak to a specialist in our local language 24hours a day, 7 days a week or we can submit ourconcern via a secure website. We can choose toreport our concern to the IDEXX Ethics Hotlineanonymously, unless we are calling from one ofthe very few countries that restrict this under locallaw, in which case we will be informed of anysuch restrictions. Our concerns will be sent to theIDEXX Compliance Department for a confidentialreview and follow-up per internal protocols.EnforcementIf we violate our Code of Ethics or IDEXX policy,we are subject to disciplinary action, up to andincluding termination. We avoid conflicts of interestWe avoid any situation that conflicts, or even appears to conflict, with our responsibilities to IDEXX.We fully disclose to our manager any potential conflict of interest. Not all potential conflicts of interestare prohibited if disclosed in advance.Things we need to know: Do not misuse or inappropriatelyuse for personal benefit any IDEXXfacilities, intellectual property, officeequipment, software applications,email, or other company resources. Avoid accepting gifts or other benefits ofmore than nominal value from suppliers,customers, competitors or others,especially when we are making decisionsabout them on behalf of IDEXX.6Back to Table of Contents Avoid hiring, promoting or directlysupervising a family member. Obtain approval from our manager andour Legal Department before acceptingofficer or director positions with an outsidebusiness while employed by IDEXX. We interact fairly and transparentlywith our CustomersCompetition lawsWhile we compete aggressively in the marketplaceto best serve our customers’ needs around theworld, we also comply with all competition laws.Laws that govern how we conduct ourselvesin the marketplace are typically called “antitrust” or “competition” laws. These lawsregulate the behavior of companies and prohibitagreements between competitors in order toprotect consumers, including our customers.If we violate competition laws, there can beserious consequences for IDEXX, includinglarge fines, damaging lawsuits, negativepublicity, serious financial penalties, andin some cases criminal prosecutions.Things we need to know: Always act in a way that supports morechoice in products, better serviceand fair prices for customers. Do not discuss with any competitoreither IDEXX’s or a competitor’s pricing,bids, terms of sale, costs, market share,markets, territories or customers. CustomersAnti-bribery and corruptionBribery is never acceptable and could exposeus and IDEXX to criminal prosecution. IDEXXprohibits bribery of anyone anywhere in the worldby any employee or representative of IDEXX forany reason. Bribery means providing anythingof value to improperly obtain or retain businessor otherwise secure an improper advantage orinduce an illegal or unethical action. Laws aroundthe world prohibit bribery and the consequencesof failing to comply are potentially severeand apply to individuals and companies.Bribery should not be confused with reasonable andacceptable payments for occasional meals, gifts,entertainment, or other IDEXX-approved “businesscourtesies,” or normal costs to fulfill a valid contract.Things we need to know: Never give or accept anything withthe intent to improperly influencean IDEXX business decision. Review and understand applicable IDEXXGift and Business Courtesy Guidelinesand the customer’s rules before offeringor providing any business courtesy. Ensure all business courtesies are properlyrecorded in accordance with IDEXXaccounting and expense policies, withaccurate descriptions of the transaction. Do not permit an IDEXX third-partyrepresentative or their businesspartners to do something we areprohibited from doing ourselves. Know how to identify and report “red flags”that suggest a third party representativemay be engaging in prohibited bribery.In the course of business, if we see a “red flag” that suggests a third-party representative of IDEXX maybe engaging in prohibited bribery, we inform our manager or other IDEXX resources as appropriate.A “red flag” is a pattern, practice, specific activity or other fact that indicates the possible existence ofbribery or corruption.Examples of “red flags” include, but are not limited to: A business partner’s unwillingness to disclose information about his or her business.Unusual financial arrangements for the payment of services.A business partner’s lack of facilities or staff to provide contracted services to IDEXX.Refusal by a third party to agree to anti-corruption provisions in its contract with IDEXX.A recommendation by a foreign government official to hire a particular third party.The presence of a “red flag” does not necessarily mean that illegal conduct has occurred or that IDEXXhas legal exposure. “Red flags” do indicate that IDEXX should take a closer look at the issue to determinewhether there is anything truly suspicious.Any failure to communicate a “red flag” to our manager or through another reporting channelcould result in the violation of anti-bribery and corruption laws, tarnish IDEXX’s reputation, andpotentially subject us to prosecution, criminal fines, and imprisonment.8Back to Table of ContentsHave a concern about whether we are living our Code of Ethics? CustomersTrade complianceWe comply with all applicable import, export, andtrade control laws and regulations in every jurisdictionin which we operate worldwide. These laws applyto the shipment or transmission of goods, services,and technology (including via email and webaccess) across national borders. Violation of theselaws can result in government investigations, fines,loss of business, and negative publicity for IDEXX.Following these laws using good import and exportpractices ensures that our products and servicesmove efficiently around the globe and get wherethey need to be – in the hands of our customers.Things we need to know: Ensure IDEXX and our agents provideaccurate and complete information togovernment authorities, including accurateand complete import declarations. Report suspected illegal diversion ofour products to jurisdictions wherethey are not approved for sale. Do not agree to participate in a prohibitedboycott and report all requests to participatein a boycott to our Compliance Department.A prohibited boycott is a refusal to dobusiness with a certain country, unlessapproved by the U.S. government. Keep accurate and complete recordsregarding all import and export activities.Product and serviceregulatory complianceWe produce and deliver safe and effective productsand services that people trust. Each country in whichwe do business has specific regulations designedto ensure our products and services are safe andused appropriately. We comply with the licenses andapprovals we obtain from government agencies topromote, sell and import our products and services.Things we need to know: Become familiar with our regulatoryand quality policies and procedures ifwe are involved in product or servicedesign, launch or on-market supportof our products or services. CustomersDoing business withgovernmentsThings we need to know:IDEXX products and services are commonlyused by governments across the world. We mayalso come into contact with government agenciesand officials as part of routine requests to IDEXXfor information, or in the context of governmentaudits or investigations. Whenever we interactwith government officials, we do so with theutmost integrity, transparency, and truthfulness.If we fail to approach our interactions with integrity,we can face civil and criminal penalties, be bannedfrom future government procurement opportunities,and incur prison sentences and reputational damage.10Back to Table of Contents Comply with applicable governmentprocurement laws and procedures, includingall competitive bidding situations such astenders, everywhere we do business.
