Employme nt AgreementThis Employme nt Agreement (Agreement) is entered into by the University of Oregon (University) andMario Cristobal (Coach),1.PurposeUniversity and Coach have entered into this Agreement because the University desires to hireCoach, andCoach desires to work as an employee for the University. For these reasons, University has agreedtoemploy Coach in a salaried position, and Coach has agreed to be employed by the Universityupon theterms and conditions set forth herein,2,Position2.1Description of Coach's Responsibilitiesa,Title. Coach is employed as head coach of the University's intercollegi ate footballteam subject to the terms and conditions of this Agreement. Coach is also an exemptOfficer of Administra tion (OA), as defined in the OA employme nt policy,b,Effort; Compliance. Coach agrees: (I) to devote his best efforts full time to theprompt and efficient performanc e of all duties and responsibilities of a head footballcoach and such other reasonably related duties and responsibilities (so long as they do notInterfere with his duties and responsibilities as head football coach) as may be assigned tohim from time to time, including but not limited to complying with the obligations setforth on Exhibit A; (ii) to give proper time and attention to furthering his responsibilities tothe University; (iii) to comply with all rules, regulations, policies, and decisions establishedor issued by the University, the University Departmen t of intercolleg iate Athletics (AthleticDepartmen t), the Paciflc-12 Conference (PAC-12), and the National Collegiate AthleticAssociation (NCAA). responsibilities of a head football coach in this position, Coach Is responsible for themanagement and administration of all phases of the intercollegiate football program fullyIn keeping with the philosophies and objectives of the Athletic Department and theUniversity, including compliance with NCAA, PAC-12, and University policies which can befound In the University's Policy Library, currently at policies.uoregon.edu,d.Day to day responsibilities as head football coach. As head football coach, Coach'sspecific and essential responsibilities include, but are not limited to: (i) Working withstudent-athletes involving recruitment and selection, leadership and instruction inpersonal and athletic development, determining eligibility and promoting academicprogress; (ii) Instilling, modeling and reinforcing in student-athletes high standards forcharacter and conduct both on and off the field; (Ill) Participating in activities to generateand maximize revenue to sustain the football program and to support other activities ofthe Department; (iv) Arranging and conducting practices; (v) Supervising personnel,including assistant coaches, graduate assistants and others, providing orientation andtraining as appropriate, conducting performance evaluations at least annually; (vi)Assisting with the conditioning, training, safety and discipline of student-athletesincluding, developing and communicating team rules and effectively implementingthem;(vii) Directing the team at ail football games andevents; (viii) Participating In clinics,exhibitions, and camp activities as reasonably requested by the athletic director; (Ix)Participating in public relations events as reasonably requested by the athletic director; (x)Cooperating with other Department and University personnel, Including other coaches;and (xi) Performing other duties as reasonably requested by the athletic director.e.Ethical Responsibilities: The University has established a tradition of ethicalconduct at all levels of University life, in accordance with this tradition, Coach, as amember of the Athletic Department, agrees to represent the University in an honorableand ethical manner at all times. Standards for the ethical conduct of Department staff areestablished and enforced by the athletic director, the University, the PAC-12 Conferenceand the NCAA. In addition, University Intercollegiate Athletics Polley§ 8.036 reflects andspecifies certain requirements regarding ethical conduct, as does University's Conflict ofInterest and Conflict of Commitment policies, each of which, as amended from time totime, shall be deemed a part of this Agreement. Coach further agrees to comply with allapplicable constitutions, bylaws, interpretations, laws, policies, standards, directives,rules or regulations relating to the conduct and administration of the football program, IfCoach becomes aware, or has reasonable cause to believe, that violations of applicableconstitutions, bylaws, interpretations, laws, policies, standards, directives, rules orregulations have taken place, he shall report them promptly (and in all cases within sevenErnpl()yrrir,nt Ar1mernentPage 2Head Football Coach

days) to the athletic director. Coach will also comply with the University's reportingobligations relating to prohibited discrimination, the Clery Act and the abuse of minors.Coach also .agrees to adhere to, to respect and to follow the academic standards,requirements and policies of the University at all times, Including with respect to therecruitment of prospective student-athletes and the eligibility of current studentathletes.2.2ReassignmentThe University's intent Is for Coach to serve as the head football coach of the intercollegiatefootball team throughout the Term of this Agreement. However, Coach understands that theUniversity retains the right to assign Coach to other positions with different duties during theTerm of this Agreement (Reassignment). Should such Reassignment be under consideration, theUniversity shall consult with Coach and seek Coach's input at least thirty (30) calendar days(Consultation Period) before such Reassignment is made. In no event, however, will Coach beassigned to a position that is not, In University's sole good faith judgment, consistent witheducation, expertise or experience, nor will Coach's Guaranteed Salary be reduced during theterm of this Agreement. If, after the Consultation Period, University provides writtennotification to Coach that It intends to effectuate the Reassignment, Coach shall have five (5)days to notify the University that Coach will not accept/refuses Reassignment. In the eventCoach notifies University of refusal to accept Reassignment, University must terminate thisAgreement without Cause pursuant to the terms and conditions for Termination without Causeset forth in Section 6.2 below. Notwithstanding the provisions of this paragraph, the Universityretains the right, under University Polley governing OAs, to place Coach on administrative leavepending investigation Into a serious violation of law or policy.2.3Reporting RelationshipAs head football coach of the intercollegiate football team, Coach shall report to the AthleticDirector or, in the absence of a full-time Athletic Director, another member of the seniorathletic administration as designated by the President of the University.3.Term of AgreementThe term (Term) of this Agreement shall begin on December 8, 2017, and end at 11:59 pm PacificTime on January 31, 2023, at which time this Agreement shall expire without penalty to either party,Each contract year (Contract Year) shall be any twelve (12) month period during the Term from 12:00am February 1 to 11:59 pm on January 31.r nipf()yrn,-mt Aqrer.,rnmilPage 'lHead Football Coach

Coach may earn supplemental Incomerelated to his employment as and to the extent approved by the University and consistent with NCAA andPAC-12 regulations. All payments from University are subject to applicable deductions and withholdingsfor tax purposes and employee benefit programs in which Coach participates, All payments are alsosubject to the terms and conditions in Sections 6 and 7 regarding termination of this Agreement.4.1Salarya.For performance of his duties and responsibilities under thisAgreement (subject to the terms of this Agreement), University shall pay Coach anannual guaranteed salary (Guaranteed Salary) as follows.Contract Year 1: 2,500,000 (per 12 month period, pro rata for partial year)Contract Year 2: 2,500,000Contract Year 3: 2,500,000Contract Year 4: 2,500,000Contract Year 5: 2,500,000b.Coach's Guaranteed Salary shall be paid in equal installments on theUniversity's Regular paydays. If this Agreement is terminated for any reason underSection 6 or 7 before the expiration of the Term, the Guaranteed Salary shall beprorated through the effective date of termination as provided in such sections. University fringe benefits offered to other employees that share his status as an Officer ofAdministration, subject to the limitations set forth In this section and section 8.8. Theseinclude (but are not limited to) group life Insurance, medical, dental, and vision insurance;paid vacation and sick leave; disability Insurance; participation in the Optional RetirementPlan; and opportunities to invest in tax deferred annuities and deferred compensationplans, Coach is not entitled to use negative sick leave. Coach will be provided withprotected leave in compliance with state and federal law.b.Coach is eligible to use paid vacation during his employment with the university,subject to the terms and conditions set forth In this paragraph. Coach understands that amaximum of 260 hours of vacation time may be accrued. Coach further understands andagrees that Coach will not receive payment for any unused vacation at the end of hisemployment with the University, Subject to any limitations imposed by state or federal law,Coach understands and agrees that Coach must notify and, to the extent possible, obtainthe approval of his supervisor In advance of using vacation or sick leave, Absentextenuating circumstances, as determined by the University, failure to obtain permissionprior to using vacation leave or sick will be considered an unexcused absence. Coachacknowledges that the University will record as vacation regular work days on which Coachis absent during off-season periods in the event that Coach fails to properly record suchtime as vacation or sick leave.c.Coach will receive reimbursement for all business-related travel and out-of-pocketexpenses, Including travel expenses for his spouse/partner (whenever deemed appropriateby the Athletic Director), consistent with University policy.d.University shall provide to Coach at all times during the Term of this Agreementwhile Coach Is on the football coaching staff two (2) courtesy cars. The AthleticDepartment will insure two cars for official business, but Coach must provide automobileliability (no less,than 1 million limit) and collision insurance for personal use of the cars.Should University be unsuccessful In obtaining the courtesy cars for Coach, Coach shallreceive a stipend of 500 per car per month In lieu of the courtesy car.e,During the term of this Agreement while Coach is head football coach, Coach willbe provided with a family membership to the Eugene Country Club If such a membership isavailable (and if not available than an available membership In a country club of Coach'schoice in the Eugene area,) The Athletic Department will pay monthly dues and approvedbusiness-related expenses, Coach will be responsible for any personal charges including,but not limited to, electric carts, lockers, restaurant charges and lessons, This membershipIs provided to assist in fund-raising efforts, Should Coach be reassigned, Coach's continuedf'·rnplo111wint Aqrr mnr,nt0Pa9e :iHead F oolball Coach

membership will depend upon the wishes of the Eugene Country Club, needs of the newposition and Its relative (to certain head coach positions) utility to promotional and fundraising functions.f.During the Term of this Agreement while Coach is head football coach, Coach willbe provided with a family membership at the Downtown Athletic Club if such membershipis available, This membership is conditioned on the Downtown Athletic Club's providingUniversity with a waiver of the membership fee and the monthly fee for Coach'smembership. Coach will be responsible for any personal charges including, but not limitedto, lockers, restaurant charges, classes and lessons. This membership is provided to assistIn promotion and fundraising efforts. Should Coach be reassigned, Coach's continuedmembership will depend upon the wishes of the Downtown Athletic Club, needs of thenew position, and its relative utility to promotional and fundraising functions.g.During the Term of this Agreement while Coach Is head football coach, Coach willreceive, as part of the standard Athletic Department fringe benefit package and to helphim fulfill his duties as head football coach: if requested, up to twelve (12) tickets to eachof the University's football team's home games and up to four (4) tickets to each homecompetition of each of the University's other varsity intercollegiate athletic teams. Inaddition, University will pay the costs for Coach's spouse/partner and dependent childrenliving at home to travel to all regular season away football games. In the event the footballteam participates in post-season play, University agrees to pay the costs for Coach'sspouse/partner and any dependent children living at home to travel to away post-seasongames. Coach will be provided with use of a premium level skybox stadium suite locatedon the 5 th Floor of the South Side of Autzen Stadium during each home football game.Coach or his deslgnee will determine the suite guest list for each such home game, andshall ensure that its use is consistent with NCAA rules and regulations, University will alsoprovide reasonable parking accommodation s for football home game events at teamfacilities. It Is understood that Coach may use such tickets and box for, among otherthings, the purpose of hosting family, donors, and others for business purposes. Coachunderstands that these benefits may be subject to taxation.h.During the Term of this Agreement while Coach Is on the football coaching staff,Coach will be eligible to receive a reasonable amount of apparel, equipment, and shoesfrom University's contracted provider.I.Coach is eligible to receive a Nike Elite allowance at the discretion of the AthleticDirector.j.The University will reimburse Coach or pay directly all reasonable expensesFrnplnyrrn nl Aureern, nl · Head Football CoachPage 6
