Welcome to the Autodesk Authorized Training Center ProgramThe Autodesk Authorized Training Center Program (“Program”) aims to support Authorized Training Centers in theirefforts to train, test, and certify Autodesk Software users.This Autodesk Authorized Training Center (“ATC”) Global Program Guide (“Guide”) is referenced in and forms part ofyour Autodesk Authorized Training Center Agreement (“Agreement”). Capitalized terms not defined in this Guide have thesame meanings assigned to them in the Agreement.Autodesk reserves the rights to amend, modify, or terminate this Guide and the programs or benefits described herein at anytime with thirty (30) days’ prior written notice. In the event that Autodesk makes new programs available to ATCs, thoseprograms will be announced via communications posted to the website provided by Autodesk or its designated Distributorfor ATCs (“Program Portal”). Autodesk reserves the right to interpret or clarify this Guide at its sole discretion. ThisAutodesk Authorized Training Center Program Guide will be posted to the website provided by Autodesk or its designatedGlobal Program Manager for ATCs (“Program Portal”). Autodesk reserves the right to interpret or clarify this Guide at itssole discretion. If you have any questions about any part of the Program, please contact the Distributor in your territory(“Distributor”) or your internal ATC Program Manager (“PM”).This Guide is effective as of Effective Date and shall apply until updated by Autodesk. Program Year runs from February1st—January 31st (the “Program Year”). 1.PROGRAM OVERVIEWTo become an ATC, a training center must meet criteria established by Autodesk, in its sole discretion, and must applyfor authorization from Autodesk or a designated partner. Upon authorization, the ATC becomes eligible for Programbenefits and may license Autodesk Products for use in the Program upon payment of Subscription license fees forProgram participants and may have sites accredited with a specialization in an industry or product group, if the ATCmeets the criteria as established by Autodesk.The Program is divided into three (3) geographic areas (“Geos”): AMER - Americas APAC - Asia Pacific EMEA - Europe, Middle East & AfricaBenefits, criteria, and/or Autodesk Products may vary based upon the Geo or upon a region within the Geo (asdetermined by Autodesk), in which the ATC or an ATC Site is physically located. Geo or region-specific information onavailability of Autodesk Products, benefits, or other policies will be provided in the ATC Welcome Pack documentation.ATC agrees that ATC will not provide services related to or access to Autodesk Products to residents or citizens of anycountry subject to a US trade embargo (as of DEC 2016 include Sudan, Syria, Cuba, Iran, Crimea, and North Korea).2.PROGRAM BENEFITSThe Program provides ATCs with a comprehensive range of benefits to support and develop their training businesses.Only ATCs that are in compliance with the terms of the Agreement and this Guide may access and use Program benefits.All benefits are provided in Autodesk’s sole discretion and may be changed from time to time. 2.1. RECOGNITION2.1.1. ATC Certificate, Letter, and/or Plaque. Any ATC certificate, letter, or plaque provided by Autodesk orDistributor to the ATC to confirm ATC’s participation in the Program must be used in accordance withAutodesk marketing guidelines and must not be modified in any way. Autodesk or Distributor willprovide ATCs with a certificate or letter each program year, which confirms ATC status; in addition aplaque for an ATC Site may also be provided. Both may be displayed at your ATC registered Site.2.1.2. Use of Autodesk ATC Logo. ATCs may use the following ATC logo in accordance with the terms setforth in this Guide and any additional marketing guidelines provided by Autodesk:2.1.3. Use of Autodesk Certified Instructor Logo. ATC instructors who meet the Autodesk CertifiedInstructor (“ACI”) requirements and have been certified as an Autodesk Certified Instructor for anyAutodesk Software Product may use the following ACI logo in accordance with the terms set forth in thisGuide and provided in the ACI Program Agreement and guidelines. ACI Program information is locatedhere: http://aci.autodesk.com/The Autodesk Certified Instructor (ACI) credential is active for three years following the date firstawarded. Every three years any certified instructors will need to maintain certification by meeting therecertification requirements.ACI status may need to be renewed and instructors for ATCs may only use the ACI Logo during periodsin which their ACI certification is active. ATCs may advertise the percentage of (staff) instructors with avalid ACI credential per the ACI Program Agreement and guidelines. ATCs must meet ACI requirementsfor their instructors based on the following criteria:§ FY18 program year (February 1, 2017 – Janaury 31, 2018) – 20% or more of ATC instructorsmust have a current ACI certification§ FY19 program year (February 1, 2018 – Janaury 31, 2019) – 50% or more of ATC instructorsmust have a current ACI certification§ FY19 ATC program year (February 1, 2019 – Janaury 31, 2020) – 75% of ATC instructors musthave a current ACI certificationAutodesk will allow a 90–day grace period for an ATC to move from a non-compliant state to acompliant state.2.2. AUTODESK SOFTWARE AND SUBSCRIPTION LICENSE FEES2.2.1. Ability to License Autodesk Software.Subject to payment of the applicable Subscription license fee(s) for Autodesk Software licensed inconnection with an ATC’s participation in the Program, meeting center and personnel pre-requisitesand any criteria related to a product specialization, and compliance with all applicable software licenseagreements and other terms, an ATC may download the licensed Autodesk Software Products forwhich the ATC or the ATC Site is authorized via the Autodesk Subscription Center, as furtherdescribed below. Autodesk Software Product upgrades are also available via the Subscription Center.Most Autodesk Software Products are in English, but there is some localization of certain products.See Section 4 for additional details.2.2.2.Access to Autodesk Subscription Center Subject to an ATC’s compliance with the Agreement, this Guide, and the applicable Subscriptionterms and conditions, ATCs have access to the Autodesk Subscription Center. ATCs receive the following, among other things, with Subscription services:o Product extensions and selected utility programs for the term of the Subscription contract.AUTODESK CONFIDENTIAL4 of 12

oProduct extensions and utility programs must be used in accordance with the SubscriptionCenter’s terms and may not be resold to any party.2.3. MARKETING2.3.1. Participation in ATC Marketing ProgramsATCs may be entitled to participate in marketing activities, including where available lead referralprograms, which are restricted to promotion of their training services to customers in their geographic area.2.3.2.Access to Autodesk Marketing Materials for the Program Subject to the terms and conditions set forth in the Agreement, Autodesk provides MarketingMaterials, which the ATC may reproduce and distribute in connection with its appointment as an ATC Where such materials are not available, access to an ATC specific marketing web site “ProgramPortal” with downloadable artwork may be made availabe for ATCs to produce marketing collateral ATCs also have access to advertising templates for the Program, which an ATC may personalize byinserting its ATC details2.3.3.Inclusion in Autodesk Partner LocatorATC will be included in the Autodesk Partner Locator at Autodesk’s sole discretion. The Autodesk PartnerLocator on Autodesk.com provides additional promotion for Autodesk Partners. Customers can searchbased on location, product, specialization, industry, and/or expertise. The Autodesk regional distributor willmaintain accurate ATC information for Partner Locator. Distributor will provide ATC with instructions foradding or maintaining ATC information onto Partner Locator. Access ller2.4. ENABLEMENT2.4.1. Access to Program Portal ATCs will have access to a centralized website for information and communications to keep ATCsinformed about the Program and Autodesk Software Products and other offerings. Assigned ATC Site Managers are given administrative rights and can create, modify, or disableaccounts for others in their organisation. Misuse of the Program Portal content may result in immediate termination of the ATC Agreement.ATC may not share or disclose its Program Portal password with any third parties.2.4.2.Product Training for ATC Instruction Qualifying ATCs, by invitation of Autodesk in its sole discretion, may be invited to attend AutodeskProduct Technical Training (classroom or online) on the latest Autodesk software releases. ATC Instructors are eligible to enroll and complete courses made available on the Autodesk InstructorDevelopment Portal “IDP”. The IDP offers Autodesk instructional methods e-courses, AutodeskProduct e-courses, instructor continuing professional development training resources, and AutodeskProducts, and industry knowledge training. ATC Instructors gain access to the IDP from the regionaldistributor.2.4.3.Ability to Use Autodesk Official Training Guides Through Distributors or directly from publishers, Autodesk makes available Autodesk OfficialTraining Guides (“AOTG”) and Autodesk Official Press to support ATCs and ATC Instructors andhelp provide consistency in classes and an alternative to ATCs needing to create a curriculum. Theguides are intended for hands-on classes and provide information on real-world use of Autodeskproducts. These materials may be purchased by ATCs for an additional fee. In some cases, additional support materials are available only to Autodesk partners; please refer to thepublishers for further information. A list of AOTG or other available training courseware is published on Program Portal. If an AOTG is not translated into a language in which an ATC teaches regularly, or is not available fora product taught by an ATC, the ATC should contact its PM or Distributor for guidance on suitablealternative training guides.2.4.4.Access to Online Evaluation System & Performance Reports Each ATC is given access to use the Evaluation System, with unique site and instructor codes toregister authorized courses, and to analyze the ATC’s performance as assessed by trainee feedback andAUTODESK CONFIDENTIAL5 of 12

compare it with the overall performance of other ATCs in the same territory.The information gathered through the Online Evaluation System will be accessible by Autodesk andDistributors.Awards for the top performing ATCs, as determined by the trainee evaluation results, may be awardedannually, and may vary by geographical area.2.4.5.Opportunity to Attend Autodesk Business Meetings and Events or Participate in Advisory Boards orLeadership Councils To help promote communication in the ATC network, meetings such as regional group meetings (suchas ATC Summit in AMER) or meetings with individual ATCs may be scheduled, as determined byAutodesk in its sole discretion. To help promote dialogue within the ATC network, ATC distribution, and/or Program management,participation on an Advisory Board or Leadership Council, where available, is strongly encouraged.2.4.6.Ability to Issue ATC Certificate of Course CompletionATCs may issue Course Completion Certificates to those customers that successfully complete an ATCcourse. These certificates may only be awarded in electronic form by Autodesk Certified Instructors. Theform of certificate may not be modified by the ATC. See Section 3.3 for additional details.2.5. SUPPORT2.5.1. Access to Program SupportEach ATC is eligible to receive Program support, as determined by Autodesk, from Global ProgramManager or Distributor for the ATC’s territory.2.5.2.3.Access to Product Technical Support ATCs may be eligible for limited product support. Autodesk will provide product support to assistwith the set-up and installation of Autodesk Software Products in preparation for training on AutodeskSoftware Products, as determined by Autodesk. Before contacting Autodesk, the ATC is required touse their best efforts to research an answer to the question by using the knowledge base help files andother tools that are made available to them on Program Portal and other online support services. Autodesk Product Support is provided via a single case tracking system accessed on Partner Center athttps://partnercenter.autodesk.com. All support calls must be initiated by an ATC Site Manager orother employee who has taken product training in the product for which support is required.QUALIFYING CRITERIA An ATC Site must meet the following Qualifying Criteria: Autodesk approval of the Site Autodesk Certified Instructor(s) (ACI) on staff meet the requirements in Section 2.1.3 of this Program Guide ATC meets qualifying criteria for training Authorized Courses Trainee Satisfaction of 85% minimum participation ScoreSee Exhibit 2 for additional qualifying criteria for E-Learning Courses (See Exhibit 2).3.1. ATC SITE APPROVAL3.1.1. If an ATC has training Sites in different locations, one Site must apply for approval from Autodesk for theMain ATC Site and any other sites where ATC would like to offer training under this Guide must apply forapproval from Autodesk to be a Satellite ATC Site. Any Satellite ATC Site must be fully owned by theMain ATC Site or be under majority control of the Main ATC Site. If a Satellite ATC Site(s) is approved,the ATC is solely responsible for (1) ensuring a Satellite ATC Site’s compliance with the Agreement andGuide, (2) ensuring a Satellite ATC Site’s making timely payment of software license or subscription feesdue under this Guide, (3) distributing all Autodesk communication to the Satellite ATC Site(s), (4) ATCsoftware management, and (5) administrative management of Program Portal access.3.1.2. After an ATC is granted Site approval, to the ATC may train on specific Autodesk Software Products inaccordance with this Guide and the Agreement. Each Site must offer at least one (1) course on anAutodesk Software Product.3.1.3. ATC Sites must meet appropriate standards for professional training facilities. Distributors may refuse aSite application if in their opinion a Site: is not of appropriate standard of quality and facilities to represent the ATC program positively, asAUTODESK CONFIDENTIAL6 of 12

determined by Autodesk;does not have the appropriate facilities and equipment to allow proper demonstration of Autodeskproducts or to allow students adequate access to equipment in order to practice and learn effective useof the Autodesk products; or does not have presentation or communications facilities suitable for the demonstration of practical useof Autodesk software.In order to train Authorized Courses, however, there are additional criteria. ATC must have an AutodeskCertified Instructor for each Product Authorization to teach each Authorized Course and meet therequirements in Section 2.1.3If, after a Program Year has begun, an ATC wishes to register additional Site(s), the ATC must completeand return to your Distributor a new ATC Site Enrolment Form for each new ATC Site, accompanied by anew business plan explaining why the site should be accepted for authorization. Where applicable, theATC will be required to pay an additional ATC Autodesk Software Product license fee for each additionalSite registered in the Program. Instructions on how to request software authorization codes are provided inthe ATC Welcome Pack documentation. The same terms of this Guide and Agreement apply to anyadditional Site(s). 3.1.4.3.1.5.3.2. ADDITIONAL REQUIREMENTS AND TERMS FOR TRAINING SERVICES3.2.1. Autodesk Product Authorization. Product authorizations for Instructors providing training services areprovided in the following categories: Horizontal (Platform cross-industry products, including AutoCAD and 3ds Max Design) Vertical:o AEC (Architecture, Engineering and Construction)o MFG (Manufacturing)o Media and Entertainment (M&E)To qualify for product authorization for a Site, an ATC must demonstrate that it has an Instructor who meets thecriteria for authorization in that product. If, after a Program Year has begun, an ATC requires authorization foradditional Product Group(s), the ATC must notify your Distributor in writing (by fax or email) and provide reasonsexplaining why the Site should be granted the further Authorization(s). Proof of instructor training and/orqualifications must also be supplied in accordance with Section 3.3.3.3. INSTRUCTORS MUST BE AUTODESK CERTIFIED INSTRUCTOR(S) (ACI) FOR AUTHORIZED TRAINING ONAUTODESK SOFTWARE PRODUCTSTo teach courses on Autodesk Software Products which qualify for issuing trainees with Certificates of Completion,an ATC must have at least one (1) instructor who is an Autodesk Certified Instructor (“ACI”). InstructorCertification may be required at every new Autodesk product release. As a result, ATC(s) and ACI(s) may need totake further training, and/or pass an Autodesk product exam on the new product to maintain the ATC’s productauthorization as granted at the time of initial site acceptance and registration. Product authorization requirementswill be announced at each new product release, usually via the Program Portal.3.3.1.Autodesk Certified Instructor. An ACI for an Autodesk Software Product will be considered to meet thenecessary requirements for that product. For details on ACI requirements, and how to apply to become anACI visit the ACI Program Portal here: http://aci.autodesk.com/3.3.2.Additional Terms for Instructors. Not all Autodesk Software Products require the Autodesk Certified Instructor credential; only thoseproducts for which Autodesk offers Certified Professional certification. See Exhibit 1 Product Authorizations for additional information. An Autodesk Certified Instructor for a product isauthorized to train Authorized Courses on such products.An ATC instructor will need to add technical competency in each new Autodesk product release. Asnecessary, Autodesk may require an ATC instructor to attend product training or to pass a productknowledge test or professional certification exam where available.Autodesk will issue each instructor a unique instructor identification number, which will be used totrack the instructor’s performance using the ATC trainee online evaluation system. If the ATC traineeonline evaluation system records no instructor activity within a 12-month period, the ATC will becontacted and the instructor ID may be deactivated.AUTODESK CONFIDENTIAL7 of 12

3.4. E-LEARNING COURSESAn ATC may provide E-learning courses if it meets the requirements set forth in Exhibit 2 – AdditionalRequirements for Providing E-learning Courses.3.5. TRAINEE SATISFACTION Each ATC is required to provide each trainee with a trainee satisfaction survey, which Autodesk solelymaintains, on the Autodesk Online Course Evaluation system at the end of every Autodesk AuthorizedCourse. ATCs must always maintain a trainee satisfaction rating of at least 85% as measured over atwelve- (12-) month period by the Overall Performance (OP) index in the Autodesk ATC EvaluationSystem unless otherwise agreed with Autodesk. In addition, Autodesk or Distributor may contact a sample of an ATC’s trainees to confirm the surveyresults submitted or to follow up on complaints. 3.6 CERTIPORT AUTHORIZED TESTING CENTERIf an ATC would like to offer Autodesk certification, the ATC must apply with Certiport to become a CertiportAuthorized Testing Center (CATC). See www.certiport.com for more information or visitwww.certiport.com/autodesk.4. LICENSE OF AUTODESK SOFTWARE PRODUCTS AND LICENSE FEESEach ATC shall purchase adequate Subscription licenses of Autodesk Products in order to fulfill the ATC’s businessplan.
