terms & conditions1. APPLICATIONThe Council reserves the right torefuse any application to hire its venues(the “Venue”) without having to giveany reason. It may also impose anyadditional terms and conditions as itconsiders appropriate from time to time.Use of the Venue includes use of thefoyer, cloakrooms, dressing rooms andrefreshment facilities. The Venue mustonly be used by the person seeking to hireit (the “Hirer”) for the purposes statedon the relevant application form. If theVenue is used for any other purpose, orthe Council suspects that it will be soused, it reserves the right to terminatethe booking immediately without beingrequired to pay any form of compensationto the Hirer.2 . CANCELL ATIONSWhere written notice of cancellation isgiven to the Council by the Hirer onemonth or more before the date of thebooking, No Charge will be payable bythe Hirer. If a deposit has been requestedby the Council, this will be retainedunless and until the date of the booking isrequested and paid for in full by anotherhirer. Where written notice of cancellationis given to the Council by the Hirer lessthan three weeks but more than 7 daysbefore the date of booking, 50% of thecharge will be payable by the Hirer.Where written notice is given less than 7days before the booking, the full chargewill be payable by the Hirer. Wherethe Hirer fails to cancel the booking inwriting the full charge will be payable bythe Hirer. In any event, the fee for eachbooking is due on or before the date ofthe booking and the Council reserves theright to charge interest on any sum thatis overdue until payment is made in full(whether before or after any judgment),11 such interest to amount to 2.5% abovethe then current base rate of BarclaysBank plc. Any cancellation or alterationto a booking must be made in writing inaccordance with Clause 11. Failure to do sowill result in the full charge being payable.3. DEPOSIT AGAINST DAMAGEA deposit against damage may be requiredfrom the Hirer. The deposit is onlyrefundable if no damage is caused to theVenue and the items contained within it. Ifany such damage is caused, the Hirer willpay the full cost of all repairs, initially to bededucted from the deposit. In the eventthat the deposit is insufficient to meetthe cost of the damage, an invoice will beissued by the Council for the balance whichwill be payable by the Hirer within sevendays, late payments to be subject to theinterest charge detailed at Clause 2.4. FIRE REGUL ATIONSFire regulations set out the number ofpeople who can be accommodated at theVenue and under no circumstances mustthis number be exceeded. If, during theperiod of the booking, the Council discoversthat this capacity has been exceeded,the Hirer will be required to reduce thenumbers of persons at the Venue or thebooking will be terminated immediately andthe Venue cleared completely.5. RESPONSIBLE PERSONSAt the beginning of the period of thebooking, an appointed representative ofthe Hirer (the “Responsible Person”) mustmake themselves known to the Council’sduty assistant. The Responsible Personmust be on duty throughout the whole ofthe period of the booking.They will also be responsible for:The maintenance of good order andbehaviour during the Hirer’s use of theVenue and also for all and any damagecaused. Identifying those who arelegitimately at the event being held at theVenue and those who are not. Ensuringthat the permitted numbers are notexceeded at the Venue (in accordancewith Clause 4). All persons attending theirevent at the premises, including, but notlimited to, fairs, dances and meetings.(Adequate provision for first aid should bemade at all times, including, but not limitedto, the supply of a first aid kit.)6. S ALE & SUPPLY OF ALCOHOL /BEVER AGESThe supply of alcohol and beverages mustbe made solely through the Council. Noindividual or organisation of any kind willbe permitted to supply their own barunless they meet the Council’s Grace andFavour policy. Under these circumstancesspecial conditions will apply, as specified bythe Council.7. S ALE & SUPPLY OF CATERINGThe supply of catering must be made solelythrough the Council. No individual ororganisation of any kind will be permittedto supply their own catering unless theymeet the Council’s Grace and Favourpolicy. Under these circumstances specialconditions will apply, as specified by theCouncil.8. H IRER TO INDEMNIF Y THECOUNCILThe Hirer shall indemnify the council againstall claims, demands, actions or proceedingsin respect of goods or clothing or of thedeath or injury of any person which shalloccur during the period of the booking, orprior or subsequent thereto, if in any wayin relation to, or by reason of the booking.This indemnity shall not apply where theloss is not due, in whole of in part, to the actor omission of the Hirer. The Hirer may be

asked to produce satisfactory evidence ofthis indemnity at any time to the Council’sCommercial Manager or his agent. In everybooking there shall be deemed to be impliedon the part of the Hirer an undertaking withthe Council strictly to observe and performall statutory provisions and regulations andall conditions and regulations imposed byJustices or any authority applicable to anybooking and to indemnify the Council, itsofficers and servants from all penalties,damages and costs which they may incurin consequence, directly or indirectly, ofany breach or default in complying with anysuch provisions, regulations or conditions.Terms and Conditions relate to the hire ofall Venues within the Town Hall and CornExchange in Devizes and are not negotiable.The Hirer shall not assign the benefit orburden of this Agreement, or any partthereof, or sub-let any part of the Venue,except with the prior written agreement ofthe Commercial Manager of the Council. Ifthe Hirer fails to observe or perform anyof its obligations under this Agreement, theCouncil may charge to and recover from theHirer any expenses it incurs in remedyingany such failure including, but not limited to,the costs of employing attendants, workmen,cleaners or other persons as it deemsappropriate and/or may cancel any bookingof the Venue by the hirer without incurringany liability by the hirer whatsoever.9. O THER CONDITIONS OF HIREIn the interests of health and safety, andto maintain the historic nature of theVenue, the Hirer must adhere to thefollowing conditions. Ensure that, at alltimes, stairways and exits to which thepublic have access are not blocked and areunfastened and unobstructed. Gas filledballoons at any event must be removedbefore the Hirer leaves the Venue. Articlesand decorations must not be attachedto any part of the Venue by any meanswhatsoever and no alteration or additionsof any kind must be made to the Venue.Whilst the Council permits the playingof disco music at private parties andfunctions, the Council seeks the full cooperation of the Hirer to ensure that thenoise level of music is kept at a reasonablelevel so as not to disturb residents adjacentto the Venue and that at no time no part ofthe Venue is used in such a way as to causeany nuisance, annoyance, disturbance,inconvenience, injury or damage to theCouncil or the owners or occupiers ofadjacent or neighbouring premises. TheVenue is licensed for dancing, singing, andother similar public entertainments but theHirer must observe and comply with allthe CONDITIONS of the licence, whichlicence is displayed in or near the Venue.A copy is also available from the Councilon request. Smoking is not permitted inany area of the Venue. If it is found thata smoker has caused any form of damagewhatsoever, the Hirer will be held liableand will be responsible for all repaircosts. In the interests of hygiene, with theexception of guide dogs, dogs and otheranimals are not permitted in any part ofthe Venue. No part of the Venue is to beused for any unlawful purpose or in anyunlawful way. The Hirer must not usethe Venue in such a way as to infringe anycopyright or allow any copyright to beinfringed. The Hirer must not grant anybroadcasting or filming rights in relationto the Venue, nor release any form ofadvertisement regarding any events to beheld at the Venue as part of the booking,without the prior written consent of theCouncil. At the end of each booking, theHirer must leave the Venue in a clean andorderly state, free of any litter.10. RIGHTS OF THE COUNCILThe Council reserves the following rights:To cancel any booking for a day when theVenue is required for any official reasonincluding, but not limited to, taking the pollor counting the votes at a Parliamentary orLocal Government election, cancellationto be without any form of payment to theHirer or any compensation for damages,although the Council will use its reasonableendeavours to give the Hirer as muchnotice as reasonably practicable if theVenue is required for any such reason. TheCouncil reserves the right to refuse accessto the Venue in cases where the full feehas not been received or the completedapplication form has not been returned.With reasonable grounds, to refuseadmission to, or to remove from the Venue,any person. To cancel or vary any bookingif the Council, in its discretion, deems itdesirable or necessary to do so. To cancelor vary any booking if the Hirer makes anymisrepresentation in the application formsubmitted. To enter and inspect the Venueat any time including, but not limited to,whilst any event is taking place. The Councilshall not be responsible in any way forgoods, materials or equipment brought intoor left in the Venue.11. NOTICESAll notices, demands or requests by eitherparty to the other shall be in writing andshall be sufficiently served if deliveredby hand or sent by recorded delivery tothe address of the Hirer specified in thisAgreement in the case of a notice, demandor request to the Hirer and to DeputyTown Clerk of the Council at its thenprincipal office address in the case of anotice, demand or request to the Council.12 . GENER ALEnglish law governs this Agreement and theEnglish Courts have exclusive jurisdictionto determine any disputes. Nothing inthis Agreement will make either partythe agent of the other nor will it create apartnership, employment relationship orjoint venture between the parties. ThisAgreement sets out the entire agreementbetween the parties in connection with the12

matters with which this Agreement dealsand supersedes any previous agreementsand understandings between the partiesrelating to the subject matter of thisAgreement. Each party acknowledges that,in entering into this Agreement, they havenot relied on any representation, warrantyor statement not set out in this Agreement,and that (in the absence of fraud) the onlyremedy available to them for breach ofthis Agreement is for breach of contractunder the terms of this Agreement. If anyprovision of this Agreement is held by anycourt or other competent authority to bevoid or unenforceable in whole or part,the validity of the remaining provisions andthe remainder of the affected provisions isunaffected. The benefit of this Agreement ispersonal to the Hirer and is not assignableor capable of being sub-licensed. Nothingin this Agreement is intended to confer anybenefit on any person who is not a partyto it. The Council will not be liable for anyloss due to any breakdown of machineryfailure, of supply of electricity, leakage ofwater, fire, government restrictions oract of God, which may cause the Venueto be closed temporarily, or which mayinterrupt or cancel the availability of theVenue. The Council does not warrant thatthe Venue is legally or physically fit for anyspecific purpose.13. PAYMENT TERMS : WEDDINGSA deposit payment in respect of the venuehire is required on confirmation. Shouldthe customer fail to pay such a deposit, theCouncil will treat the booking as havingbeen cancelled by the Hirer. Cancellation ofweddings will be in accordance with clause2. An invoice for payment of the final depositbased on the estimated number of guestsattending the event will be issued up to fourweeks before the event. Payment should bereceived no later than one week prior toevent. Following the event a final invoice willbe raised, if the total deposit paid is more13 than the final invoice, the Council will refundthe difference after the event.14. PAYMENT OF ALL OTHER EVENTSAn invoice for payment of venue hire,damage deposits (if applicable) will beissued up to four weeks before the event.Payment should be received no later thanone week prior to event. The Councilreserves the right to request full paymentprior to any event.15. PAYMENT METHODThe Council operates a Chip and Pinmachine as its preferred method ofpayment prior to the event taking place.Payment can also be made by cash andcheque (cheques should be make out toDevizes Town Council). All paymentsmust have cleared before event takes placeand should be in full unless credit termshave been agreed.
