The School offers, bothin Spain and overseas, highereducation courses designed toprovide students with specialistsports management trainingof the highest quality, not onlywith respect to sporting facilitiesand equipment, but also to thetraining and practice of thesport or the conversion thereofinto a spectator event, andincluding every aspect relatedwith communication, healthReal Madrid wins the Twelfth.

1.3.1 CORPORATE STRUCTUREReal Madrid Football Club is anonprofit private sports entityformed by its members in orderto promote and practice thesports established in its Articlesof Association.1.3.2 ADMINISTRATION OF THE CLUBCorporate Social Responsibility Report real madrid 2016-20178Themanagementandrepresentation of the entitycorresponds to the GeneralAssembly, the President and theBoard of Directors. These threebodies are democratically electedby the members, whose wishesare represented in the way thatthe club is administered. Theprinciples of accountability andtransparency are systematicallyapplied in all the areas of the clubin accordance with the standardsof good governance.Good corporate governancemanifestsitselfintheadministration of the club byway of cross-cutting policiesand procedures that ensure thecontrol of key decisions such asappointments, remunerations,purchases and investments.As far as all critical processes areconcerned, the procedures to befollowed have been defined in sucha way that their implementationis fully verifiable, traceable andauditable. The application of goodcorporate governance principlesensures that key decisions areendorsed and are firstly subjectedto the scrutiny of the director ofthe corresponding area, secondlyto the validation of the operationalmanagement structure that actsacross the entire ent,ExpenditureControl,etc.),and thirdly to the approval ofcommittees formed by seniorclub executives and membersof the Board of Directors. Italso supervises and heads up theadministration and managementof the club in the broadestsense of the word. Finally, thecorrect implementation of all theprocesses is supervised by theDepartment of Compliance andInternal Auditing. It has thereforeimplemented an integratedtransparency policy in recentyears that culminated in thewebsite (http://www.realmadrid.c o m / so b re -e l -re a l -m a d r i d /el-club/transparencia)whichpublishes all institutional, financial,organizational and contractualdata according to nationaland international standards,such as Law 19/2013 ontransparency, public informationand good governance, as wellas International TransparencyINFUTindicators.Thetransparency policy forms partof the broader obligations ofcorporate responsibility and goodgovernance, is supplemented bythe Code of Ethics and controlprograms that guarantee theprevention of non-complianceand culminates in the qualityand stakeholder participationsystems.1.3.4 MEMBERS’ RIGHTSAll members have the rightto enjoy the club’s activitiesin accordance with the rulesestablished for doing so, andto choose not only the bodiesthat represent and governthe club, but also the mostsenior bodies which monitorand control the corporategovernance of Real Madrid ina democratic manner.1.3.5 GENERAL ASSEMBLYThe General Assembly isthe most senior of the club’sgovernance bodies and itsduties include the approval andratification or the censure of thePresident and of the Board ofDirectors.The General Assembly consistsof all the members who areeligible to vote in accordancewith the system of democraticrepresentation established in theclub’s bylaws.The General Assembly examinesand, where appropriate, approvesthe Annual Report, Balance Sheetand Profit and Loss Account ofeach financial year, as well as thefollowing year’s budget.The General Assembly is thetop institutional body whichsystematicallyappliestheprinciple of accountability andguarantees good governancefor how Real Madrid is managed.Other exclusive powers ofthe General Assembly includethe amendment of articles ofassociation, taking the mostimportant economic decisions,passing a motion of no confidencein the President or in the Boardof Directors, and the calling of areferendum among the membersin order to decide upon mattersof extreme importance. The Board ofDirectors oversees the actionsof the club’s executive managersand in turn reports its findings tothe General Assembly, therebyensuring the principles of goodcorporategovernanceareapplied to the management ofReal Madrid at all times.The President and the Board ofDirectors are democratically votedin as a result of the correspondingelections for which thosemembers who are in compliancewith that established in the articlesof association put themselvesforward as candidates.Elections to choose a newPresident and Board of Directorsare called under the followingcircumstances:a. Due to the term of office of theformer President and Boardof Directors having expired.b. Upon the decision of thePresident or of the Board ofDirectors.c. When so agreed by the GeneralAssembly due to the resignationor disqualification of the Boardof Directors, or whenever thenumber of Board membersfalls below a total of five due toresignations, abandonments,deaths or physical disabilities.d. Due to a vote of no confidenceapproved in accordance withthat stipulated in the articlesof association - bodies, andwith the control proceduresimplemented by the GeneralAssembly to ensure the goodgovernance practices of theclub.The Board of Directors remainsin office for a period of four yearsas of its announcement, and itsmembers can put themselvesforward for re-election, eitheras a single unit or separately asparts of other candidacies.The Board of Directors isendowed with the widest rangeof powers with which to govern,administrate and represent theentity as the maximum bodyfor expressing the will of itsmembers, with the only limitupon these being those mattersthat can only be decided uponby the General Assembly.internal executive body is theDepartment of Compliance,which in reporting directly to thePresident of the club, defines andapproves the control proceduresand systems necessary forensuring a maximum degree ofinstitutional rigor. The club’s individualclients are those that purchasea ticket for any of the sportingevents that we organize, aticket to visit our facilities andexhibitions or buy the productswith our brand.2.1.7 FANSThe fans are those that support ourteams in the various competitionsin which we participate. RealMadrid is a club that is opento everyone.
