SHALER AREA SCHOOL DISTRICT PA School Code, Section 1502 Resolution Official 2017-18 Local School District Holidays Whereas the Pennsylvania School Code in Section 1502 permits a local school district, prior to the start of the school year, to designate five “official local school district holidays” in addition to the legal holidays specified in the School Code as protected holidays for all school districts, which are: July 4; Thanksgiving; December 25; January 1; and Memorial Day and Whereas the 2017-18 school year in the Shaler Area School District begins on August 18, 2017 for teachers and August 24, 2017 for students by virtue of adoption of the 2017-18 School Calendar by the Shaler Area School Board on February 15, 2017; and Whereas this Section 1502 resolution is also being adopted as a separate Board motion on this 15th day of February, 2017 and prior to the beginning of the start of the 2017-18 school year, Therefore be it resolved that the Shaler Area School Board designates the following days as Section 1502 Official Local School District Holidays for the 2017-18 school year: November 24, 2017; December 26, 2017; December 29, 2017; and March 30, 2018. Contract: Grade Point Resources for Shaler Area School District This contract is established between Grade Point Resources and Shaler Area School District. Contract is for services to initiate March 20, 2017 and end June 4, 2018. Grade Point Resources will provide a professional staff member to service the school district and executive the following duties for the remainder of the 2016/2017 school year and the 2017/2018 school year: Functional behavior assessments Assist special education IEP teams to develop positive behavior support plans Provide crisis support as needed Provide individual counseling services Conduct social skills classes in the emotional support classroom(s)/conduct social skills group lessons Work with classroom teachers to design and implement strategies for students with behavioral needs Provide consultation and training to classroom staff Assist families with service coordination to outside agencies Serve as a member of IEP team(s) of designated students A. Grade Point staff provisions required at Shaler Area School District: Dedicated office with a desk, phone, and locking file cabinet to provide confidential space to meet students, make phone calls, and maintain confidential documentation School email address and access Entry badge Assistance, cooperation, and participation of Shaler Area School District’s administrative, professional, and support staff in the development and implementation of the services outlined above Access to copier, fax, office supplies as needed

B. Documentation: Grade Point Resources will provide to Shaler Area School district all certifications, licenses, and clearances of personnel as required by law and/or by Shaler Area School District prior to staff initiating work at Shaler Area School District. Grade Point Resources shall provide evidence of liability insurance coverage during the contract period with limits of liability not less than 1,000,000 per occurrence and 3,000,000 in the aggregate general liability and 5,000,000 excess/umbrella liability coverage. Grade Point Resources shall add Shaler Area School District as an additional insured. Grade Point Resources and all agents/employees/subcontractors of Grade Point Resources shall observe and comply with the provisions of the Individuals with Disabilities Education Act 2004 and all relevant portions of the PA Public School Code, HIPAA, and all other applicable laws, rules, regulations and requirements of any and all governmental bodies having jurisdiction over services to be rendered by Grade Point Resources. C. Compliance with Applicable Law: Grade Point Resources shall ensure that the services it provides comply with all requirements of State and Federal law to the extent such compliance does not depend upon the performance or actions of any other individual or entity beyond the control of Grade Point Resources. Shaler Area School District shall provide such action, assistance, or cooperation as is required to ensure that students referred to Grade Point Resource’s staff receive a Free Appropriate Public Education in compliance with all applicable provisions of state and federal law. D. Payment for Grade Point Resources: (1) Shaler Area School District agrees to pay Grade Point Resources the amount of 1,625 per week for the following weeks: a. March 6 – May 26, 2017 (12 weeks) : 19,500

b. August 24, 2017 – June 4, 2018 (40 weeks) : 65,000 (2) Grade Point Resources shall submit invoices one month in advance on the 10th of the month. (3) Shaler Area School District shall make payment on invoices so that payment is received within 15 days of the date of the invoice. (4) Late payment charge: there will be a 1% late payment charge on any unpaid balance over sixty days past due. E. Liabilities: The parties agree to indemnify, defend, and hold harmless each other, their respective directors, officers, employees and agents, against all claims, damages, losses or penalties for personal injury or death or damage to personal or real property owned or leased by such party, or the operation of maintenance of any equipment or vehicles provided or used by such party arising out of any acts or omissions of the party’s employees. None of the administrative, professional, paraprofessional or support personnel provided by the parties shall be considered employees or agents of the other party hereto for any purpose. The parties agree to indemnify, defend, and hold harmless each other against all claims, damages, losses or penalties resulting from any judicial, administrative, or another determination that any staff member of one party hereto is an employee or agent of the other party hereto. F. Term/Termination: This Agreement will be effective for the term of February 15, 2017 through June 4, 2018, following the student school calendar. Either party has the right to terminate the agreement upon the provision of 30 days’ written notice of intent to terminate. G. Arbitrators Decision: In the event that the Arbitrator’s decision is not in favor of the placement of Grade Point Resources’ staff at Shaler Area School District, this contract becomes null and avoid.

H. Relationship of Parties: It is understood by the parties that Grade Point Resources is an independent contractor with respect to Shaler Area School District. Shaler Area School District will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Grade Point Resources. I. Entire Agreement: This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This agreement supersedes any prior written or oral agreement between the parties. J. Amendment: This Agreement may be modified or amended if the amendment is made in writing and signed by both parties. K. Severability: If any provision of this agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid and unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. L. Waiver of Contract Right: The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement. M. Applicable Law: The laws of the state of Pennsylvania shall govern this Agreement.
