THE DISPUTE RESOLUTION BOARD(“DRB”) is established pursuant toSection 2 of the Trading and Settlement Code (the “Code”), which may be viewed onthe SEMO website.The following is a guide intended to assist persons who may need to seek resolutionof a dispute. The rules relating to dispute resolution are those set out in the Codeincluding Agreed Procedure 14. For the avoidance of doubt, in the event of anyconflict or inconsistency between the following and the Code, the Code shall prevail.Whilst this guide is intended to assist persons using it, it is not intended to be asubstitute for the rules set out in the Code.Definition of “Dispute”According to paragraph 2.276 of the Code, a “Dispute” means any claim, dispute ordifference of whatever nature between any of the Parties howsoever arising under,out of or in relation to the Code or the Framework Agreement (including theexistence or validity of the same) in respect of which (i) one Party has served aNotice of Dispute, or (ii) a Notice of Dispute is deemed to have been served underparagraph 2.282. A Dispute includes any Settlement Dispute.Paragraph 2.282 states: “In the event that the Market Operator does not resolve aSettlement Query within the timeframes set out in paragraph 6.102, or does notresolve a Data Query within the timeframes set out in paragraph 6.81, theSettlement Query or Data Query, as appropriate, shall automatically become aSettlement Dispute and the Notice of Dispute shall be deemed to have been issuedon the date on which the Market Operator was required to issue its determination inrespect of the Settlement Query or Data Query.”Objectives of the Dispute Resolution ProcessAccording to paragraph 2.286 of the Code, the process should to the extent possible:1. be simple, quick and inexpensive;2. preserve or enhance the relationship between the Disputing Parties;3. resolve and allow for the continuing and proper operation of the Code and thePool having regard to the Objectives of the Code;4. resolve Disputes on an equitable basis in accordance with the provisions ofthe Code having regard to the Objectives of the Code;5. take account of the skills and knowledge that are required for the relevantprocedure; and6. encourage resolution of Disputes without formal legal representation orreliance on legal procedures.3

Stages of the Dispute Resolution ProcessThe Dispute Resolution Process is set out in Section 2 of the Code. Furtherinformation along with required forms may be found in Agreed Procedure 14 of theCode.APPOINTMENT OF THE DISPUTE RESOLUTION BOARDThe Disputing Parties enter into contract with the Panel Members directly rather thanwith the Market Operator. The Form of Dispute Resolution Agreement is contained inAppendix B of the Trading and Settlement Code.Where there are no more than two Disputing Parties, the Parties shall agree toestablish a DRB within ten working days of the Dispute arising. The Parties to theDispute shall nominate the member(s) of the DRB.The Parties to the Dispute must agree to appoint either:1. one sole member within 5 working days in order to establish a sole memberDRB;2. one Panel member each within 5 working days; those members will thennominate the third member of the DRB within a further period of 5 workingdays.If they fail to do so within the said time period, the chairperson will determine andappoint the appropriate number of members to the DRB within a further 10 workingdays.Where there are more than two Parties to the Dispute, the Parties shall nominate themembers of the DRB within 10 working days. If they fail to do so, the chairpersonwill determine and appoint the appropriate number of members to the DRB.Acceptance of the appointment will be subject to the availability of Panel members atthe time a dispute arises. The frequency of the call on a member’s services dependson the Parties to the Dispute. There is no compulsion on Parties to nominate aparticular member to the DRB. Similarly, there is no compulsion on a member toaccept a nomination.Should a member decline to act or be unable to act, including where theappointment has been terminated by unanimous agreement of the Disputing Parties,the chairperson or vice-chairperson of the Panel will appoint a replacement within 5working days of notification.4

DISPUTE RESOLUTION PANELParagraph 2.294 states: “The Panel shall include suitably qualified experts fromrelevant disciplines who:1. are experienced in and familiar with alternative dispute resolution procedureswhich do not involve litigation; and/or2. have an understanding of the electricity industry or have the ability quickly toacquire such an understanding.”Pursuant to paragraph 2.294, members have been invited to sit on the Panel fortheir relevant experience and expertise in the electricity industry, construction,engineering and legal fields and alternative dispute resolution by the RegulatoryAuthorities and the MO. According to paragraph 2.293 of the Code, the members ofthe DRB shall be independent of any Disputing Party.Pursuant to paragraph 2.292 of the Code, the Regulatory Authorities have nominatedJoe Behan as Chairperson of the Dispute Resolution Panel.Fees PayableFees are covered by clause 8 of the Dispute Resolution Agreement (as set out inAppendix B to the Code) and it is a matter for the member to propose and theDisputing Parties to agree. There are no fixed fees or published rates. Thisrecognizes the range of disciplines and experience that may need to be called upondepending on the nature of the dispute.According to Section 2 of the Code, each Disputing Party shall be responsible forpaying an equal share of the costs of the DRB in respect of the Dispute involvingthem and shall bear its own costs of the procedure. Where the MO is a Party to aSettlement Dispute which has arisen by its failure to resolve a Settlement Querywithin the timeframes, the MO is liable for all costs in connection with the SettlementDispute. The DRB may yet award costs in any Dispute.5
