They were distributed electronically via email tothe directors in January prior to this meeting. The minutes had no amendments. A motion to approve theminutes was made by Jay Finnigan, seconded by Gene Palecco.Approval of the minutes of the Winter 2019 meeting passed unanimously.Treasurer’s ReportAAHA Treasurer, Nancy Hughes, presented the annual report. It was distributed prior to the meeting with allother reports. Motion to accept the budget motion from Tyler Loftus and John Geverd. Budget passedunanimously.ooNancy is retiring from the board and will assist in the transition.Motion by Jay Finnigan and seconded by Bill Fox to authorize Secretary to prepare a resolution to

designate all signatories and to update the business address for the AAHA upon her retirement – Thismotion was passed unanimously.President’s ReportAAHA President, Glenn Hefferan, presented his annual report to the membership. It included the following: Announcement of a bad faith complaint filed with USA Hockeyo Tipping pointo Review of financial transactions – special committee – Pete Rothman –o Due to unanswered questions by a party other than Glenn, it was deemed appropriate by theExecutive Committee to commence a forensic audit – Mr. Neiero Glenn advised USAH that we have commenced the auditConflict of Interest complaint – addressed by USAHo COI reports were not done in 18-19 waiting for USAH – overwhelmed on bylaw updatesAll board members must register with USAH, be screened, SafeSport and COISafeSport ChangesCongratulations to the teams that participated in the USA Hockey National TournamentSolicitation for Committee Members – see form attached to these minutesRules and regulations sub-committee to be formed to review our documentsExecutive Vice President’s ReportExecutive Vice President Ray Ferry - no report.Vice President ReportsAnnual reports from the Vice Presidents were distributed electronically prior to the meeting.USA Hockey Director ReportsAnnual reports from the USA Hockey Directors were distributed electronically prior to the meeting.USA Hockey Appointee ReportsAnnual reports from the USA Hockey Appointees were distributed electronically prior to the meeting. AAHA Appointee ReportsAnnual reports from the AAHA Appointees were distributed electronically prior to the meeting. Kelly DiNorcia – Parent Engagement Project and Diversity, Equity and Inclusiono New Jersey Devils hosted two events in March with Kim Davis from the NHL. The events wereattended by members of our community and highlighted the complexities of diversity aninclusion that surround the sport.o Kelly and Donna Guariglia also attended an NHL Diversity meeting in Las Vegas during the NHLawards – sports make social changeUSA Hockey ReportsKatie Holmgren – Program Services Katie explained some of the restructuring happening at the National office that will better able them tosupport the local infrastructureShe has opportunities to sponsor participants to NARCERichard Hansen – ADM Regional Manager Works with Maureen Thompson-Siegel to support the growth of the American Development ModelHe is available to visit rinks for clinics, meetings, etc. Contact Rich or Maureen for more information.Election of Officers and USA Hockey DirectorsThe following list represents the positions that are up for election at the 2019 AAHA Annual meeting. Thepurpose of this proposal is to create a panel of 15 to 20 individuals who are trained in the process ofconducting appropriate hearings and appeals, and the nuances of USA Hockey’s Bylaw 10 and theAffiliate hearings and appeals rules.The creation of this trained panel, will allow for a broader group of individuals to serve in Disciplinaryand Administrative Hearings, thereby improving the quality, efficiency and consistency of our hearingsand appeals process.These individuals can also serve as a resource for all Clubs that are managing an internal disciplinaryhearing.The Affiliate will request applications from its membership. A small working group will review theapplicants, seek to create a diverse panel in both work and hockey experience, education, race andgender. USA Hockey has developed a new volunteer position entitled, “Player Safety Coordinator.” Informationon this position was distributed at the meeting. AAHA will be appointing a person to this position forthe upcoming season.Page 4
