READ THIS SOFTWARE LICENSE AGREEMENT BEFORE USING THIS PRINTERSoftware License AgreementDisclaimer of Warranties and Limitation of RemediesCAREFULLY READ THE FOLLOWING TERMS ANDCONDITIONS BEFORE USING THIS PRINTER. USING THISPRINTER INDICATES YOUR ACCEPTANCE OF THESETERMS AND CONDITIONS. IF YOU DO NOT AGREE TOTHESE TERMS AND CONDITIONS, PROMPTLY RETURNTHE PRINTER AND ALL ACCOMPANYING HARDWAREAND WRITTEN MATERIALS TO THE PLACE YOUOBTAINED THEM, AND YOUR MONEY WILL BEREFUNDED.1.THE PARTIES AGREE THAT ALL OTHERWARRANTIES, EXPRESS OR IMPLIED, INCLUDINGWARRANTIES OF FITNESS FOR A PARTICULARPURPOSE AND MERCHANTABILITY ARE EXCLUDED.TallyGenicom does not warrant that the functionscontained in the Software will meet your requirements orthat the operation of the Software will be uninterrupted orerror free. TallyGenicom reserves the right to makechanges and/or improvements in the Software withoutnotice at any time.2.To protect the proprietary rights of TallyGenicom,you agree to maintain the Software Product andother proprietary information concerning thetypefaces in strict confidence.IN NO EVENT WILL TALLYGENICOM BE LIABLE FORLOST PROFITS, LOST DATA, BUSINESSINTERRUPTIONS, OR ANY OTHER DIRECT,INDIRECT, INCIDENTAL OR CONSEQUENTIALDAMAGES ARISING OUT OF THE USE OF ORINABILITY TO USE THIS PRODUCT, EVEN IFTALLYGENICOM HAS BEEN ADVISED OF THEPOSSIBILITY OF SUCH DAMAGES, OR ANYDAMAGES CAUSED BY THE ABUSE ORMANIPULATION OF THE SOFTWARE. SOME STATESDO NOT ALLOW THE EXCLUSION OR LIMITATION OFLIABILITY FOR CONSEQUENTIAL OR INCIDENTALDAMAGES, SO THE ABOVE LIMITATION MAY NOTAPPLY TO YOU.3.b.You agree not to duplicate or copy the SoftwareProduct.TallyGenicom will not be liable for any loss or damagecaused by delay in furnishing a Software Product or anyother performance under this Agreement.4.c.You shall not sublicense, sell, lease, or otherwisetransfer all or any portion of the Software Productseparate from the printer, without the prior writtenconsent of TallyGenicom.d.You may not modify or prepare derivative works ofthe Software Product.Our entire liability and your exclusive remedies for ourliability of any kind (including liability for negligenceexcept liability for personal injury caused solely by ournegligence) for the Software Product covered by thisAgreement and all other performance or nonperformanceby us under or related to this Agreement are limited to theremedies specified by this Agreement.e.You may not transmit the Software Product over anetwork, by telephone, or electronically using anymeans; or reverse engineer, decompile ordisassemble the Software.5.California law governs this Agreement.Definitions.“Software” shall mean the digitally encoded, machine-readabledata and program. The term “Software Product” includes theSoftware resident in the printer and its documentation. TheSoftware Product is licensed (not sold) to you, andTallyGenicom. either owns or licenses from other vendors whoown, all copyright, trade secret, patent and other proprietaryrights in the Software Product.License.1.2.Authorized Use. You agree to accept a non-exclusivelicense to use the Software resident in the printer solelyfor your own customary business or personal purposes.Restrictions.a.f.3.You agree to keep confidential and use your bestefforts to prevent and protect the contents of theSoftware Product from unauthorized disclosure oruse.Transfer. You may transfer the Software Product with theprinter, but only if the recipient agrees to accept theterms and conditions of this Agreement. Your license isautomatically terminated if you transfer the SoftwareProduct and printer.Limited Software Product WarrantyTallyGenicom warrants that for ninety (90) days after delivery,the Software will perform in accordance with specificationspublished by TallyGenicom. TallyGenicom does not warrantthat the Software is free from all bugs, errors and omissions.RemedyYour exclusive remedy and the sole liability of TallyGenicom inconnection with the Software is replacement of defectivesoftware with a copy of the same version and revision level.Termination of License AgreementThis License shall continue until terminated. This license maybe terminated by agreement between you and TallyGenicomor by TallyGenicom. If you fail to comply with the terms of thisLicense and such failure is not corrected within thirty (30) daysafter notice. When this License is terminated, you shall returnto the place you obtained them, the printer and all copies of theSoftware and documentation.U.S. Government Restricted RightsUse, duplication or disclosure by the Government is subject torestrictions as set forth in the Rights in Technical Data andComputer Software clause at FAR 242.227-7013, subdivision(b) (3) (ii) or subparagraph (c) (1) (ii), as appropriate. Furtheruse, duplication or disclosure is subject to restrictionsapplicable to restricted rights software as set forth in FAR52.227-19 (c) (2).Acknowledgement of Terms and ConditionsYOU ACKNOWLEDGE THAT YOU HAVE READ THISAGREEMENT, UNDERSTAND IT, AND AGREE TO BEBOUND BY ITS TERMS AND CONDITIONS. NEITHERPARTY SHALL BE BOUND BY ANY STATEMENT ORREPRESENTATION NOT CONTAINED IN THISAGREEMENT. NO CHANGE IN THIS AGREEMENT ISEFFECTIVE UNLESS WRITTEN AND SIGNED BYPROPERLY AUTHORIZED REPRESENTATIVES OF EACHPARTY. BY USING THIS PRINTER, YOU AGREE TOACCEPT THE TERMS AND CONDITIONS OF THISAGREEMENT.
