Legal and tax considerationsenter into this decision. The Office of Economic and Workforce Development stronglyencourages individuals to seek the professional advice of a reputable business attorney andaccountant for further assistance in starting a business.Sole ProprietorshipA proprietorship is owned by a single individual who is solely responsible for all aspects of thebusiness. A sole proprietor has unlimited liability for the debts of the business.PartnershipA partnership is owned by two or more individuals. A partnership may be of two types: generaland limited. Both general and limited partners share the profits and the losses from thebusiness.General partners actively participate in the management of the business and have unlimitedliability for the business.Limited partners cannot actively participate in the management of the business and are liableonly to the amount they have agreed to invest.The name of every corporation within North Carolina must include one of the following:“corporation,” “incorporated,” “limited,” “company,” or an abbreviation of one of the previoustitles. The use of these terms without incorporation is illegal.You may decide to incorporate your business, OR create a limited liability company, limitedliability partnership, or a limited partnership. Profits from acorporation are taxed either at the corporate level or the individual level. There are three types of corporations: S, C, and LLCs. A “C” corporation: After completing the incorporation process, a corporation isautomatically classified as a C corporation by the IRS. If you wish to change the status toan S corporation, this must occur within the first 75 days of incorporation. To do so, use theIRS form #2553. An “S ” corporation is a variation of the regular corporation (a C corporation) that cannothave more than 75 shareholders and only one class of stock. The “S” corporation mustfile a tax return, but generally the stockholders report the profits on their individual incometax returns. For a corporation to be an “S” corporation, it must be a domestic corporation;have citizens own all of its stock; have individuals, estates, and certain trusts as theshareholders; have only one class of stock; hold elections only with all shareholderspresent. Limited Liability Company (LLC) is an entity with both members and managers asspecified in the Articles of Organization. An LLC offers the advantages of limited personalliability and in some cases, taxing benefits similar to a partnership. Legal counsel is highlyrecommended to guide your company in meeting the specific requirements necessary toqualify for the special taxing benefits.To establish a limited liability company, an individual must file with the SOS, CorporationsDivision. The filing fee is 125. The SOS does not provide a form for filing. Rural Center: Fueling Your Business in North Carolina: A Guide to Financingfor Small Businesses, and the Microenterprise Loan Program for individuals in NorthCarolina’s 85 rural counties who have sound ideas for starting or expanding a smallbusiness but may not qualify for bank loans. The USDA Rural Development offers Business and Industry loans and grants forbusinesses.Grants & Loans Several Science Business Grant Programs are administered by the North Carolina Officeof Science and Technology. The SBTDC supports six Inception Micro-Angel Funds (IMAF) across the state. Thesefunds provide 50,000 to 125,000 in early seed-stage capital to emerging technologybased businesses. Funds are up and running in the Triad, East, West and Coastal Piedmontregions; funds are under development for the Triangle and Coastal regions. First Flight Venture Center (FFVC) is a technology incubator located in the heart of theResearch Triangle Park. The FFVC mission is to increase the number of technology companiesoriginating in or relocating to North Carolina; its website lists loan and other financialresources. Golden LEAF Foundation. The Golden LEAF Foundation is a not-for-profit foundation thathelps transform formerly tobacco-dependent economies through grants in agriculture,economic development and workforce preparedness, as well as educational assistance. The N.C. Biotechnology Center has several Business Loan & Growth Programs forbiotechnology-related businesses. N.C. Community Development Initiative. Since its founding in 1994, the Institute haschanneled more than 65 million to local Community Development Corporations, resulting inmore than 358 million of completed local development projects. Assists with funding available through Community Development Credit33Limited Liability Partnership (LLP)This is the newest business structure available in the State of North Carolina. Limited liabilitypartnerships must contain at least two partners. Legal representation is highly recommendedin order to establish your partnership to meet the requirements of state statute. The State ofNorth Carolina has also established guidelines for creating a limited liability partnership. Toform a limited liability partnership you and your partners must file “Registration of a LimitedLiability Partnership” with the SOS, Corporations Division. The filing fee is 125. Legal counsel isrecommended, but not required.Hint: A limited liability partnership name must include one of the following: “limited liabilitypartnership” or the abbreviation, LLP The use of these terms without filing the Registration of aLimited Liability Partnership is illegal.Filing by mail will generally take 4-6 days. If you bring your filing to the Corporations Divisionbefore noon Monday - Friday, they will typically have your forms prepared for pickup afternoon the following business day. Documents filed after noon will be available after noon on thesecond business day. File all documentation with the SOS in original form and two copies.Note: In order to remain valid as an organization in the State of North Carolina, reports must befiled with the Corporations Division on a regular basis. For-profit corporations need to file anAnnual Report; failure to complete and return reports with the fee will result in the dissolutionof the corporation. The fee for filing annual reports for a corporation is 20. Nonprofitcorporations and limited partnerships are not required to file an Annual Report.
