Line52 of the WB-44 reminds licensees of the correctway to number the counter-offer. “NOTE: Numberthis Counter-Offer sequentially, e.g. Counter-OfferNo. 1 by Seller, Counter-Offer No.2 by Buyer, etc.”A counter-offer serves as a rejection of the offerand a submission of a new offer. The legal effectof writing and delivering a counter-offer is the sameas rejecting the previous offer and presenting anew offer to the party who submitted the previousoffer. Rather than rejecting an offer and draftinga new offer, using counter-offers permits parties to avoid the unnecessary drafting of an offer withterms nearly identical to the previous offer. Using counter-offers permits the countering party tocounter only the terms that vary from the original offer.
