Matthew Weigel and Joseph E. Lehnert, KMK LawOn December 8, 2020, the Associated General Contractorsof America, Inc. (“AGC”) filedsuit in the United States District Court for the District ofColumbia against the SmallBusiness Administration(“SBA”) and Office of Management and Budget (“OMB”).The lawsuit seeks declaratoryand injunctive relief prohibiting the SBA from using a“Loan Necessity Questionnaire” to collect informationfrom borrowers who receivedPaycheck Protection Program(“PPP”) loans in excess of 2million.released a notice seeking approval of two new draft, unreleased form questionnaires—Form 3509 for for-profit borrowers and Form 3510 for non-profit borrowers, in which itsignaled its intention to request additional informationfrom borrowers with loans inexcess of 2 million regardingtheir uncertainty certifications.Specifically, the new Loan Necessity Questionnaire containsmany questions requestinginformation regarding a borrower’s operations followingthe PPP loan, in order togauge the level of uncertaintythe borrower was experiencing prior to receiving the loan.In its lawsuit, the AGC arguesthe Loan Necessity Questionnaire is arbitrary and capricious and that the government failed to follow the requisite process mandated byfederal law for introducing theform questionnaire. Specifically, the AGC contends thatthe government violated theAdministrative Procedures Actwhen the OMB authorized theSBA to use the form questionnaire without providing thenecessary 60 day period forpublic comment. Moreover,the AGC alleges that the questionnaire runs contrary to theintent and purpose of theCARES Act, which establishedThe SBA administers the PPPprogram through variousbanks who served as the lenders for PPP loans. In submitting PPP loan paperwork tothese lenders, borrowers wereasked to certify that the economic uncertainty at the timeof their loan application madethe loan application necessaryfor the borrower to continueoperations. This is often referred to as the “uncertaintycertification.” On May 13,2020, the SBA, from a regulatory perspective, determinedthat all borrowers who hadsecured loans under 2 millionwould be deemed to have presumptively made the certification in good faith. Hamilton County Law Library Newsthe PPP, by requiring a means test, revenueimpact test, and liquidity test that Congressnever contemplated.This article is reprinted with the permissionof the authors.On December 9, 2020, the SBA issued additional guidance (FAQ #53) with respect tocertain PPP borrowers receiving a Loan Necessity Questionnaire. This guidance explains that the Loan Necessity Questionnaire will help the SBA assess the uncertainty certifications made by PPP borrowersthat received loans of 2 million or more.Such assessment will be based on the totality of the borrower’s circumstances througha multi-factor analysis, and the SBA maytake into account not only the borrower’scircumstances and actions before the borrower’s certification, but also those that occurred after such certification. That said,the SBA reaffirmed the principle that theborrower’s certification must have beenmade in good faith at the time of the loanapplication, even if subsequent developments resulted in the loan no longer beingnecessary. The SBA officially publicly released the previously draft-only form LoanNecessity Questionnaire on December 10,2020.The AGC has maintained the pursuit of itslawsuit, which ultimately requests that thecourt prohibit the SBA from using the information gleaned from the Loan NecessityQuestionnaire in its current form to find aborrower was ineligible for a PPP loan, or toserve as the basis for denial of a borrower’sapplication to have its loan forgiven.
