Subscriber Agreement Terms and Conditions Amadeus Selling Platform 1. Subject of the Agreement 1.1 Amadeus Germany shall grant the Subscriber the right to use the Amadeus Germany electronic reservation and distribution system (“Amadeus System”) in accordance with the following provisions. The Subscriber shall not have the right to insist that certain providers or offers be made available via the Amadeus System. Amadeus Germany shall be responsible for transmission of the relevant provider data as well as the possibility to use the provided software, but not for the correctness and accuracy of those transmitted data. If providers make their services available only under certain (commercial) conditions, Amadeus Germany reserves the right, for its part, to provide those services in the Amadeus System only under special conditions. The Subscriber itself shall be responsible for entering into agreements with the providers as a prerequisite for accessing their computers and/or systems. servers is the subject of this Agreement. It is possible for the Subscriber to switch between individual product lines as part of its subscription to the Amadeus Selling Platform. To be able to switch among the product line(s), however, the Subscriber must provide Amadeus Germany with at least three (3) months written prior notice from the end of the month. A new minimum term within the meaning of section 16.2 shall not be triggered by such a change. The Subscriber is advised that, in accordance with the Regulation of the EU Council of Ministers dated January 14, 2009, - - 2.3 The options for establishing a connection to the Amadeus System are contained in the current product sheets. 2.4 The Subscriber shall be responsible for the confidentiality of the data which enable it to gain access to the Amadeus System. The Subscriber undertakes to store user identification and password in such a way that unauthorized third parties do not have access to those data, thus ruling out the possibility of any access abuse by unauthorized third parties. Such persons who receive access to the Amadeus System with the knowledge and intent of the Subscriber, in particular employees of the Subscriber who are called in by the Subscriber to use the System in conformity with the Agreement, shall not be deemed unauthorized third parties. If the Subscriber grants its employees a right of access, it shall accordingly obligate them to maintain confidentiality over the access data. The scope of the granted right of use is contained in the relevant service forms (referred to as “order forms” in previous versions of the subscriber agreement). 1.2 2.5 In addition to section 2.4, the Subscriber undertakes to implement and comply with the security requirements, policies, and standards communicated by Amadeus Germany to the Subscriber. The Subscriber shall be liable for any damages arising from the lack of, or incorrect or delayed, implementation of or noncompliance with such security requirements. 3. Software Use 3.1 The following provisions shall apply to the use of the software, including interfaces, provided to the Subscriber within the framework of this Agreement. The Subscriber shall receive a nonexclusive and nontransferable right to use the software provided by Amadeus Germany for its own internal business purposes only, for a period limited to the duration of the relevant agreement, without the right to grant sublicenses. end consumers are, as a rule, to be advised by means of neutral display when purchasing airline services. The Subscriber shall gain access to the Amadeus System via an IP-enabled network link, or alternatively, an Amadeus Germany network link, the Internet, or other suitable access. If the Subscriber wishes to gain access via an Amadeus Germany network link, the Contracting Parties shall agree to separate arrangements for such access in a supplementary agreement. 2.2 To access the Amadeus System, Amadeus Germany shall make available servers which are secured against unauthorized access in accordance with the state of the art. Neither provision of network access to the Subscriber nor provision of transmission routes to the Amadeus Use of the software shall be limited to one PC per license and to the territory of the Federal Republic of Germany. Temporary use of the software on laptops from abroad shall remain unaffected hereby. Multiuser use of the software shall be excluded unless the software expressly provides for such use. 1 3.2 The right of use shall entitle the Subscriber to entirely or partially copy and/or store the software provided by Amadeus Germany on the hardware used by the Subscriber in accordance with these provisions. This shall also include the right to create a backup copy. The right of use shall likewise extend to the required use of documentation accompanying the software to be provided. 3.3 The Subscriber shall not be permitted to modify the software provided by Amadeus Germany or combine it with other programs. Terms and Conditions Amadeus Selling Platform making available the software provided by Amadeus Germany, or parts thereof, including copies, to third parties, with the exception of employees called in by the Subscriber to use the software in conformity with the Agreement. 3.5 On termination of the relevant agreement, the Subscriber shall completely destroy the software provided by Amadeus Germany, including any copies possibly made, as well as accompanying documentation and, on demand by Amadeus Germany, confirm the destruction thereof in writing. 3.6 Amadeus Germany reserves the right to modify the software through expansions, improvements, or restrictions, provided that such modification does not entail any reduction in the contractual services. 4. Hardware Requirements and Hardware Connection 4.1 To subscribe to the Amadeus System, the Subscriber shall meet the hardware and software requirements listed under Annex 1 of these General Terms and Conditions (System Requirements). The proper functioning of the software and/or Amadeus System is not warranted and malfunctions and/or damages may occur if these minimum requirements are not met. 4.2 The Subscriber shall procure appropriate hardware in accordance with Annex 1 and be responsible for its proper functioning and maintenance. 4.4 The Subscriber shall, in consultation with Amadeus Germany and at its own expense, set up and install the necessary hardware, undertake the construction necessary for the connection, and install all necessary technical equipment (power connection, lines, and connections for the link to the data transmission network, e.g. including LAN cabling). To enable properly functioning use of the Amadeus System at all times, the Subscriber may connect other computer reservation systems only on prior written consent by Amadeus Germany. On review of such a request, Amadeus Germany may refuse its consent only for reasons of possible hardware or software incompatibility. Software Installation, Updates, Data Backup 5.1 Amadeus Germany shall provide the software licensed under this Agreement (including updates) online at the site of the Subscriber. To enable online maintenance, the Subscriber shall keep its hardware in operation and accessible during the time frame of which it has been notified in advance by Amadeus Germany. The Subscriber shall furthermore reserve the appropriate hard-disk capacity and system memory capacity necessary for the Amadeus software. The Subscriber itself shall be responsible for backing up its own data stored on the hardware connected to the Amadeus System. The Subscriber shall furthermore take appropriate measures to protect its computers (e.g. firewall, antivirus programs). 6. Hardware and Software Check Once the software has been provided, the Subscriber shall install updates without delay, but no later than within fifteen (15) days. Alternatively, it is possible for software updates to be installed automatically at the site of the Subscriber. 2 7. Elimination of Malfunctions 7.1 To prevent malfunctions in the Amadeus System, Amadeus Germany recommends that a maintenance agreement be concluded for systems (hardware and software) connected to the Amadeus System. 7.2 If malfunctions in the Amadeus System originate from the hardware and/or peripheral devices of the Subscriber, Amadeus Germany shall be able to demand that the hardware and/or peripheral devices be disconnected. To maintain the proper functioning of the Amadeus System, Amadeus Germany shall be entitled to disconnect the Subscriber from the System for the period of the malfunction. 7.3 If the Subscriber installs or uses hardware or software products on stand-alone or network devices connected to the Amadeus System, including private networks, it shall do so at its own risk. The same shall apply to third-party products installed prior to conclusion of the Agreement. If malfunctions in the Amadeus System originate from such aforementioned products, Amadeus Germany may demand their removal. Such malfunctions do not entitle the Subscriber to a reduction in the fees to be paid by it. 7.4 If the Subscriber does not meet the system requirements pursuant to Annex 1 or does not make adaptions pursuant to section 4.2 in a timely manner and malfunctions in the Amadeus System originate therefrom, Amadeus Germany shall be entitled to disconnect the Subscriber from the Amadeus System for the period of the malfunction in order to maintain proper functioning of the Amadeus System. 7.5 Should the proper functioning of the Amadeus System be at immediate risk, Amadeus Germany shall be entitled to block access to the Amadeus System immediately and without any liability to the Subscriber if the risk traces back to the fact that the number of Subscriber transactions significantly exceeds the normal average (see also section 13.8). If possible, the Subscriber shall be notified in advance thereof. 7.6 To correct malfunctions and problems, Amadeus Germany shall offer the Subscriber remote maintenance software, through which Amadeus Germany, on consent by the Subscriber, may remotely access the computer of the Subscriber. In order for Amadeus to be able to gain such 02/2019 Amadeus Germany GmbH 5. 5.2 The Subscriber agrees that Amadeus Germany shall, at appropriate times, in particular as part of the automatic update function, perform online checks of the hardware and software used by the Subscriber to access the Amadeus System in order to ensure technical support, including the elimination of malfunctions, and proper invoicing. As part of this check, Amadeus shall save, in particular, the following data: type and clock speed of the CPU used, size of RAM, hard-disk capacity, and version of the operating system. The saved data shall be used by Amadeus Germany solely for checking system performance as part of providing automatic updates, eliminating malfunctions, or delivering support. Amadeus Germany shall be entitled to adapt the minimum requirements under Annex 1 to the current state of the art and duly notify the Subscriber of such adaptions. This could result in adaption work at the site of the Subscriber. 4.3 4.5 Amadeus Germany shall be entitled also to select other means of software maintenance.

Terms and Conditions Amadeus Selling Platform access, the Subscriber must activate the remote maintenance software. The following factors, however, shall not be taken into account in the calculation of the availability time: Once the remote maintenance software has been activated by the Subscriber, Amadeus Germany Customer Service will be able to see and enter settings directly on the computer of the Subscriber as well as demonstrate operations as they are being carried out. The Subscriber may meanwhile watch these entries on its computer. The Subscriber is able at all times to deactivate the remote maintenance program and thus to interrupt remote access to its computer by Amadeus Germany Customer Service. The Subscriber shall ensure that it has deactivated the remote maintenance program again after use. 7.7 - - Charges for the elimination of malfunctions which can be proven to have been caused by the fault of the Subscriber shall be borne by the Subscriber. The same shall apply to malfunctions thus caused in other devices and/or networks. 7.8 - Amadeus Germany may demand remuneration for its expenses if it has taken action due to an error reported by the Subscriber, without the Subscriber having proven that there was an error in the service and/or in the Amadeus System. In this event, the remuneration shall be assessed based on expenses and the customer support hourly rates appearing in the current Amadeus Price List. a reasonable period of time to eliminate malfunctions, scheduled downtimes of the Amadeus System of which the Subscriber has been notified and during which maintenance work or modifications of the data processing systems or their software programs are performed, periods during which the hardware of the Subscriber is malfunctioning due to reasons for which Amadeus Germany cannot be held accountable, disruptions in the availability of the individual services which arise because the data processing systems of the providers are not delivering the data needed by the Amadeus computers, malfunctions based on errors in the data transmission network or by the data transmission company. 10.2 Amadeus Germany shall have a reasonable period of time to eliminate malfunctions. Amadeus Germany shall, to the extent possible, provide information via the Amadeus System concerning the nature and extent of the malfunction. 10.3 If the availability per calendar month falls below that guaranteed in section 4.2 the Subscriber shall be entitled to a markdown in the fee (reduction) for the relevant month in proportion to actual availability. This markdown shall be made in the form of a credit, which may be offset against the next billing. 8. Improper Use of the System 8.1 The Subscriber undertakes to refrain from any improper use of the subject of the Agreement. Such improper use is deemed to exist, in particular when, 11. Reporting Malfunctions and Support 11.1 reservations are made in speculation or expectation of future bookings, records are created or modified without authorization; personal messages are transmitted by means other than through an email system, data from the Amadeus System are passed on to third parties without authorization, third parties are trained in the use of the Amadeus System, or third-party software is used for the automatic processing of Amadeus data without prior written consent by Amadeus Germany. For questions arising in the event of malfunctions related to use of the subject of the Agreement, the general Help Desk Support of Amadeus Germany Customer Service shall be available to the Subscriber during the service times stated in the current product sheets. Service fees are contained in the current Amadeus Germany Price List. 11.2 Malfunctions in the Amadeus Germany services are to be reported without undue delay to Customer Service. The Subscriber shall bear the costs of eliminating malfunctions that have not been reported to Customer Service beforehand. 11.3 To the extent that necessary data are not already available through the online information system, as stipulated under section 6, the Subscriber shall, on request by Amadeus Germany, provide information about hardware upgrades and conversions, its hardware performance data, configuration data, network connections, and software products in use which have not been provided by Amadeus. 11.4 Amadeus shall be entitled to deny support requests if - 8.2 The Subscriber shall furthermore use its best efforts to delete bookings from the Amadeus System which were cancelled or were not confirmed or further processed by a provider (“Unproductive Bookings”). It shall be the sole responsibility of the Subscriber to ensure that Unproductive Bookings are deleted from the PNRs. 9. Operational Readiness - 10. Disruptions in Availability 10.1 Amadeus Germany shall guarantee 98 percent availability of the Amadeus System per calendar month, daily from 8 a.m. to 8 p.m. - 3 such support does not pertain to the current software version, the Subscriber refuses to provide information in accordance with section 11.3, the Subscriber does not meet the minimum requirements in accordance with section 4.2 or has not made the adaptions in accordance with section 4.2, the Subscriber has refused to use the remote maintenance software cited in section 7.6, or the Subscriber requests support on services and technology from abroad. 12. Training and Operation 12.1 Amadeus Germany shall provide the Subscriber with user 02/2019 Amadeus Germany GmbH Subject to diverging operating times of individual providers, the Amadeus System shall be operational, beyond the available times stated under section 10 below, at least Monday through Friday, from 7 a.m. to 11 p.m., as well as on Saturdays, Sundays, and German holidays, from 7 a.m. to 10 p.m. These times shall exclude scheduled downtimes, e.g. due to maintenance work, which, upon notification, is generally performed on one Sunday per quarter and can last a maximum of 24 hours.

If a service requires the entry, update, or administration of data to be stored in databases or special procedures by the Subscriber, then only those persons with sufficient experience and training are to be entrusted therewith. 12.2 Amadeus Germany shall offer training media and/or training material for the various services, for which a fee may be charged to the Subscriber. Incidental expenses associated with training courses, e.g. travel, room, and board expenses, shall, in all cases, be borne by the Subscriber. The Amadeus System provides information about training programs. 12.3 The Subscriber shall ensure that those of its employees who use the Amadeus System have the appropriate knowledge to do so. 13. Fees, Additional and Transaction Fees, Increase in Fees 13.1 The Subscriber shall pay a fee to Amadeus Germany for use of the subject of the Agreement, including use of further special services appearing in the Annexes. 13.2 The amount of the fee to be paid by the Subscriber is specified on the service form(s). It shall be based on the current Amadeus Germany Price List. 13.3 Amadeus reserves the right to adjust the fees specified in the Price List valid at the time of conclusion of the Agreement with prior notice of three (3) months a) if Amadeus substantially expands the scope of service of the Amadeus System through improvements; b) to compensate for increased costs to Amadeus Germany which are necessary to perform the services owed under this Agreement. These shall include, but are not limited to, in particular, any raised fees charged by third parties to perform services necessary in order for Amadeus Germany to perform the services owed under this Agreement. Third parties in this context also include companies commercially affiliated with Amadeus Germany if and as long as the price increase is customary and appropriate; or c) 13.4 The Subscriber shall endeavor to keep the number of transactions per booking as low as possible. 13.7 If the Subscriber uses third-party software for automatic data processing in the Amadeus System, Amadeus Germany shall be entitled, upon expiration of prior notice of ninety (90) calendar days, to demand payment of a special transaction fee, the amount and conditions of which the Subscriber will be separately notified and which will be based on the current Amadeus Germany Price List. 13.8 The same shall apply if the Subscriber uses the Amadeus System in its entirety or, even only with respect to individual providers, predominantly as an information or price comparison tool. Currently, such a special transaction fee will be charged if, in one calendar month, the Subscriber needs an average of 100 percent more transactions per provider to create the segment booked by it than the total number of travel agencies using the Amadeus System needed on average to create the segment in the past quarter. Amadeus shall be entitled to change the conditions for payment of the special transaction fee if other providers introduce such transaction fees for bookings or if the average number of transactions per booking overall increases and Amadeus thus incurs higher costs as a result of the increased data volume. 13.9 If, within a calendar year, the number of flight segments generated in the Amadeus System with the status codes GK, GL, or GN (known as “Ghost Bookings”) exceed the percentage ratio defined in the current Amadeus Germany Price List relative to the number of active air bookings generated during the same period within the meaning of section 14.3 of these General Terms and Conditions, the Subscriber shall pay a fee in accordance with the current Amadeus Germany Price List for each Ghost Booking exceeding the ratio. The fee shall also be incurred in case of Ghost Bookings which are cancelled. 13.10 If Amadeus Germany makes available additional or improved functionalities for use of the subject of the Agreement, it shall be entitled, with advance notice of two (2) months from the 1st of the following month, to demand payment of reasonably increased fees from any subscriber who uses these additional or improved functionalities. 13.11 If, on instruction by the Subscriber, Amadeus Germany places orders on its behalf, e.g. for hardware or network access, which subsequently are not accepted by the Subscriber, the Subscriber shall bear any cancellation charges incurred and any other costs arising from nonacceptance. 14. Standard Incentive 14.1 The current Amadeus Germany Price List states whether and in what amount Amadeus Germany will grant the Subscriber a standard incentive, which is a voluntary volume discount provided without any binding legal obligation. 14.2 The standard incentive shall be offset monthly against the Amadeus Germany fees, namely two (2) months after each date of service in case of hotel and rental car bookings and two (2) months after each ticket issue in case of air bookings. 14.3 In connection with the standard incentive, “booking” means an individual flight reservation (“Air Booking”) or a rental car or hotel reservation (“Non-Air Booking”) within to adjust to the general rate of inflation as defined by the German Federal Statistical Office. The same shall apply particularly in case of cost increases verifiably incurred by Amadeus Germany for materials, shipping, and labor. Notwithstanding section 13.3, Amadeus reserves the right at any time, also with notice of three (3) months, to charge fees for products and/or functionalities which had previously been provided free of charge. However, this shall apply only if the relevant functionalities are not integral parts of the software functions which are the subject of the Agreement and only to adjust internal or external costs arising to Amadeus because the relevant products and/or functionalities are exceptionally heavily used by the Subscriber during the term of the Agreement. The Subscriber shall pay Amadeus Germany an additional fee for further required services if it is responsible for switching off or modifying connections to the Amadeus System. The amount of this additional fee is contained in the current Amadeus Price List. 4 02/2019 Amadeus Germany GmbH 13.5 13.6

The definition of Air Booking encompasses “Ticketed Segments” for which flight tickets or comparable documents have been issued. 14.4 term shall begin at signing. Amadeus Germany furthermore reserves the right to charge a special fee for the booking of special content, as appears in the current Amadeus Germany Price List. Amadeus Germany shall advise the Subscriber of chargeable special content with notice of ninety (90) calendar days. 14.5 Amadeus Germany shall be entitled to reduce the standard incentive appropriately if the regulatory or business environment changes. Amadeus Germany shall advise the Subscriber of the adjustment in the standard incentive with notice of ninety (90) calendar days. 14.6 Any credit arising from an offset in accordance with section 14.2 shall only be paid out cashless, by bank transfer to a bank account provided by the Subscriber. If no bank account is known for the Subscriber at the time the credit arises, the credit will remain on the Subscriber’s account, without interest, and will be offset against the invoice of the following month. The claim to payout of the credit shall expire after a period of 24 months from the due date of the credit payout if the credit could not be paid out because a bank account was not provided or the credit could not be offset. 15. Payment Conditions 15.1 The remuneration to be paid by the Subscriber in accordance with the current Amadeus Germany Price List shall be due and payable monthly upon receipt of the invoice. The obligation to pay shall begin on the day on which Amadeus Germany provides the service and shall be billed on a pro-rated basis for incomplete months. 15.2 Amadeus Germany shall be entitled to sum up in a monthly invoice all remuneration to be paid by a single business unit. 15.3 The Subscriber consents to direct debiting of all remuneration payable within the scope of its contractual relationship with Amadeus Germany per the SEPA Direct Debit Scheme. If the Subscriber withdraws its consent to the SEPA Direct Debit Scheme, any resulting additional costs for Amadeus Germany are to be paid by the Subscriber in accordance with the current Amadeus Germany Price List. Any direct debit reversal fees also are to be paid by the Subscriber. If the Subscriber participates in the SEPA Direct Debit Scheme, the period for prenotification shall be shortened by one day. Statutory value-added tax in the applicable amount shall be paid in addition to all remuneration. 15.5 If payment is delayed, Amadeus Germany shall be entitled to charge the Subscriber the actual arising interest on the overdue payment, but not less than 9 percentage points above the prevailing basic interest rate. The Subscriber shall retain the possibility of proving lesser damage caused by delay. In the event of delay, a fee in accordance with the current Amadeus Germany Price List shall be charged for reminder notices. 16. Duration of the Agreement 16.1 The Agreement shall be valid for an indefinite period. Its The Agreement may be terminated with written notice of ninety (90) calendar days from the end of the month, but not before expiration of one (1) year after the connection to the Amadeus System has been established at the business unit of the Subscriber. For agreements signed on or after February 1, 2016, however, notice of ninety (90) calendar days from the end of the month shall apply. 16.3 If, at a later date, further connections are established, the Agreement for each of these additional connections may be terminated with notice as stated under section 16.2. 16.4 Amadeus Germany reserves the right to be able to separately terminate the Annexes attached to the service forms relating to various Amadeus products, with the same notice. In this case, the fee shall be reduced accordingly. If the change in service is unacceptable to the Subscriber, while also taking into consideration the interests of Amadeus Germany, the Subscriber shall have the right to terminate the Subscriber Agreement on exceptional grounds, effective as of the date on which the change enters into force. If the Subscriber has not exercised this right within thirty (30) days after receipt of the partial termination by Amadeus Germany, the Agreement shall be deemed as continuing. The Subscriber will be expressly advised again of this legal consequence at the time of the partial termination. 16.5 The right to terminate the Agreement with cause and without notice shall remain unaffected hereby. The Subscriber may terminate the Agreement in this manner, in particular if - Amadeus Germany increases or introduces transaction fees pursuant to sections 13.7 and 13.8, Amadeus Germany transfers rights and obligations under this Agreement to another member of the Amadeus Group or an affiliated company pursuant to section 18.2, user fees are increased. Amadeus Germany may terminate the Agreement in this manner, in particular if - - - - 5 the hardware and/or software requirements under Annex 1 are not met or other computer reservations systems are connected without prior written consent by Amadeus Germany, hardware and/or peripheral devices are used which cause a malfunction in the Amadeus System and the Subscriber does not immediately disconnect those devices despite demands by Amadeus Germany, third-party software is used for automatic processing of Amadeus data without prior written consent by Amadeus Ge
