Thetransfer of electronic transmission of this Tariff, in whole or in part, requires prior approval of thecarrier.This Tariff is published and made available to carrier’s customers. All rates and quotations aresubject to periodic revisions, increases, and restructuring. The Carrier will make every effort toadvise the user of record of any rate or rules change. However, it is the user’s responsibility todetermine the current status of all previously received rates, quotations and information.The Rules set forth in this Tariff apply on all shipments transported by Carrier, whether interstate,intrastate, or international, exempt or non-exempt from economic regulation, and regardless oforigin and destination, unless waived by an authorized company official. Pursuant to 49 U.S.C. §14101(b), the parties expressly agree that the terms of this Tariff control over any conflictingprovisions contained in Title 49 of the Unites States Code, and the parties expressly waive all suchconflicting provisions.SECTION 1 –GOVERNING PUBLICATIONS AND DEFINITIONSItem 100BILLS OF LADINGThe terms and conditions of the following bill of lading shall apply.The terms and conditions of the Carrier’s Bill of Lading shall apply notwithstanding theuse by Shipper of any other bill of lading or shipping document. Drivers are not authorizedto bind Carrier to non-conforming bills of lading and execute bills of lading with alternativeterms and conditions as receipts for the shipment only.ISSUED: August 3, 2021EFFECTIVE: August 3, 2021

RULES CIRCULAR 100Item 120ORIGINAL PAGE 7APPLICATION OF CIRCULAREach provision of this rules circular shall apply to each transportation agreement enteredinto by carrier unless expressly waived in a signed, written agreement.Item 130MILEAGE GUIDEWhere rates are set forth in cents per mile or other calculation based on mileage, distancesshall be determined by utilizing PC MILER. Mileage will be the distance between the pointof origin and point of destination by the shortest regularly traveled available highwayroutes.ALK Associates Version 29, PC Miler Practical RouteItem 135IMPRACTICAL OPERATIONSNothing in this rules circular shall require the carrier to perform pick-up or deliveryservice at any location from or to which it is impracticable, through no fault or neglect ofthe carrier to operate vehicles because of:(a) The condition of roads, streets, driveways or alleys;(b) Inadequate loading or unloading facilities; or(c) Riots, Acts of God, the public enemy, the authority of law, strikes or laborunrest the existence of violence, or such possible disturbances as to createreasonable apprehension of danger to person or property.Item 140RATES AND SCHEDULESThe rules published herein are applicable to all shipments transported by Carrier unlessexpressly waived in a signed bilateral contract pursuant to 49 U.S.C. 14010 (b). Rates andschedules may be published in rate catalogues, on a shipper specific basis or pursuant to aspot market rate quotation.Drop and Hook Incentives. For operating convenience, Carrier reserves the right tocompensate consignors and consignees for coordinating drop and hook pickups anddeliveries to economically facilitate the return of equipment within the allotted free time.Such compensation is not reflected on electronic billing to the payor of freight charges andshall be available upon request in accordance with applicable federal statutes.ISSUED: August 3, 2021EFFECTIVE: August 3, 2021

RULES CIRCULAR 100Item 150ORIGINAL PAGE 8NOTICE AND AMENDMENTSUpon written request, Carrier will provide its customers and shippers with copies of allapplicable rules circulars and rates.Item 160CANCELING ORIGINAL & REVISED PAGES, except Title Page.When this rules circular is formally amended by revised pages, the cancellation of priorpages will be effected by means of this item. A revised page will not show a cancellationnotice. Revisions of each page will be filed in numerical sequence. Except where a specificcancellation is shown on a new revised page, a revised page cancels any and all uncancelledrevised or original pages, or uncancelled portions thereof, which bear the same pagenumber (see Exception). For example: “1st Revised Page 10” for a particular shipper willhave the effect of canceling Original Page 10, “45th Revised Page 12” will have the effectof canceling 4th Revised Page 12.Item 180DEFINITIONS(A) Shipment is a tender of freight received from one consignor, at one time, atone place, destined to one consignee at one location, and covered by one billof lading.(B) Carrier shall be named on the bill of lading as the origin carrier of allshipments.(C) Unless arranged or agreed upon in writing prior to shipment, carrier is notbound to transport a shipment by a particular schedule or in time for aparticular market, but is responsible to transport a shipment with reasonabledispatch, as that term is defined at common law. Carrier shall not beresponsible for special or consequential damages resulting from delayeddelivery.(D) Spot rate shall mean a rate agreed upon by only shipper and carrier asapplicable to a single shipment or, if in writing, a limited number of shipmentsrepresenting a continuous number of shipments arranged at a single time witha single offer and a single acceptance.ISSUED: August 3, 2021EFFECTIVE: August 3, 2021

RULES CIRCULAR 100Item 210ORIGINAL PAGE 10HAZARDOUS MATERIALS PROVISIONShipper accepts all U.S. Department of Transportation requirements governing placardingof hazardous material. A surcharge of 100.00 applies to all hazardous material loadshandled by carrier.Item 215INTERMODAL SHIPMENTSCarrier does participate in the Uniform Intermodal Interchange Agreement/UIIA.Item 225REGULATED VERSUS EXEMPTThe rules set forth in the circular shall apply to shipments exempting from the economicregulation as well as shipments subject to the jurisdiction of the FMCSA. Liability for loss,damage and delay shall be governed by 49 U.S.C. 14706 (the Carmack amendment).Item 230INTERSTATE VERSUS INTRASTATEThe rules set forth in this circular shall apply to all shipments handled by Carrierregardless of the origin or destination.Item 235SHIPMENT LIMITATIONSCarrier shall not be required to accept for transportation any truckload shipment whichexceeds 45,000 pounds or which occupies more than the full visible capacity of the trailerwhich is provided.Item 245APPOINTMENTS/PICKUP AND DELIVERY TIMESPick-ups and deliveries shall be made between 0700 and 1700 hrs local time. Appointmentsshall be made at no charge, but shippers are not allowed to pre-appoint. If shipper loads,shipper is subject to all fines and/or fees for an overweight trailer, regardless if overalltrailer weight does not exceed 45,000 pounds, but any single axle is overloaded. Carriershall not be liable for late deliveries or unkept appointments unless such late delivery orunkept appointment is beyond carrier’s duty of reasonable dispatch. RULES CIRCULAR 100Item 250RESERVEDItem 255PICKUP AND DELIVERY SERVICEORIGINAL PAGE 11The rates named herein include pickup or delivery at all points within the limits of thecities, towns, villages and other points from and to which rates apply, but each shipmentwill include only pickup and one delivery.Item 260SHIPPER LOAD AND COUNTAll shipments shall be loaded by the consignee and unloaded by the consignee. Carrier’sdrivers are instructed to sign bills of lading as shipper load and count or “SLC”. Inadvertentomission of this notation shall not result in a presumption of carrier liability for shortageor damage (in the absence of upset or accident) where the driver was either not present ornot allowed to observe the loading and unloading.Item 265FREE TIMECarrier shall allow (two) hours of free time both for loading and unloading for vehicleswith power units and drivers. Carrier shall allow 24 hours of free time both for loading andunloading of spotted containers or trailers. Such time shall commence from the time thecontainer or trailer is spotted or from the time the container or trailer was requested to bespotted, whichever is later, but Saturdays, Sundays or holidays shall not be included in thecalculation of free time.ISSUED: August 3, 2021EFFECTIVE: August 3, 2021

RULES CIRCULAR 100Item 270ORIGINAL PAGE 12SUBSTITUTED SERVICEFor its operating convenience, carrier reserves a right to hire other carriers’ qualifiedsubcontractors to provide all or part of given movements. Carrier agrees to protect the ratesset forth herein when substituted services are provided and warrants that all terms,conditions, duties and obligations owed to shipper by this circular, bill of lading, and/orcontract will be provided.SECTION THREEACCESSORIAL CHARGESItem 300APPLICATION OF ACCESSORIAL CHARGESIn addition to the line haul or base rate for any shipment and unless otherwise agreed inwriting, the following accessorial charges shall apply and shall be reflected on the Carrier’sinvoice for services rendered.Item 305DETENTION – VEHICLES WITH POWER UNITS(A) This item applies on shipments when the carrier’s vehicles with driver and power unitsare delayed or detained beyond the free time provided for herein at time of delivery tothe consignee or at time of pick-up at the consignor’s place of business when suchdelay is not the fault of carrier.(B) Unless otherwise agreed, charges for detention will be charged to the consignee in thecase of unloading and to the shipper in case of loading.(C) When computing time, the beginning time shall be the time the driver notifies theshipper or consignee of driver’s arrival and that the container or container is availablefor loading or unloading, as the case may be, but in no case shall time commence priorto the time of any appointment or the actual time of loading or unloading, whichevercomes first.(D) When computing detention charges, all non-working time shall be excluded. RULES CIRCULAR 100Item 305ORIGINAL PAGE 13DETENTION – VEHICLES WITH POWER (Continued)(E) If, at the end of business day, unloading has not been completed and cannot becompleted that day, the shipper or consignee shall be given the following options:(1) Carrier may return to carrier’s terminal with what freight has not been unloaded,but carrier shall return the following day with the balance of the freight at thecommencement of shipper’s or consignee’s work day; or,(2) Carrier will spot trailer at shipper or consignee location and return the followingday, and further, container or trailer will be subject to charges for detentionwithout power pursuant to Item 310 beginning immediately upon spotting of thecontainer or trailer; and,(3) In either case, any unused free time from the first day will continue into thesecond day, charges to commence when all free time has expired.(F) If a vehicle is both unloaded and reloaded, each transaction will be consideredseparately and free time shall apply to each separately.(G) When delay occurs beyond free time, the charge for detention shall be 45.00 per halfhour or fractions thereof.(H) Carrier shall give shipper or consignee the opportunity of signing the detention recordsand the shipper or consignee is to make any corrections to these records at the time. Ifshipper or consignee refuses to sign said records, Carrier’s records will govern.Item 310DETENTION – VEHICLES WITHOUT POWER UNITS(A) This item applies when carrier spots a container or trailer at the facilities of the of theshipper or consignee for the loading or unloading of shipments upon the request of shipper,but this item nor detention under any other term or condition shall apply if the carrier spotsthe container or trailer for carrier’s convenience with or without the authorization ofshipper or consignee.ISSUED: August 3, 2021EFFECTIVE: August 3, 2021

RULES CIRCULAR 100Item 310ORIGINAL PAGE 14DETENTION – VEHICLES WITHOUT POWER UNITS (Continued)(B) Time shall commence with the spotting of the container or trailer and shall end whencarrier is notified by the shipper or consignee that the trailer is available for removalfrom the premises of the shipper or consignee when the container or trailer is droppedwithin 15 miles or less of carrier’s terminal. If container or trailer is beyond 15 miles,the time shall not end until the shipper or consignee has authorized payment of carrier’sbobtail charge.(C) If a container or trailer is both unloaded and re-loaded, an additional two days of freetime shall be allowed.(D) After expiration of free time as provided herein, charges for delaying carrier’s ownedor leased container or trailer beyond free time shall be 45.00 per half hour or fractionsthereof.(E) For intermodal equipment, free time shall be the same as designated by the equipmentlessor and charges shall be the same as designated by the equipment lessor plus 10%handling fee for the carrier.Item 315LOADING AND UNLOADINGRates in this circular contemplate loading of the freight by the shipper and the unloadingof freight by the consignee, except that if the shipper or consignee requests and carrierfurnishes outside labor to load or unload the vehicle, all charges for such outside labor areto be paid by the shipper or consignee, who will be billed for actual time of outside labor.If the driver is requested to assist with loading and/or unloading a charge of 90.00 perhour or fraction thereof will be assessed in addition to all other applicable charges. Allcharges for additional labor shall be agreed to in writing at the time services are provided.When carrier is required to load or unload freight on Saturdays, Sundays or nationalholidays, a charge of 200.00 will be assessed in addition to other applicable charges.Holidays will include New Year’s day, Memorial Day, July 4, Labor Day, ThanksgivingDay, the day after Thanksgiving, Christmas Eve and Day.Item 320PALLET EXCHANGEIn those instances where a party requests carrier perform pallet exchange services, saidservices will be performed by carrier at a charge of 20.00 per pallet in addition to all otherapplicable rates and charges. Requests for pallet exchange service may be noted on the billof lading at the time of pick-up by carrier. RULES CIRCULAR 100Item 325ORIGINAL PAGE 15EQUIPMENT ORDERED BUT NOT USEDWhere call-on-demand service is requested and then canceled within twenty-four (24)hours of scheduled pick-up, shipper shall pay 250.00 for equipment ordered but not used,plus 2.75 per mile for all out of route miles incurred by carrier in positioning equipmentfor canceled pick-up.Item 330COLLECT ON DELIVERYCarrier does not hold out to provide a collect on delivery service. Carrier’s drivers are notauthorized to accept bills of lading which require the consignee to pay driver in cash or bycheck for the goods transported as a precondition of delivery. If a collect on deliveryshipment is inadvertently accepted and delivered without obtaining payment or if paymentis stopped on uncertified funds, shipper’s sole resource shall be to the consignee. Carrierwill collect charges from actual consignee ONLY when requested in writing by customerand when charges are paid by cashier’s check or money order. A fee for collection CODamounts will be charged at the rate of 150.00 per check collected.Item 335ADDITIONAL LICENSE AND PERMIT FEESWhenever any additional license or permits are required, the charge for same shall be addedto the freight invoice.Item 337BLIND SHIPMENTSBlind shipments (where the consignee does not know the identity of the shipper) arecharged a flat rate fee of 35.00 per shipment.Item 340RECONSIGNMENT OR DIVERSIONA request for the reconsignment or diversion of a shipment will be subject to thefollowing definitions, conditions and charges:1. Request for reconsignment or diversion must be in writing, which shall includefacsimile transmissions.2. Reconsignment prior to movement of a shipment shall bear the rate that wouldotherwise have applied if the shipment was originally scheduled for movement tothe final destination.ISSUED: August 3, 2021EFFECTIVE: August 3, 2021

RULES CIRCULAR 100Item 340ORIGINAL PAGE 16RECONSIGNMENT OR DIVERSION (Continued)3. Diversion en route shall bare a charge of 150.00 for each shipment reconsignedor diverted. Charges from origin to point of reconsignment or diversion shall bedetermined on the basis of the distance from origin to final destination viareconsignment or diversion point4. If the shipment is returned to the origin point, the rate to be applied will be theapplicable rate to the most distant point actually traveled in addition to the mileagerate from same back to point of origin.Item 345STOP – OFFSThe following provisions govern shipments accorded additional stops in transit to partiallyload or unload, except as otherwise specifically provided.(A) Shipments received from one consignor at one point at one time and covered by onebill of lading, may be stopped in transit for partial loading and/or unloading only at pointswithin the scope of carrier’s operations or as otherwise agreed by carrier.(B) The party or parties authorized and designated by the shipper to accept or tender freightat a point or place of stop-off may be the same or other than the billed consignee.(C) The bill of lading shall designate the following:1. Stop-off point or points and places.2.The weight, quantities, markings, and description of articles to be loaded orunloaded.3. The name and address of the party authorized to tender freight or to acceptfreight for unloading at point of stop-off.(D) The driver of the vehicle shall obtain in writing a statement such as a notation on thefreight bill or delivery receipt of the quantity and description of the portion of the shipmentunloaded at each stop-off point or on the bill of lading. Stop-offs for partial loading orunloading will not be permitted on shipments moving on which Section 7 of the bill oflading has been executed.ISSUED: August 3, 2021EFFECTIVE: August 3, 2021

RULES CIRCULAR 100Item 345ORIGINAL PAGE 17STOP – OFFS (Continued)(E) Stop-offs for partial loading or unloading will not be permitted on shipments movingon which Section 7 of the bill of lading has been executed.(F) The substitution of freight for that originally loaded or any exchange of contents at apoint or place of stop-off may be permitted if agreed to with shipper and noted on the billof lading.(G) Freight charges on a shipment stopped to partially load or unload must be prepaid orguaranteed by the shipper. Carrier will assess a 50%surcharge (minimum of 250.00) to the freight charges for any shipment containinghazardous materials that are reconsigned back to origin for removal from Carrier’sequipment.Item 372LAYOVER CHARGESWhen a carrier has performed services in compliance with the shipper and/or consignee,and the carrier’s personnel are required to remain with the equipment overnight atshipper’s/consignee’s request, a fee of 250.00 will be assessed to all other charges.Item 374FINESShipper shall be responsible party for payment of or reimbursement to carrier, for any finesresulting from excess weight of any shipment that causes the carrier to be in violation ofany local, state, or federal law. Fines incurred for equipment defects are the responsibilityof the equipment owner.Item 375OVERWEIGHT CHARGESOverweight shipments that are accepted and performed by carrier which require permitswill be subject to a surcharge of 150.00 for the permit plus the cost of any special licenseor permit required. Moreover, any overdims or overweight pallets will be charged anadditional pallet spot for each pallet over the pallet dims or over the weight limit set by thecarrier from time to time. For example, if an overdims or overweight single pallet istendered to the Carrier, then the carrier shall be entitled to assess freight charges for twopallets.Item 379FUEL SURCHARGETransportation services are subject to a fuel surcharge. The fuel surcharge will be based onthe Department of Energy (DOE) U.S. National Average price of diesel fuel. A fuelsurcharge will be assessed when diesel fuel exceeds 1.20 per gallon.
