Lonely Planet US MagazineAd Terms & ConditionsThese Terms and Conditions, including theterms of the Order and the applicable ratecard, govern each Order for the insertion ofan Advertisement in the Magazine (includingprint magazine and digital magazine editionsas specified) (together, the Agreement). TheAgreement is the entire agreement betweenthe parties. The Publisher and the Advertiseragree as follows:PROVISION OF ADVERTISEMENTa. The Advertisement must be delivered toPublisher by the Closing Date in accordancewith the Production Specifications.b. If Publisher does accept late delivery it maycharge the Advertiser for any extra expensesit incurs as a result of the Advertiser’s delay.c. Orders for the inside or outside cover pagescannot be cancelled once ordered.Cancellations of Orders for inside pages of theMagazine must be received in writing at least30 days prior to the Closing Date or theAdvertiser will remain liable for the Total Costof the cancelled Order.d. Options placed by the Advertiser for coverpositions for Magazines must be exercised atleast 30 days prior to the Closing Date. If anOrder to exercise the Option is not receivedby such date, the Option automaticallylapses.e. The Publisher will not be liable for anyerrors or omissions contained in theAdvertisement as supplied by the Advertiser,or for any loss or damage ofany materials supplied by the Advertiser andmay destroy the materials if not used orreturned at the Advertiser’s expense for aperiod of six (6) months.f. Where the Advertisement is an Insert orother Special Unit (as defined in the Order), acopy of the final Insert or other Special Unitmust be submitted to the Publisher forapproval prior to printing. The Publisher’sapproval does not relieve the Advertiser ofany obligations contained in this Agreement.g. The Publisher is not responsible for anycosts associated with the Advertiser’s failureto print Inserts in compliance with thePublisher’s specifications, and the Advertiserwill remain liable for the Total Costs in theevent that the Insert is unable to bedistributed due to such failure. Orders forInserts are non-cancellable.2.APPROVALa. Advertisement will only be displayed in theMagazine if; a) approved by Publisher, b)space is available in the Magazine and c) theAdvertisement is delivered in accordancewith this Agreement.b. Publisher shall retain sole editorial controlover the Advertisement and its presentation.c. Advertisements simulating Lonely Planeteditorial content in appearance or style thatare not immediately identifiable asAdvertisements will not be accepted. ThePublisher may require any Advertisement tobe labelled ‘Advertisement’ in its discretion.d. If Publisher does not approve theAdvertisement, Publisher may:I. notify the Advertiser of the reason forrejecting the Advertisement and request anew version of the Advertisement modified inaccordance with any directions fromPublisher;Ii. edit the Advertisement; orIii. reject or cancel the Advertisement or partthereof, in Publisher’s sole discretion.e. No conditions which conflict, vary or add tothe terms of this Agreement will be bindingunless agreed in writing by both parties.DISPLAY OF ADVERTISINGa. Publisher will endeavour to display theAdvertisement in the Magazine in accordancewith the terms of this Agreement.b. Orders specifying positions other thandesignated cover positions are made on arequest basis only and will be accepted at thePublisher’s discretion. The Total Cost willremain payable whether or not the request isapproved.c. The Publisher will not be responsible forany delay or failure to print, publish orcirculate any edition of the Magazine in whichthe Advertisement is contained if such failureresults from any cause or condition that isbeyond the Publisher’s reasonable controland that the Publisher is unable to overcomeby exercising reasonable diligence.DIGITAL EDITIONSa. Where an Order specifies that anAdvertisement qualifies as a Full-RunAdvertisement, the Advertisement willautomatically be run in the digital edition,unless the Advertiser opts-out of digitaladvertising in the Order or in writing prior tothe Closing Date. By opting-out of the digitaladvertising, the Advertiser is opting-out of alldevices and platforms. Where the Advertiseropts-out of digital advertising or theAdvertisement does not otherwise qualify asa Full-Run Advertisement, the Advertiser willnot be entitled to Full-Run benefits such aspremium placement.b. Certain Advertisements, in the Publisher’sdiscretion (such as non-standard and/orfull-page Advertisements, non-standardfractionals (less than 1/3 page) and businessreply cards), may not qualify to run in thedigital edition. Advertiser acknowledges andagrees that where Publisher agrees to placethe Advertisement in a digital edition,placement and size may differ fromplacement in the print version.c. Digital editions of the Magazine, dependingon the device or platform on which it isviewed, may be viewed in one of two formats:(i) a ‘straight from print’ Magazine format; or(ii) a ‘designed for tablet’ Magazine format.d. Advertisements, depending on the deviceon which it is viewed, may be viewed in one ofthree formats; (i) a ‘straight from print’advertising format; (ii) a ‘designed for tablet’advertising format; or (iii) an ‘enhanced fortablet’ advertising format, where theAdvertisement hasadded enhancements and bonus content.e. Advertisements running in the ‘straightfrom print’ Magazine format or the ‘designedfor tablets’ Magazine format, willautomatically run in the ‘straight from print’advertising format, unless otherwiseindicated in the Order and approved by thePublisher prior to the Closing Date.Advertising formats ‘designed for tablet’ or‘enhanced for tablet’ may not be available onall platforms or devices.f. Where a URL exists in an Advertisement ineither the ‘straight from print’ advertisingformat, or the ‘designed for tablet’advertising format, such URL will beautomatically activated unless otherwisespecified in the Order. Where there aremultiple URLs, the Publisher will activate theAdvertiser’s main URL only unless otherwisenotified in the Order.PAYMENT AND ACCOUNTSa. Publisher will invoice the Advertiser for theTotal Cost. The Total Cost due to Publisher is(a) exclusive of any applicable sales or othertax; where such tax is payable it will be theobligation of the Advertiser to pay it inaddition to the Total Cost; and (b) where arecognised agency (as determined by thePublisher) places the Order, inclusive of anagency discount of 15% of gross advertisingcharges after earned Advertiser Discounts.The Advertiser will be responsible for anypayments or commissions due to the agency.b. Advertiser must pay the Total Cost withinthirty (30) days from the date of the invoice.

Ad Terms & Conditions cont’dThe Advertiser are jointly and severally liable forpayment of all invoices for advertising published.If the Advertiser does not pay by the due datePublisher may refuse to display theAdvertisement or may levy interest at the rate offour per cent (4%) per annum above the USFederal Reserve Prime Rate and such interestshall be calculated from the date such sumsbecome due until they are paid.c. The Publisher reserves the right to change itsadvertising rates at any time. Announcements ofany changes shall be made at least two weeks inadvance of the Closing Date of the first issue tobe affected by the new rates.d. Any rate base guarantees made by thePublisher, are based on a twelve month average.e. Advertiser agrees that the number of Inserts orSpecial Units circulated and distributed maydiffer by a margin of 5%.f. Advertiser Discounts and Rebates agreed to bythe Publisher must be used within six months ofthe period in which they are earned (or asotherwise specified in the Order) or will expire.g. Where the Publisher agrees to a SeriesDiscount, the number of Advertisementsspecified for a Series Discount must be publishedand paid for within the period specified in theOrder for the Series Discount to apply. Where theAdvertiser cancels any Advertisement, or fails tohave published and paid for the requisite numberof Advertisements, the Series Discount will becancelled and the Advertiser will be charged atthe full rate for all Advertisements,including reimbursement for previouslypublished and paid for discountedAdvertisements from within that series.h. The Advertiser may not claim any rights of setoff in respect of any invoices.i. A postponement of the Advertising will notaffect Advertiser’s responsibility to provideconsideration in cash or in kind in relation to theadvertising space ordered in full as set out in thisAgreement.WARRANTIES AND INDEMNITIESa. The Advertiser warrants that;I. the Advertisement (including URLs contained inAdvertisement) and Publisher’s display ofAdvertisement will not infringe any third partyrights and will not contain, or link to, anyobjectionable material (including material whichis defamatory, obscene, threatening or untrue);Ii. the Advertisement will comply with allapplicable codes, guidelines (including theLonely Planet Magazine Commercial Guidelines),rules and regulations and will not be illegal oractionable for any reason;Iii. the Advertiser has obtained all necessarypermissions in relation to the inclusion in theAdvertisement of the name, likeness or pictorialrepresentation of any person in theAdvertisement; andIv. the Advertiser will fulfil and deal with anyorders or enquiries relating to the goods, servicesor promotions featured in the Advertisement;b. The Advertiser indemnifies the Publisheragainst any loss incurred arising from a breach ofthis Agreement by the Advertiser,except to the extent caused by the act oromission of the Publisher.c. The Advertiser acknowledges and agrees thatPublisher has not provided it with anyguarantees concerning reach of the Magazine ortarget audience.
