PreambleTo the National Constitution ofTau Beta SigmaNational Honorary Band SororityBe it known that Tau Beta Sigma, NationalHonorary Band Sorority for members of thecollege band, is an organization operatingexclusively in the field of the college anduniversity bands, for the following purposes:3. To develop leadership through activeparticipation with the band, and through it, tostrengthen those traits of conduct, thought, andidealism which characterize the responsiblemembership of the band.1. To promote the existence and welfare of thecollegiate bands and to create a respect andappreciation for band activities and achievementsamong the listening public everywhere.4. To encourage a close relationship betweencollegiate bands and promote a high average ofattainment by the performance of good music andselection of worthwhile projects.2. To honor outstanding members of theband through privilege of membership, in thesisterhood, extended in recognition of musicalachievement, demonstrated leadership, and anenthusiastic approach to band activities.5. To provide a meaningful and worthwhile socialexperience for all engaged in collegiate band work,and to cooperate with other musical organizationsand societies in every manner consistent with ourmutual purposes and those of the institution atwhich chapters are located.Tau Beta Sigma Mission StatementTau Beta Sigma National Honorary Band Sorority provides service to collegiatebands, encourages the advancement of women in the band profession, andpromotes and enriches an appreciation of band music through recognition,leadership development, and education of its members.

Tau Beta SigmaNational ConstitutionI. Organization and Structure1.101 The name of this organization shallbe Tau Beta Sigma, National Honorary BandSorority for College and University BandMembers. Tau Beta Sigma Sorority wasincorporated under the laws of the SovereignState of Oklahoma as of March 26, 1946.1.102 For the purpose of administration,the Sorority shall be divided into thefollowing component parts: (1) Corporation;(2) National; (3) Districts; (4) Chapters; (5)Alumni.1.103 The National Headquarters of theSorority shall be the same as the NationalHeadquarters of Kappa Kappa Psi, subject tothe approval of the National Council.1.104 Tau Beta Sigma recognizes KappaKappa Psi as an equal affiliated organizationwith a parallel purpose, function, and role inthe college and university band setting.1.105 The National Executive Directorshall be employed by the National Officers ofthe Sorority as the Administrative Officer ofthe Sorority, and shall be paid a monthlysalary as recommended by the NationalOfficers and approved by the NationalConvention. The National Executive Directorshall be employed jointly by the Councils ofTau Beta Sigma and Kappa Kappa Psi. TheNational Executive Director shall be anonvoting member of the National Counciland of all committees except the NominatingCommittee of which they cannot be amember. The National Executive Directorshall be responsible for the production anddistribution of all publications of the Sorority.The National Executive Director shall be incomplete charge of the NationalHeadquarters and shall maintain, therein,files of all members of the Sorority bychapter. The National Executive Directorshall maintain individual chapter records ofmonies received and disbursed and shallreceive all chapter reports andcorrespondence and shall prepare and issueall necessary forms and stationery for thetransactions of all business of the Sorority.The National Executive Director shall be theSorority’s representative in all contacts withthe official jeweler and as such shall receiveand have charge of requisitions for jewelryand membership shingles received fromindividual members and chapters. TheNational Executive Director shall issue allchecks for disbursement, all chaptermembership shingles, documents ofbusiness, and shall prepare and send to eachNational Officer a monthly report of incomeand expense of the Sorority in addition to awritten report stating the condition of theSorority for presentation at each regularlycalled National Convention.1.106 Tax deductible contributions to TauBeta Sigma may be made by members andnonmembers. The amount is to bedistributed at the discretion of the NationalCouncil, unless otherwise specified by thecontributor.1.107 The current version of Robert’sRules of Order, Newly Revised, unlessotherwise specifically stated in thisConstitution, shall govern the deliberationsof all component parts of the Sororityassembled in meeting.1.108 Each member of the Board ofTrustees and National Council, their heirs,executors, and administrators, may be!3 P a g e

indemnified by the Sorority against theexpenses reasonably incurred by such personin connection with any action, suit, orproceeding to which the member may bemade a party by reason of serving or havingserved as a member of the Board or Council,so long as such person is found to have actedin good faith and within the scope of theiroffice. Any such indemnification must be firstapproved by the National Chapter assembledat a National Convention. Such expensesshall include the cost of reasonablesettlement made with a view to curtailmentof litigation and reasonable expense incurredin the preparation and trial of the litigation.The foregoing right of indemnification shallnot be exclusive of other rights to which suchpersons may be entitled as matter of law.1.109 The Tau Beta Sigma Sororityneither approves of nor is responsible foractions of members of local chapters(commonly referred to as “hazing”) whichmay result in injury to persons or damage toproperty. Hazing is defined as any actiontaken or situation created, intentionally orthrough negligence, to produce mental orphysical discomfort, embarrassment,harassment, or ridicule.1.110 The Tau Beta Sigma Sororityexpressly prohibits discrimination by anycomponent part of the Sorority or by anyperson acting on behalf of the organizationson the basis of race, ethnicity, color, nationalorigin, sex, ability status, religion, age, maritalstatus, veteran status, gender identity orexpression, or sexual orientation.1.111 Proposed amendments to thisConstitution shall be presented in writing atregularly called National Conventions of theSorority, and shall be referred at once to theCommittee on Jurisdiction. Said Committeeshall report thereon at the same NationalConvention. If two-thirds (2/3) of the votescast by the National Convention arefavorable, the proposed amendment shall bedeclared adopted, and from and after suchadoption, it shall become operative andeffective immediately, unless otherwisestated in the amendment.! Page41.112 If the favorable vote on theproposed amendment is less than two-thirds(2/3), yet there is a majority vote, theproposed amendment shall be tabled untilt h e n ex t r e g u l a r l y c a l l e d N a t i o n a lConvention of the Sorority. During theinterim between conventions, it shall bepublished in the minutes of the NationalConvention at which it was proposed underthe caption: “Proposed Amendment to theConstitution.” If at the next regularly calledNational Convention it shall receive twothirds (2/3) of the votes cast, it shall bedeclared adopted, and from and thereaftersuch adoption it shall become operative andeffective immediately unless stated in theamendment. If a favorable two-thirds (2/3)vote is not obtained, the amendment shall bedeclared defeated and shall not again beproposed for consideration.1.113 Under extraordinarycircumstances between regularly calledNational Conventions and uponrecommendation of the National President,approved unanimously by the NationalCouncil, a proposed amendment to theConstitution may be submitted in writing tothe chapters of the Sorority for ratification. Iftwo-thirds (2/3) favorable vote of allchapters in good standing is received, theproposed amendment shall be declaredadopted, and after such adoption, it shallbecome operative and effective immediately,unless otherwise stated in the amendment.1.114 The National Council, uponunanimous agreement, shall be authorized tocorrect article and section designations,punctuation, and cross-references and tomake such other technical and conformingchanges to the governing documents of TauBeta Sigma as may be necessary to reflectthe intent of the Sorority. A record of allchanges made during the biennium shall bepresented to the Jurisdiction Committee atthe subsequent National Convention.1.115 This Constitution, as revised andamended, shall be reprinted following eachregularly called National Convention andshall supersede all previous Constitutions.

1.116 The effect of the NationalConstitution upon an individual chapter maybe altered to conform to any college oruniversity-wide regulations to which thischapter is subject. Any such alterations mustbe incorporated as an integral part of thechapter constitution and bylaws, which aresubject to review by the National ExecutiveDirector and National Council. The NationalExecutive Director and National Councilshall not approve any such alterations untilthey have received proof that the contestedpart of the National Constitution does in factconflict with official college or universitywide regulations to which this chapter issubject.II. Corporation2.101 The Corporation shall havejurisdiction over all component parts of theSorority and shall represent them andapprove all decisions in matters of NationalPolicy, alumni, public relationship, legalaction, and controversy which may bereferred to its Board of Trustees by theNational Chapter or National Council. Thedecision of the Board of Trustees shall befinal in all cases.2 . 1 0 2 T h e C o r p o ra t i o n s h a l l b erepresented in all matters by a Board ofTrustees comprised of nine (9) members.2.103 The National President andimmediate past National President shallserve as nonelected members of the Board ofTrustees by virtue of their office. They willserve a term of two (2) years, from the end ofone National Convention through the end ofthe next National Convention.2.104 Mrs. Janet West Miller, pastNational President, shall be a permanenthonorary member of the Board of Trustees ofthe Sorority, but shall not have a vote on theBoard.2.105 The National Council shallcarefully investigate the eligibility ofmembers for election to the Board ofTr u s t e e s . T h e y s h a l l n o m i n a t e t h eappropriate number of candidates to serveas members of the Board of Trustees andpresent a list of all candidates and theNational Council’s recommendations to thelist of Life members as of June 1 in oddnumbered years. The National Council shalloversee the voting process.2.106 Six members of the Boardof Trustees shall be elected by the Lifemembers of the Sorority prior to NationalConventions to serve four (4) year terms. Theterms shall be staggered so that the terms ofthree elected members expire in onebiennium and the terms of the other threeelected members expire in the followingbiennium.2.107 Each elected member of theBoard of Trustees shall be a Life member ofthe Sorority in good standing and at leastthirty (30) years of age at the time ofelection. They shall possess outstandingbusiness or professional ability and shall becapable of representing the Corporation andSorority under all circumstances. NationalOfficers of the Sorority shall not be eligiblefor membership on the Board of Trusteesexcept the National President.2.108 No member of the Board ofTrustees shall serve more than twoconsecutive elected terms of office.2.109 Members of the Board of Trusteesshall serve without compensation. Expensesof each member incurred on behalf of theCorporation or Sorority when occurring incompletion of duties or when summoned bythe National Council shall be paid by theSorority upon presentation of a written!5 P a g e

statement approved by the Chairperson ofthe Board of Trustees.2.110 Each member of the Board ofTrustees, except the National President, shallhave one vote at all meetings of the Board.No member of the Board of Trustees, exceptthe National President, shall have a vote atmeetings of other component parts of theSorority.2.111 In case of a vacancy on the Board ofTrustees, the National Council is authorizedto appoint a qualified member within sixty(60) days to fill the unfinished term. Theperson shall meet the requirements as statedin Section 2.105 and 2.107, subject to theapproval of the remaining voting members ofthe Board of Trustees.2.112 The Board shall elect a Chairpersonand Vice Chairperson from the Boardmembers elected by the National Chapter.The retiring Chairperson and ViceChairperson shall be eligible for reelection.2.113 Whenever possible the Board shalltransact its business by correspondence,telecommunications, or other means ofcommunication. When necessary, a meetingmay be held, after reasonable notice, at thecall of the Chairperson or at the request ofthe National President pursuant to a sixty(60) percent favorable vote of the NationalCouncil.2.114 The presence of four (4) votingmembers of the Board of Trustees, one ofwhom shall be the Chairperson or ViceChairperson, shall constitute a quorum at allmeetings.2.115 The Chairperson of the Board ofTrustees presiding at the meeting shallappoint one of the other members of theBoard to act as Secretary. The Secretary shallrecord the minutes of each meeting anddistribute them to each member of the Boardof Trustees, each member of the NationalCouncil, and to such other parties authorizedby the meeting.2.116 The order of business for eachmeeting of the Board of Trustees shall bedetermined by the Chairperson of the Board.2.117 A complete report of the activitiesof the Board of Trustees for the two (2) yearperiod between regularly called NationalConventions shall be prepared by theChairperson of the Board for presentation ateach National Convention of the NationalChapter. If the Chairperson of the Board isnot in attendance at the NationalConvention, the report shall be read by theVice Chairperson or a member designated bythe Board.2.118 A member of the Board of Trusteesmay be removed from the Board by aunanimous vote of the Board of Trustees, notincluding the member in question and thenon-voting members, and a three-fourths(3/4) vote of the National Council. Thevacancy shall be filled in accordance withSection 2.111.III. National Chapter1. General3.101 The governing body of Tau BetaSigma Sorority shall be the National Chapter,composed of all chapters of the organizationmeeting at a regularly called convention.3.102 The administrative body of theSorority shall be the National Council,composed of all National Officers. The6! PageNational Council may exercise extraordinarypowers in order to change the Sorority’sinternal construction and Constitution intocompliance with Federal Statutes. TheCouncil shall be in absolute power betweenregularly called conventions except as notedin Section 3.103.3.103 The National Council shall havejurisdiction over all component parts of the

Sorority except the Corporation and shallrepresent them and approve all decisions inordinary matters of National Policy, publicrelationship, legal action, and controversywhich may be referred to the NationalCouncil. The National Chapter is supreme inall matters pertaining to its affairs while inthe convention and, through the NationalCouncil, has the sole right to superintend andgovern all chapters of the Sorority. Upon aseventy-five (75) percent favorable vote ofthe National Council between conventions, amatter may be referred to the Corporation’sBoard of Trustees for final decision andaction.2. Officers3.201 The National Officers shall be:National President, National Vice Presidentfor Colonization and Membership, NationalVice President for Special Projects, NationalVice President for Communication andRecognition, and National Vice President forProfessional Relations.3.202 The National Chapter, assembled inconvention, shall elect all National Officers ofthe Sorority except the National VicePresident for Professional Relations whoshall be appointed by the National Presidentwith approval of the National Council.3.203 Each National Officer shall be a LifeMember of the Sorority in good standing andat least twenty-five (25) years of age at thetime of election. Each National Officer shallhave completed an undergraduate degreeprogram. Each National Officer shall possessoutstanding business ability and shall becapable of representing the Sorority underall ordinary conditions. All shall be willingand able to devote the necessary time to theexecution of the duties imposed by the officeand shall be actively participating in orserving bands during their term of office.3.204 Each National Officer shall servefor a period of two (2) years from conventionto convention. The National Vice Presidentfor Colonization and Membership shall beadvanced to the office of National Presidentprovided said officer receives a simplemajority vote of the convention. TheNational President and Vice President forColonization and Membership shall not beeligible for reelection.3.205 The National President shall bedesignated as the Executive Officer of theSorority and of the National Chapter and theNational Council. The National Presidentshall be a non-voting member of allcommittees, except for the NominatingCommittee, of which they cannot be amember, and shall sign all charters, shingles,contracts, and other instruments of thebusiness of the Sorority. Said officer shallappoint all standing and special committees,shall be a member ex-officio of thecorporation’s Board of Trustees, and shallfurther be designated as the officialrepresentative of the National Chapter,whenever such representation shall berequired. In addition, the National Presidentshall have held at least one National Office.3.206 The National Vice President forColonization and Membership shall, in theabsence of the National President, preside atmeetings of the National Council, and shallbe designated as the Expansion Officer of theSorority. The National Vice President forColonization and Membership shall advancethe purposes of the Sorority as stated in thePreamble of this Constitution by workingwith District Officers in the area ofexpansion on behalf of the Sorority. TheNational Vice President for Colonization andMembership shall have held at least oneNational Office.3.207 The National Vice President forSpecial Projects shall, in the absence of theNational President and the National VicePresident for Colonization and Membership,preside at meetings of the National Chapterand National Council. Said officer shall bedesignated as the Program Officer of theSorority in charge of enforcing the programsof the Sorority. The National Vice Presidentfor Special Projects may serve a maximum oftwo (2) terms.!7 P a g e

3.208 The National Vice President forCommunication and Recognition shall bedesignated as the Recording and CredentialsOfficer of the Sorority and shall record,publish, and distribute the minutes of allmeetings of the National Chapter and of theNational Council. The National VicePresident for Communication andRecognition will make summaries of allNational Council meetings available throughthe National Headquarters. The NationalVice President for Communication andRecognition shall sign all charters, shingles,contracts, and other instruments of business.The National Vice President forCommunication and Recognition may serve amaximum of two (2) terms.3.209 The National Vice President forProfessional Relations shall serve as a liaisonfor Tau Beta Sigma with the music profession.The National Vice President for ProfessionalRelations shall be appointed by the NationalPresident with approval of the NationalCouncil a
