Whatmanagementmust doWe believe that models ofethical behaviour begin withmanagement. In addition to theemployee responsibilities listedbefore, Bombardier’s managersmust also be role models andexemplify high ethical standardsthat meet the spirit of this Code.Every manager is responsiblefor ensuring that no violationsof laws, internal guidelinesor this Code occur within theirarea of responsibility.

Other Bombardierpolicies andproceduresAll policies issued by Bombardierare subject to this Code. You havean obligation to follow all policiesthat apply to you, in additionto the content of this Code. Reporting potentialviolations of the CodeAs a Bombardier employee, you havea duty to report potential violationsof law, of this Code or of any otherBombardier policy to one of thefollowing resources: your supervisor,a Human Resources Business Partner,a Legal Services representative,your local Ethics and ComplianceAmbassador or the Ethics andCompliance Office. If you preferto remain anonymous, you shoulduse Bombardier’s confidentialreporting system.No matter what method you choose,all reports are handled with the utmostconfidentiality. When you file a reportor enquire in good faith about potentialviolations of the Code, or you seekguidance on how to handle allegedviolations, you can do so without fearof retaliation.Cooperatingwith internal reviewsand investigationsBombardier employees as well as anyrepresentative acting on behalf ofBombardier must fully cooperate withall internal reviews and investigations,when required.Penaltiesfor violationsYou must follow the laws and regulationsof each legal system that applies toyou and your work; if you do not do so,you may be held personally liable.Employees who don’t comply withthe law expose both themselvesand Bombardier to criminal or civilprocedures. What should I do?EnvironmentWhat should I do?Q: I’m new at Bombardier and thecolleague who’s showing me theropes told me today that I shouldthrow highly toxic substances inthe regular trash can near ourworkstation. When I asked him why,he told me that it’s more convenientthis way and that it didn’t reallymatter. I’m scared this could bepotentially hazardous, not onlyfor my colleagues but also forthe environment.We continually strive to improvethe environmental performance ofour activities, products and servicesby applying a “total lifecycle” approachstarting from the initial conceptionand design stages of our projects.Q: We’re under a lot of pressureto deliver the product we’reworking on according to schedule.My team and I found a way to meetthe deadline, but it would requireus to skip a few safety procedures.My team is very experienced,so we feel it wouldn’t be a problem.Is it OK to speed up the processfor the benefit of Bombardier?A: This type of behaviour definitelygoes against our Code of Ethicsand could also break environmentallaws and regulations. You shouldtell your colleague you don’t feelcomfortable doing what he said,and immediately inform yoursupervisor and your local HSEteam. You can also reach out to theEthics and Compliance Office or useBombardier’s reporting system.Bombardier has adopted standards,procedures, contingency measuresand management systems to ensurethat our operations are managedsafely, ecologically and in a sustainableway. We also comply with all relevantenvironmental laws in the countrieswhere we have local representation.A: No — you should never risk yoursafety or the safety of others tomeet a deadline, even if the tasksinvolved are of a routine nature.Safety procedures are in place toprotect you, as well as the companyand our customers. Safeguardingour property18Company propertyIntellectual propertyYou should use Bombardier’s propertyfor legitimate business purposes only.Bombardier expects all employeesto take good care of the company’sproperty and not expose it to loss,damage, misuse or theft.Intellectual property comprisestrademarks, domain names, patents,industrial designs, copyrights and tradesecrets. You have a duty to protectBombardier’s intellectual property, justas you have the obligation to respectthat of others. Subject to applicablelaws, any inventions or discoveriesmade by employees during thecourse of their work are Bombardier’sproperty. Intellectual property isconsidered confidential information;therefore, it is covered by the nondisclosure guidelines set out in the“Protection of confidential data andinformation” section of this Code.BOMBARDIER CODE OF ETHICSProtection ofconfidential dataand informationConfidential data and information isinformation belonging to Bombardierthat’s not in the public domain.Confidential information includesinformation produced by Bombardieror obtained in confidence froma third party and covered bya non-disclosure agreement.Examples of confidential informationare financial data, strategic plans,intellectual property, information onbids, personal employee information,

legal documents and information on customers and suppliers. Social mediaWhat should I do?You must never openly express apersonal opinion (be it positiveor negative) in Bombardier’s nameon any social media platform.Only authorized Bombardierspokespeople are permitted to publiclyrepresent the company. Additionally,you shouldn’t create any type of blogin Bombardier’s name unless you’reauthorized to do so by Bombardier’sCommunications department.Q: My team and I are starting towork on a new product. I’d liketo document the production fromstart to finish and create a veryprofessional “how it’s made” video,which I’d like to post on my blog.I’m a big fan of what we do, so thevideo would only contain positivethings. Is that OK?As a public issuer having shares listedon a stock exchange, Bombardieris governed by strict disclosure rules.Social media is not the place to discussproprietary, non-public and confidentialcompany information. Always bemindful of confidentiality when sharinganything online.Never post or share content orcomments that are discriminatory,offensive or inappropriate on socialmedia. Since I already purchasedthe license, is it OK for me to installit on my Bombardier computer?A: Installing your personal softwarewould be against Bombardierpolicy. In fact, you shouldn’tinstall software from homeor from any other source onyour business computer withoutgetting Bombardier’s approvalfirst. We don’t allow it to preventthe installation of viruses, butalso because software has strictcopyright rules that are differentfor individual and corporate use.Installing personal software onyour business computer could beconsidered pirating, and piratingsoftware is equivalent to stealing,which Bombardier is liable for.

UpholdingsoundbusinesspracticesSecurities lawsand insider tradingSubject to limited exceptions, it’s illegal for anyone who hasmaterial, non-public information about a public companyto buy, sell or trade in securities of that company, or topass on undisclosed material information to anyone else.Material, non-public information is defined as any information,generally unknown to the public, relating to a companythat if disclosed could reasonably be expected to influenceinvestors, or to affect the market price of the company’sshares. Examples of this type of information include: U npublished financial information, includingquarterly or annual financial results not yetdisclosed to the public; S ignificant new contracts, products, patents orservices, or significant losses of contracts or business; C hanges to the Board of Directors or executivemanagement, including the departure of thecompany’s CEO, CFO, COO or President (or personsin equivalent positions); and S ignificant acquisitions or dispositions of assets,property or joint venture interests.Therefore, if you have any knowledge of material,non-public information about the company, you’re

prohibited from trading in Bombardiersecurities until the information hasbeen fully disclosed to the publicand a reasonable period of time haspassed for the information to be widelydisseminated by way of a press release.Securities include common shares(such as Bombardier Class B shares),preferred shares or bonds.
