,' ·CAR IBBEA N NURSE S' ORGANIZATtONCONSTITUTIONARTICLENAM E1.The name of this organization shall be the Caribbean Nurses' Organization hereafter called The CNO.ARTfCLE IIPURPOSES AND OBJECTIVES. 1.The purpose of The CNO shall be to work towards improving the health of thepeople of the Caribbe n .· 2.3.To promote the improvement of nursing care.To advance the educational, economic and professional welfare of nurses.4.To advance the Status of nursing as a profession by promoting measures whichprovide for the administration of nursing affairs by nurses.5.To main1ain and encourag e high standards of professional services byinfluencing public policy, initiating and/or supporting legislation to these ends.6.To foster regional, international and affiliate relationships thatuphold the ethics1of the nursing profession on an internationally accepted basis. Membership categories shall include:A.Nurses' Associations established in the g iven regions - Members .,of theAssociations shall have full privileges in the CNO.I

3.IB.lnd 'viduals or ·associates" are those nurses who reside in countries wherethere is no national Association. However, they shall have no voting privileges.C.Affiliate Members: A duly constituted organization of nurses who reside inthe affiliate area. Affiliates shall have all privileges of mernbers of CNO except those ofvoting, holding office or serving as Chairperson of a Standing Cornrn!Hee.Section 2. App lication for Membership:A.App lications for membership shall be on forms as may be prescribed byCNO. Each app'ication shall be accompanied by a fee as determined by the Boardand forwardedto the Secretary of CNO. The fee shall be subject to change by theBoard of Directors from time to timeB.Any member wish ing to withdraw from the CNO shall do so in wr iting givingnotless than six (6) months notice of such intended withdrawal. Such notice shall beaddressed to the President with a copy to the Secretary.C.Any member wishing to withdraw from the CNO shall relinquish all claims,rights. privileges and benefit s in the property of the CNO as from . the date such·resignation takes effect.ARTICLE VIDUTIES OF MEMBERSHI PSection 1. Membership Associations shall:A.Member Associations and or Affiliates shall send to the Secretary of theCNO the names and addresses of all officers of thei r Association within one (1) monthfollowing elections, and by March 1, the number of members in each of theirmembership categories;. B.Send to the Secreta ry of the CNO a copy of th e relevant constitution and/or regulations of the Association or Affiliate and any amendments.C.Send to the President, Secretary and Publicity Chairperson of the CNOcopies of the Annual Report and Newsletters;.',0.To receive an annual dues notice and to send to the Treasurer the dues bythe 30th day of J une;

4E.Assist in all ways to further the objective of the CNO.Section 2. Associations or Affiliates shall further the objectives of the CNO whenev erpossible through services on committees or in anyway that is not in conflict with thisConstitution.ARTICLE VIIDUE SSection 1. Dues shall be determined by the Board of Directors with the approval of thevoting delegates at the Biennial Conference.Section 2. Dues are payable on May 1st, the first day of the Financial year. TheFi nancial Year begins May 1st and ends on the 31st of April.A.Late dues will be assessed at 10% of annual fees. Penalty for late dues willbe effective sixty (60) days after the due date . .Section 3. If an Association does not pay the stipulated dues within the prescribedtime, the Association shall forfeit its confe rence voting privilege. However. membersof the Association may attend conferences of the CNO with observer status only.IARTICLE VI IIOFFICERS AN D DUTlES O F OFFICERSSection 1. The officers of the CNO shall be a President, Vice-President, Secretary,Assistant Secretary and Treasurer.'.Section 2. Officers and the members of the Nominations Committee shall be electedat each Biennial Conterence.Section 3. No officer shall serve in the same office for mor'e than two (2) consecutiveterms.Section 4. The President shall be the Chairperson of the Executive Committee andthe Board of Directors of the CNO. He/She shall:A.Preside at all meetings of the CNO;

5B.Appoint tellers at all Biennial Conferences;C.Be an ·ex-officio" member of all Standing Committees, except theNominating Committee;D.Appoint, with the approval of the Board, all-Special Co mmittees nototherwise, provided for in this Constitution;E.Deliverwrth the office;a Biennial address and perform such other duties as are consistentIn the event of a vacancy on the Board, the President, with the approval ofthe Board may appoint a successor to serve out the remainder of the term .F. G.Serve as the the Organizations representatives to Affiliate groups, Headsof Governments and to other local, regional and international groups, bodies andconferences.Section 5. The Vice - President shall:·,A.Assume and perform the duties of the President in his/her absence, andother duties as assigned by the President;B.Board.Oversee Standing Committees as assigned by the President and or theSection 6. The Secretary shall:\IKeep minutes and reco rds ofJ all meetings of the CNO and Board ofA.Directors;tB.Prepare and present reports to the Board of Directors of all businessesoccurring between conferences and Board meetings;C.Notify all officers, Regional Directors and Standing Committee members ofthei r respective appointm ent ;·D. ·Assume such other duties as may be assigned by the Board of Directors.Section 7. The Assistant Secretary shall:

,. .6A.Assume duties of the Secre1ary in his/her absent;B.Carry out such duties that may be delegated by the President or 'Secretary;C.Assume such duties as may be assigned by the Board of Directors.Section 8. The Treasurer Shall:A.Receive and have charge of all funds of the CNO;B.Deposit such funds in a bank approved by the Board o't Directors and withthe approval of the President pay all bills and claims made against the f.unds of theCNO;C.Keep an itemized account of all disbursements and receipts;D.Present a written report of all accounts at Board meetings;E.Send notices of payment of dues at specified times;.F.Submit all accounts for review as specified by the Board andr?viewed report to the conference;G.pre entaSeNe.as Chairperson of the Finance Committee.Section 1O. Upon resignation or retirement, all out-going officers .shall deliver to theirsuccessor, all CNO property and effects in their possession within one (1) monthfollowing the close of the Biennial Conference.\I· ARTICLE IXEXECUTIV E COMM ITTE ESection 1. The above officers shall comprise the Ex·ecutive Committee and shall havethe power of the Board to transact emergency business between Board meetings. ·Section 2. All such transactions shall be reported at the next meeting of the Board.

7ARTICLE XBOARD OF DIRECTORS AND DUTIES OF THE BOAR DSection 1 . The Board of Director shall consist of the Executive Committee, theimmediate past President and the four (4) Regional Directors.Section 2. The Board of Directors Shall:ATransact business of the CNO in the interim between BiennialConferences;8.Establish major policies governing the affairs of the organization;C.Appoint Special Committees as the need arises;Have the power to fill vacancies occurring save and except the office ofD.President;E.Decide upon the time and the place of the Biennial Conference;F.Provide for the review of all accounts. payments of legitir'T'ate expen5esand for the proper care and maintenance of all property and effects of the CNO, anddesignate the bank in which fu nds shall be deposit ed;G.Administer and manage such dues, bequest funds and other financialmonetary transactions.in the rame of CNO.H.Have the power to appoint represen1ative or observers from the CNO toattend meetings of other organizations;I.Approve the budget for presentation at the Biennial Conferences;J.Establish job descriptions and · policies governing personnel in theemployment f the CNO;K.seek new members;L.Responsible for the promotion and publicity of the Association;.Responsible for the subscription, production and circulation of the Journal.M.

8·ARTIC LE XIREGIONAL DIRECTORS AN D THEI R DUTIESSection 1. Each Regio n shall have a Director ele9ted by the delegates of memberAssociations of that Region at each Biennial Conference.Section 2. The Regional Directo r shall:A.Maintain liaison between the nurses' Associations in the region and theBoard of Directors of the CNO;B.Help the various committees of the CNO with their activities;C.Collect information, news, activities of nurses and any data of interest fromthe region for the Board of Directo rs;D.Visit if possible, the nurses associations in the assigned region;E.Advise and assist associations to develop socioeconomic programs;F.Assume any other duties that may be assigned by the Board of Dire.cf ors.ARTIC LE XIISTANDING COMMITTEES· Section 1. Standing committees shall:A.Be appointed by the Board of Directors at or immediately following eachBienn'ial Conference;8.Stand for two (2) years or until their successors are appointed;CAssume such duties as are specified in this Constitution and shall performsuch other duties as may be assigned by the Board of Directors;,D.All members , Affiliates and.Associates are eligible for appointment to

9Standing Committees, except the Nominations Committee which is an electedCommittee.Section 2. Standing Committees shall consist of at least five (5) persons, a majority ofwho m shall be members.Section 3. The following shall be the Standing Committees of the CNO:ConstitutionFinanceNursing EducationNursing SeNiceNominations (elected at each Biennial Conference)Section 4. The Chairperson of each committee shall:A.Notify the President of the CNO of the activities of the committee;B.keep minutes of all meetings of th e Standing Committee and report to theBiennial Conference of the CNO;C. . Send a written report of the Committees's action to the President andSecretary at least two (2) months before the Biennial Conference;D.Shall have the power to appoint voluntary consul!ants and sub-committeesas deemed necessary by the Committee·.Section 5. Each retirin g committee Chairperson shall deliver to the successor allproperty and effects of the CNO within one (1) month following a Biennial Confere.nee.Section 6. The Constitution Committee shall:A.IBetween Biennial Conferences review the constitution and regulations. 1B.Review and accept from members and /or draft proposed amendments asindica1ed for presentation to the Board of Directors andCCirculate by mail the proposed amendments to the membership at leastfour (4) months, before the Biennial Conference; .D.Advise Nurses' Associations of the reg ion with respect · to theirconstitutions: so that they may be consonance with the policies of the CNO.

The Finance Committee shall:Prepareth budget for a two year period;B.Advise as to the allocated expenditures an drespect to allocated expenditures;C.report to the Board wit hRecommend ways and means of fund-raising;0.Monitor and make recommendations about the investment and overallfinancial status of the organization.Section 8. The Nursing Education Committee shall:A.Encourage and stimulate the edy.c ational development of nurses at the·basic, p9st-basic and post-graduate levr ,; .B.Disseminate information about continuing education programs;C.Assist member Association and special interest groups in identifying .andaddressing educational needs;·D.Promote and stimulate nursing research.Section· 8. The Nursing SeNices Committee shall:A.Identify and promote improvement of practice and quality of nursing care inthe region;B.Consider improvements and reports as identified in the reg ion;c.Promote the interest an d welfare of practitioner's in respected areas ofI nursing.I J'!ARTICL E XIII.SPECIAL COMMITTEES'1Section 1. A special Committee of not less than five (5) members shall be appointedas needed.·

Speda Com mittees shall serve from the tim e of their appointment until·completion of the project for which they were appoint ed.Section 3.Section 4 - A, B, C, and D of Article XII, Standing Committees shall apply.ARTtCLE XlVNO MINATIO NS AND ELECTION SSection 1. The Nominating Committee shall be elected at each Biennial Conference.A.Implement th e policies and procedure s for nom inations and elections asestablished o r provided for in this Constitutio n.Section 2. The Nom fnating Committee shall prepare a slat e of qualified cand idatesfor each office;Section 3. The Nominating Committee shall issue to each member Association the ·prescribed fo rms for nominations, not less that nine (9) months prior to the scheduleddate of a Biennial Conference;A.Nominations can al so be offere d fro m th e floor two (2) d a ys beforeelections at the Biennial Conferenc e during to appropriate business session.I,Section 4. Elections fo r Officers, Regional Directors a nd Nominating Committee, toserve for two years or until their successors are etected shall be held at each BiennialConference.II.A.Elections shall be by written secret ballot.lIB.Polls shall be opened and shall re ma in open for such time as specifi ed by'th e CNO Board;Section 3. On the first day of the Biennial Conference, the President of CNO shallappoint Tellers. No Teller shall be a vot ing delegate or nominee. The Tellers shall :A.Prepare a Ballot from the Slate of the Nominating CommitteeB.Serve as inspectors of elections;C.Tally the Ballots.

·12D.The Chief Teller will present the tally report which has been signed by allthe Tellers to the Delegates, then hands the report to the Presiding Officer whoannounces the winning candidates.E.The Tellers upon a motion shall destroy the sea'ed Ballots from theprevious Bienn'al election.Section 4. The number of votes for each Association attending and entitled to voteshall be two (2).A.In the event that the Association is represented by one (1) delegate, th eone delegate shall cast two (2) votes;B.A plurc .y vo.te shall constitute an election;Section 8. In the case of a tie, the choice shall be decided by lot.Section 9. All ballots sealed in an envelope and oth r records of the election shall bepreserved by the Secretary until the followin g Biennial Conference.Section 10. The Chairperson of th e Nom inations Committee shall be determined by·the highest votes receivedARTICLE XVMEETING SSection 1. The CNO shall hold Biennial Conference at such time and place asdetermined by th e Board of Directors.Section 2. The place of the Biennial · onference shall be by written invitation of amember Association prior to the Bienni I Conference.Section 3. Regular and Special meeti1gs:A.Meetings of the Board of Directors shall take place immediately precedingand immediately following each Biennial Conference of the CNO;

13B.Special meetings of the Board may be held upon the request of thePresident of CNO or upon resolution of the Board, at such time and place asdetermined by the President;Section 4. Standing and Special Committee meetings:A.Meetings of Standing Committees shall be held as soon as possiblepreceding and immediately following a Biennial Conference of the CNO;B.Chairpersons of Committees shall maintain by correspondence and by anyother available means, communication with their committee members.Section 5. The order of business at each Biennial Conference shall be fixed at thebeginning of the meeting and shall include among othe matters;Add ress of the PresidentReport of the Board of DirectorsReport of OfficersReport of Standing CommitteesReport of Special CommitteesAssociation ReportsElectionsOther businessARTlCLE XVIQUORUMSection 1. A majority of the Board of Directors including two (2) officers shall constitutea quorum at any meeting o the Board of Directors.Section 2 Three Officers one of whom shall be the President shall constitute aquorum at any meeting of the Executive Committee .Section 3. Five (5) members of the Board of Directors, one (1) of whom shall be theF'resident and twenty (20) delegates representing a majority of member Associations,shall constitute a quorum for any transactions Qf business at a Biennial Conference .Section 4 . A majority of the members of a Committee shall constitute I'.a quorum.

Newly Revised. shall govern the meetings of CNO, in allcases where they are not inconsistent with this Constitution, standing rules or otherregulations.·ARTIC LE XVIIIAMENDMENT SSection 1. All proposed amendments sh&ll be forwarded to the Chairperson of th eConstitution Committee at least four (4) months prior to the date of the BiennialConference.Section 2. The Chairperson and /o r the Secretary shall forward a draft of thepro posed amendments to all members of the CNO at least two (2) months prior to thedate of the Biennial conference.Section 3. This Constitution may be amended at any Biennial Conference by amajority vote provided tr1at Associations have received the proposed amendment bymail, at least two (2) months prior to the Biennial Conference.Section 4. This Constitut ion may be amended without previous notice, at any BierinialConference by a 2/3rds vot e.
