(c) New Market Promotion: You can earn twenty-five (25) additional Elite Ranking Pointsfor the first two (2) PS Coaches that reside in the UK or France that rank advance to a new lifetimeDiamond rank and holds for 6 weeks during the Challenge Period.Maximum Elite Ranking Points Allowed: You may not earn more than twenty-five (25) Elite RankingPoints per Personally Sponsored Coach and fifty (50) Elite Ranking Points total under this Section5(c).Example 1: If your first Personally Sponsored Coach in the UK or France advances to lifetimeDiamond rank during the Challenge Period, you will receive twenty-five (25) Elite Ranking Points.Example 2: If your first Personally Sponsored Coach in the UK or France Coach qualifies forSuccess Starter during the Challenge Period and rank advances to lifetime 3 Star Diamond duringthe Challenge Period, you will earn one hundred fifty (150) Elite Ranking Points (25 Elite RankingPoints for the Success Starter qualification, plus 100 Elite Ranking Points for each lifetime rankadvancement from lifetime Diamond to lifetime 3 Star Diamond, plus 25 Elite Ranking Points forthe New Market Promotion (25 25 (25 x 4 100) 150).Additional Terms, Limitations and Restrictions: You may not earn more than two hundred (200)total Elite Ranking Points for each Personally Sponsored Coach during the Challenge Period underthis Section 5. For clarity, Elite Ranking Points only count towards ranking and not towards theElite Qualifications. Elite Qualifications are set forth in Section 6 below. Please see the currentTeam Beachbody Coach Compensation Plan for definitions of all lifetime ranks (including Diamond,1 Star Diamond, and 2 Star Diamond up to 5 Star Diamond), and see FAQ 8100 for information onthe Success Starter program.Elite Qualifications6.Elite Qualifications: Subject to the terms, conditions and limitations herein, andverification by Team Beachbody, Team Beachbody is offering Qualified Coaches the opportunityto earn Elite Rewards by meeting all of the following qualifications (“Elite Qualifications”):(a)Being a current paid rank of 5 Star Diamond or higher (as defined in the thencurrent Team Beachbody Coach Compensation Plan) as of the close of any bonus week inDecember 2021, or holding a current paid rank or qualification rank of 5 Star Diamond or higher forsix (6) or more consecutive bonus weeks that end in 2021; and(b)Earning at least one hundred and five (105) Leadership Points during theChallenge Period; and(c)Advancing at least two (2) Personally Sponsored Coaches who held a lifetime rankof Ruby or lower as of January 1, 2021, or who enrolled as a new Coach in 2021, to a lifetime rankof Diamond or higher during the Challenge Period and who each either: (i) hold a current paid rankof Diamond or higher as of the close of any bonus week in December 2021, or (ii) hold a currentpaid rank or qualification rank of 5 Star Diamond or higher for six (6) or more consecutive bonusweeks that end in 2021; and(d)Accumulating at least five thousand (5,000) Team Volume points in your Weak Legover the course of five (5) consecutive bonus weeks that end in 2021. The “Weak Leg” is definedas the leg (Right Leg or Left Leg) that accumulates the least Team Volume in a bonus week. Overthe course of the five (5) consecutive bonus week period, the Weak Leg will be determined on aweek-by-week basis. For example, the Right Leg may be the Weak Leg for the first three weeks,while the Left Leg may be the Weak Leg for the last two weeks. (e)Having an active group on BODgroups at any point during the Challenge Period.Elite Rewards7.Elite Rewards: Subject to the terms, conditions and limitations herein, and verification byTeam Beachbody, if you meet the Elite Qualifications above, you will be eligible to receive:(a)The title of “2022 Elite Coach.”(b) The “Elite Bonus” of one hundred dollars (USD 100.00) in any calendar month in2022 where you:(i) Achieve Success Club 5 or 10 Qualification (in accordance with thequalification requirements in effect at that time) in that same month in 2022; and(ii) Are a current paid 5 Star Diamond rank or higher (as defined in the then currentTeam Beachbody Coach Compensation Plan) as of the close of at least one (1) bonus week duringthat same calendar month in 2022.- Close of Bonus Week: The date on which a bonus week closes determines themonth during which you are eligible for the Elite Bonus. For example, if the closeof a bonus week ends in July, your rank qualification will apply towards the monthof July (even if the week started in the month of June).- Bonus Payment: The Elite Bonus will be distributed by Team Beachbody throughyour commission payment in the month following your qualification and verificationby Team Beachbody.(c) The “Top 200 Elite Bonus” of four hundred dollars (USD 400.00) in any calendarmonth in 2022 where you:(i)Earn the “Elite Bonus” in Section 7(b) above; and(ii)Are one of the top two hundred (200) overall 2021 Leadership Pointearners based on Leadership Points and Elite Ranking Points earned.- NOTE: Elite Ranking Points can contribute towards ranking but have no effect onElite Qualifications.- Ties: In the event of a tie for the Top 200 Elite Bonus, the potential winner(s) willbe selected based on the highest overall Leadership Points earned throughAcquisition PV Points during the Challenge Period, as set forth in Section 4(a)above. If ties remain, the potential winner(s) will be selected based on the highestoverall PV earned during the Challenge Period.(d) Two (2) VIP floor passes to certain general session events during the 2022 TeamBeachbody Coach Summit (“2022 Coach Summit”).- Important: Team Beachbody will announce the dates, location and otherinformation for the 2022 Coach Summit once they become available. In order toreceive the two (2) VIP floor passes, you are required to register for, purchase aticket to, and attend, the 2022 Coach Summit.(e)Onstage recognition at the 2022 Coach Summit.5

- Important: In order to receive the onstage recognition, you are required to registerfor, purchase a ticket to, and attend, the 2022 Coach Summit.(f)One (1) custom 2022 Elite jacket.(g) One (1) invitation to attend the “Elite Evening” at the 2022 Coach Summit, whichincludes a two hundred dollar (USD 200.00) award.- Important: The “Elite Evening” is tentatively scheduled to take place one (1) dayprior to the 2022 Coach Summit. Team Beachbody will announce the dates,location and other information for the Elite Evening once they become available.The 200.00 award will be distributed through each winner’s commission paymentin or around July 2022. In order to receive the 200.00 award, you must register,fully pay for, and attend the Elite Evening and 2022 Coach Summit.(h) Two (2) VIP seats to certain events during the 2022 Leadership Retreat (“2022Leadership Retreat”).- Important: Team Beachbody will announce the dates, location and otherinformation for the 2022 Leadership Retreat once they become available. In orderto receive the two (2) VIP seats, you are required to qualify for, register, purchasea ticket to, and attend, the 2022 Leadership Retreat.(i)An invitation to attend the “Elite Reception” at the 2022 Leadership Retreat.- Important: Team Beachbody will announce the dates, location and otherinformation for the Elite Reception once they become available. In order to receivethe invitation, you are required to qualify for, register, purchase a ticket to, andattend the 2022 Leadership Retreat.(j)If you have registered for the 2022 Success Club Trip (“2022 Success Club Trip”),you will be eligible to receive an invitation to the “Elite Reception” at the 2022 Success Club Trip.- Important: The 2022 Success Club Trip is tentatively scheduled to take place overtwo different waves, with the Sol Wave taking place from April 11 to April 15, 2022,and the Luna Wave taking place from April 15 to April 19, 2022. In order to receiveyour invitation to the Elite Reception, you must register and fully pay for, and attendthe 2022 Success Club Trip. For details, please see the Success Club TripChallenge 2022 Official Rules available through the Coach Office.(k) Eligibility to participate in the 2022 Elite 10 Challenge and, if you meet additionalqualifications, you may qualify to attend the 2022 Elite Adventure (“2022 Elite Adventure”).- Important: Team Beachbody will announce the dates, location and otherinformation for the 2022 Elite Adventure once they become available. For details,please see the Team Beachbody 2022 Elite 10 & 2022 Top Coach of the YearChallenge Official Rules available through the Coach Office.(l)Eligibility to participate in the 2022 Top Coach of the Year Challenge and, if you meetadditional qualifications, you may qualify to earn the title of “2022 Top Coach of the Year.” Fordetails, please see the Team Beachbody 2022 Elite 10 & 2022 Top Coach of the Year ChallengeOfficial Rules available through the Coach Office.(m)Beachbody.Priority registration for certain 2022 Coach Summit activities selected by Team6

(n) Express line checkout at The Core at the 2022 Coach Summit (The Core is an onsite store where 2022 Coach Summit attendees can purchase Beachbody products andmerchandise).Approximate Retail Value (“ARV”) of the Elite Rewards for non-Top 200 Elite: 2,700.00. ARV forTop 200 Elite: ranges from 3,100.00 up to 7,500.00, depending on how often a Qualified Coachqualifies in each month’s Top 200 Elite as set forth above.Events: The 2022 Coach Summit, Elite Evening, 2022 Leadership Retreat, Elite Reception, 2022Success Club Trip and 2022 Elite Adventure are each referred to in these Official Rules as an“Event,” and collectively, the “Events.”Additional Conditions/Requirements to Receive Elite Rewards: Before you receive any EliteRewards tied to an Event, you must (as applicable) qualify for, register, fully pay for and attend theEvent, and comply at all times with any terms and conditions of Team Beachbody and relating tothe particular Event. For example, in order to receive the two (2) VIP floor passes to the 2022Coach Summit, you must properly register, pay for and attend the 2022 Coach Summit, and complyat all times with any terms and conditions of Team Beachbody and the 2022 Coach Summit.8.Elite Challenge Calculations and Timeframe: Preliminary evaluation of Success ClubPoints and Success Club 5 and 10 Qualifications will be calculated on a daily basis and posted inthe Coach Office. Preliminary evaluation of Leadership Points will be calculated on a monthly basisand communicated by e-mail at the email address on file with Team Beachbody. Potential winnersof Elite Rewards will be notified in or around January 2022 through e-mail and on TeamBeachbody’s websites. However, final winners will not be determined until Team Beachbody hasverified all winners, including to ensure that each potential winner’s Elite Qualifications do notchange for any reason, including due to any deduction of Leadership Points, Success Club Points,PV or Advanced Team Volume (“ATV”), whether due to returned product or as otherwise set forthherein or in the Success Club Rules.Note: When calculating Elite Qualifications for Qualified Coaches with more than one (1)Beachbody Coach Business Center, all activity that occurs from various Coach Business Centerswill be aggregated and reflected in the Qualified Coach’s primary Business Center. Only primaryBeachbody Coach Business Centers are eligible to fulfill the Elite Qualifications and receive theElite Rewards set forth herein; Beachbody Coach Business Centers outside of the primary are noteligible to receive any Elite Rewards.9.Additional Elite Rewards Conditions: Elite Rewards will be awarded to QualifiedCoaches following verification by Team Beachbody in its sole discretion of all requirements andqualifications in these Official Rules (including verification of Leadership Points, Success ClubPoints and Success Club 5 and 10 Qualifications), and provided that such Qualified Coaches meetthe definition of “Qualified Coach” and all other terms and conditions herein. Failure to meet anysuch requirements or qualifications will result in the forfeiture of all Elite Rewards in TeamBeachbody’s sole and absolute discretion. Team Beachbody reserves the right in its sole andabsolute discretion to adjust (i.e., add or subtract) Success Club Points, Leadership Points and/orElite Qualifications for any Qualified Coach deemed by Team Beachbody to have exceeded anypoint limits stated herein (including but not limited to the Leadership Point and Success Club pointlimitations set forth above) or committed any violation of these Official Rules, the Success ClubRules, or the Team Beachbody Coach Policies and Procedures (such as bonus buying, etc.). Onceverified by Team Beachbody, Qualified Coaches who earn the Elite Rewards listed herein mayreceive or redeem (as applicable) such Elite Rewards as instructed by Team Beachbody. Allexpenses, costs or fees that are not otherwise expressly stated above, including any and allapplicable travel costs, personal expenses, incidental costs, lodging and room costs (if applicable,such as room service, mini bar charges, dry cleaning, internet fees, parking, etc.), planning and/orother expenses, taxes, fees, insurance premiums or other costs arising from or related to the EliteRewards, attending any Event, or any alternative or extended travel plans are not included and are7

solely your responsibility. You will be solely responsible for booking and financing yourarrangements including air, ground, and any other transportation to and from the destination of anyEvent for which you received an Elite Reward. Elite Rewards (including VIP passes and invitations)are not transferable and, except for the Elite Bonus and Top 200 Elite Bonus, have no cash or othermonetary value. No Elite Reward substitutions are allowed except at the sole discretion of TeamBeachbody, who reserves the right to substitute a reward of equal or similar value. Any and alllocal, state, or federal taxes are the sole responsibility of the Elite Rewards recipient. Unlessexpressly stated otherwise by Team Beachbody in writing, Elite Rewards may not be combinedwith any other challenge, promotion reward, incentive, contest or other offer.In Team Beachbody’s discretion, each potential winner will be required to sign and return to TeamBeachbody, within seven (7) days of notice or attempted notice, an affidavit of eligibility, a liabilitywaiver, a W-9 Form (or other appropriate tax form based on place of residence), and whereallowable, a publicity release (collectively, the “Releases”) in order to claim any Elite Rewards. Ifa potential winner fails to sign and return the Releases within the required time period, the EliteRewards may be forfeited or awarded to an alternate, in Team Beachbody’s sole discretion.10.Who Can Enter: The Elite Challenge is open to Qualified Coaches who are legal residentsof the United States (including its territories), France, the United Kingdom and Canada, who are atleast 18 years old or the age of majority in the Qualified Coach’s legal place of residence.Employees, officers, mandataries, and directors of Team Beachbody and their parent and affiliatecompanies, as well as their immediate household family members (including spouse, parents,siblings, and children, if applicable) are not eligible to participate in the Elite Challenge.11.Important Tax Information: Tax regulations require Team Beachbody to include the valueof all cash rewards made to you or on your behalf on the 1099 or T-4a reporting form that youreceive each year. Please note that a 1099-MISC tax reporting form is issued if a U.S. Coach’stotal earnings equal or exceed USD 600 (including cash rewards) and a form T-4a is issued if aCanadian Coach’s total earnings equal or exceed CAD 500.12.Publicity: Except where prohibited, participation in the Elite Challenge constitutes yourconsent to Team Beachbody’s and its agents’ use of any information, video, or testimonial of orprovided by you before, during and/or after your receipt of any Elite Reward, including withoutlimitation your name, image, likeness, photograph, voice, opinions, and/or hometown, state, andany biographical information for promotional purposes in any media, worldwide, without furtherpayment, consideration or attribution to you. As an express condition to acceptance of any EliteReward, at Team Beachbody’s sole discretion, you may be required to provide an on-camerainterview to take place before, during or after any of the Events. If you are unwilling or unable toprovide this interview, you may not be allowed to receive your Elite Rewards, in Team Beachbody’ssole and absolute discretion.13.Release: BY PARTICIPATING IN THE ELITE CHALLENGE AND ATTENDING ANY OFTHE EVENTS, YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT ANY OF THEEVENTS AND YOUR PARTICIPATION IN ANY ACTIVITIES BEFORE, DURING AND AFTER THEEVENTS (INCLUDING WITHOUT LIMITATION PARTICIPATION IN ANY EXERCISE,WORKOUTS OR OTHER PHYSICAL ACTIVITY, TRIPS, SPORTS, DANCING, ANDCONSUMPTION OF MEALS AND ALCOHOL) (COLLECTIVELY, “ACTIVITIES”) MAY HAVEPOTENTIALLY SIGNIFICANT AND INHERENT RISKS AND DANGERS THAT NO AMOUNT OFCARE, CAUTION, INSTRUCTION, OR EXPERTISE CAN ELIMINATE.YOU HEREBYACKNOWLEDGE AND WILLINGLY, EXPRESSLY AND VOLUNTARILY ASSUME ALL THESERISKS WHICH MAY RANGE FROM MINOR INJURIES (SUCH AS NAUSEA, CUTS ANDBRUISES) TO SEVERE PERSONAL AND/OR BODILY INJURY (SUCH AS SPRAINS, BROKENBONES, CRIMES, ALCOHOL POISONING AND HEART ATTACK), DEATH OR DAMAGE TO ORLOSS OF PROPERTY OR PRIVACY, AND ANY RESULTING DAMAGES OR EXPENSES.
