The subject Notice Inviting Tender (NIT)is an invitation to offer made on the condition that the Bidder will sign the integrityAgreement, which is an integral part of tender/bid documents, failing which thetenderer/bidder will stand disqualified from the tendering process and the bid of the bidderwould be summarily rejected. This declaration shall form part and parcel of the IntegrityAgreement and signing of the same shall be deemed as acceptance and signing of theIntegrity Agreement on behalf of the WAPCOS.vi. In the case of discrepancy between the schedule of Quantities/Project Components and theSpecifications , the following order of preference shall be observed:a. Description of Bill of Quantities/ Project Components.b. Particular Specification and Special Condition, if any.c. Relevant Indian Standard codes and CPWD Specifications.d. NIT No.: WAP/ENVT/CSEZ/H-3082/2020/76SECTION - II1.INTRODUCTIONCochin Special Economic Zone (CSEZ) is a Special Economic Zone functioning under theAdministrative control of the Department of Commerce, Ministry of Commerce & Industry,Government of India. The Zone acts as an export hub for the industries whose products aremarketed overseas.Cochin Special Economic Zone Authority (CSEZA) is an authority created under SpecialEconomic Zone Act, 2005. It functions as an infrastructure facilitator of the Zone by assumingthe role of a Developer of the Zone.The Developers/units, its agencies appointed by them have been exempted fromPayment of Customs Duty for goods or services imported into SEZ for itsauthorised operations in terms of Section 26 of SEZ Act, 2005. As per 16(1) ofChapter VII of IGST Act, all supplies of goods or services or both to SEZDeveloper and Units are zero rated.CSEZA has appointed WAPCOS Limited, A Government of India Undertaking under theMinistry of Jal Shakti as ‘Owner’s Engineer’. WAPCOS Limited, on behalf of CSEZA invitesSealed Tenders from eligible, reputed agencies having relevant experience for “Supply ofLED lights and fittings in Cochin Special Economic Zone, Kakkanad”.2.0ELIGIBILITY CRITERIAWhile submitting the proposal, the applicant shall ensure that the applicant meets theconditions of eligibility as described below:Sl. Eligibility criteriaNo.Should be a registered company/firm2.1 registered in India.*Bidders should have atleast oneregistered Office in Kerala.2.2 Average Annual Turnover for lastthree consecutive years should beminimum 50% of the estimated cost.2.3Documentary proof to be submittedCertificate of registration/incorporationGST No. (If applicable) Certified copy of Profit and Loss Account,Balance sheet for Year 2017-18, 18-19 and19-20. Declaration of annual turnover for last threeconsecutive years duly certified by auditorShould have experience in works of Work Orders and Completion Certificate fromsimilar nature in last 5 yearsclient with cost, time duration and briefdescription of the project mentioned in it.JV/Consortium bids will not be allowed.Page 7 of 31
NIT No.: WAP/ENVT/CSEZ/H-3082/2020/763.0CONDITIONS OF CONTRACT3.1 Validity of offerThe offer shall be valid for a period of Sixty (60) days from the date of submission.3.2EMD and cost of Tender DocumentAgency shall submit an EMD and cost of Tender Document as specified in the TenderNotice by Demand Draft from any Nationalized Bank drawn in favour of WAPCOS LTDpayable at Cochin. The EMD of unsuccessful bidder will be re-funded after evaluation andissue of work order to successful bidders or within 90 days from the date of submission oftender whichever is earlier.3.3RatesThe rates quoted shall include cost of loading, transportation, unloading and installation. Therates shall be firm for the period from the date of the award of contract to the end of the workand no escalation whatsoever will be allowed during this period. SEZs are exempted fromGST as per the Section 16, GST Act. Hence the rates quoted should be exclusive of GST asapplicable.The rates quoted in the price bid should be excluding of GST.3.4AgreementThe selected Bidder will have to sign an agreement with WAPCOS Limited as per the formatspecified in Annexure B. The agreement is non-exclusive in nature. The agreement shall notrestrict WAPCOS/CSEZA from contracting for identical or similar services from any otherperson/party.Duration of agreement: This agreement shall initially be valid for a period of the contractincluding Defect Liability Period which may be extended for an additional period unless asprovided herein revoked earlier for whatever reasons. If at any stage during the tenure ofthis agreement, it comes to the notice of WAPCOS, directly or through some othercomplaint, that the Bidder had misrepresented the facts or submitted any false information orhidden any information, which could have affected the signing of this agreement with theagency, this agreement shall stand terminated immediately upon intimation to the Bidder.Suspension, Revocation or Termination of agreement: WAPCOS on behalf of CSEZAreserves the right to suspend the operation of this agreement, at any time, due to change inits own license conditions or upon directions from the competent government authoritieswithout citing any reasons thereof. In such a situation, WAPCOS/CSEZA shall not beresponsible for any damage or loss caused or arisen out of aforesaid action. Further, thesuspension of the agreement will not be a cause or ground for extension of the period of theagreement and suspension period will be taken as period spent. During this period, nocharges shall be payable by WAPCOS/CSEZA.WAPCOS/CSEZA may, without prejudice to any other remedy available for the breach ofany conditions of agreement, by a written notice of one month issued to the agency at itsregistered office, terminate or suspend this agreement under any of the followingcircumstances:Page 8 of 31
NIT No.: WAP/ENVT/CSEZ/H-3082/2020/76a)b)c)The Bidder failing to perform any obligation(s) under the agreement.The Bidder failing to rectify, within the time prescribed, any defect as may bepointed out by WAPCOS/CSEZA.The Bidder going into liquidation or ordered to be wound up by competent authority.Either party may terminate the agreement, by giving notice of at least one month in advance.The effective date of surrender of agreement will be one month counted from the date ofreceipt of such notice by the other party or the authority that signed the agreement on behalfof other party.It shall be the responsibility of the Bidder to maintain the agreed quality of service, evenduring the period when the notice for surrender/termination of agreement is pending and ifthe quality of performance is not maintained, during the said notice period, it shall be treatedas material breach liable for termination at risk and consequent of Bidder and SecurityDeposit shall be forfeited, without any further notice.Whenever breach of non-fulfilment of agreement conditions may come to the notice ofWAPCOS through complaints or as a result of the regular monitoring, wherever consideredappropriate WAPCOS may conduct an inquiry either suo-moto or on complaint to determinewhether there has been any breach in compliance of the terms and conditions of theagreement by the Bidder or not. The Bidder shall extend all reasonable facilities and shallendeavour to remove the hindrance of every type upon such inquiry.Actions pursuant to Termination of Agreement: Notwithstanding any other rights andremedies provided elsewhere in the agreement, upon termination of this agreement.a)b)c)Bidder shall not represent the WAPCOS/CSEZA in any of its dealings.Bidder shall not intentionally or otherwise commit any act(s) as would keep a thirdparty to believe that it is still the WAPCOS/CSEZA’s service provider.The expiration or termination of the Agreement for any reason whatsoever shall notaffect any obligation of either Party having accrued under the Agreement prior tothe expiration of termination of the Agreement and such expiration or terminationshall be without prejudice to any liabilities of either Party to the other Party existingat the date of expiration or termination of the Agreement.3.5 Security DepositThe successful bidder has to submit an Initial Security Deposit of amount equal to the 2.5%of the awarded value (including EMD) by way of DD from any Scheduled Bank in favour ofWAPCOS Ltd, Cochin within 7 days of receipt of the work order and WAPCOS Ltd. shalldeduct additional Security Deposit of 2.5% from each payment. The same shall be deductedproportionately from each bills, which will along with the amount of initial security depositalready deposited, amount to 5% of the gross amount of the bill. The Security Deposit will berefunded after satisfactory completion of contract period, submission of warranty certificates,undertaking for the defect liability period and submission of Bank Guarantee till defectliability period.Page 9 of 31
NIT No.: WAP/ENVT/CSEZ/H-3082/2020/763.6Billing and Terms of PaymentAll the tax applicable in respect of this contract shall be payable by the Contractor andWAPCOS will not entertain any claim whatsoever in respect of the same. The contractorshall submit the bills after supply and delivery of materials at site and payment will be madeafter verification and approval from CSEZA.All billing by the Contractor should be in the name of “WAPCOS limited, CSEZ Projectoffice, CSEZ Administrative Building, Kakkanad, Cochin – 682 037” bearing the GSTIN:32AAACW0764A2ZX”. In this type of billing, GST will be applicable as per the GST slabs.The GST charged shall be reimbursed by WAPCOS Limited on submission of followingdocuments (proof of GST paid and filing):1) GSTR-12) GSTR-33) GST ChallanThe bidder / contractor acknowledges that under the present Contract / Agreement /Work Order / Arrangement, WAPCOS is only working as intermediary between CSEZAbeing Principal Employer/ Client and bidder/ contractor. Thus the epaymentsunderthepresentcontract/Agreement/Work Order/Arrangement shall be made proportionately by WAPCOSonly on back to back basis i.e. after 21 days subject to receipt of payment from CSEZAbeing Principal Employer/Client. The bidder/contractor also unconditionally agree that in theevent the payment or part thereof, under the present Contract/Agreement/WorkOrder/Arrangement is not received from CSEZA, then WAPCOS &/or any of itsEmployee/Officer shall not be responsible to pay any amount to bidder/contractor. The saidcondition shall supersede any and all other conditions of Contract/Agreement/WorkOrder/Arrangement between the parties.Payment Terms:i)ii)3.7Supply & Installation - 70%Testing & Commissioning - 30%AssignmentThe rights and obligations arising out of this agreement shall not be assigned or transferredto a third party without prior written consent of either party.3.8Force MajeureIf performance by either party of its duties and obligation under this agreement is preventedor delayed by circumstances of force majeure including, but not limited to fire, flood,earthquakes, strike, war, riots, insurrection, any action undertaken or restriction imposed byauthority of any Government agency of court, shortage of equipment or raw materials or anyother act beyond its reasonable control, the time within which the affected party mustperform shall be delayed for a period under such circumstances to a maximum of 120 daysduring which the parties shall use alternate methods, but after which period either party shallhave the right to terminate the agreement. Determination of this agreement shall not relieveeither party from the payment of the sum or performance of other duties and obligations,which may be owing to the other, as a result of the operation of this agreement prior to suchtermination.Page 10 of 31

Accordingly, the parties as per their convenience shall jointly convene the saidmeeting (s), wherein minutes of the said meeting(s) shall be prepared and countersignedby all the parties.
