Standards for Suppliers

What are these?A Message From Our President and CEOThese Standards for Suppliers are the foundationof the Responsible Sourcing program operated byWal-Mart Stores, Inc., including its subsidiaries andaffiliates worldwide (“Walmart”).Valued Walmart Suppliers-Do these apply to me?The Standards apply to anyone that supplies productto Walmart for resale, as well as any agents they use(collectively, “Suppliers”). Suppliers are responsiblefor compliance with these Standards throughouttheir operations and throughout the entire productsupply chain. A signed supplier agreement,acceptance of a purchase order, and/or provisionof merchandise to Walmart constitutes acceptanceof these Standards and serves as the Supplier’scontinuing affirmation of compliance. Walmartreserves the right to audit or inspect Suppliers’books and records, and any facilities they use, at anytime.What happens if I don’t comply?Walmart expects Suppliers to adhere to theseStandards, and may impose consequences up to andincluding termination of business for those Supplierswho fail to comply.Sam Walton founded Walmart to bring quality, affordableproducts to people. He put the customer first, building a strongcompany with dedicated associates and deeply rooted valuesof service to the customer, respect for the individual, striving forexcellence and acting with integrity.This commitment to doing the right thing for the customer doesnot stop with our own operations. Walmart customers rightlyexpect that the products they purchase have been produced withthese same values in mind.Walmart’s thousands of suppliers source food, apparel, householdgoods and other merchandise from more than 100 countriesaround the world. Cascading our values throughout the entiresupply chain can have a tremendous impact: our customers getbetter-quality products, the people who grow and make what wesell receive the dignity and respect they deserve, and Walmart andWalmart suppliers earn and maintain customer trust.Walmart cannot do this alone. You as the supplier own therelationship with the facilities that produce the products we sell.We expect you and all facilities in your supply chain to embraceboth the words of and principles behind these Standards forSuppliers. We want to do business with suppliers that engagewith us, acknowledge where they are falling short, and own whatthey do with a sense of urgency and pride. We will do the same inreturn. Together we can make our supply chain more responsible,and lead and inspire others to make theirs more responsible, too.Thanks for all you do for Walmart and for our customers –

Be transparent Disclose supplier and product information,facilities, country of origin, and all otherapplicable information in compliance withWalmart policies posted at corporate.walmart.com/sourcing. Maintain your facility listing.Cooperate with Walmart Respond to inquiries and requests forinformation. Work with Walmart and any applicable industrybodies or audit programs to resolve issues. Make your facilities available for inspection. Designate a representative responsible forlegal compliance and compliance with theseStandards. Obtain and participate in required audits.Service tothe CustomerWe do our best to provide the greatest possiblelevel of service to our customers. We expect ourSuppliers to support us in this mission. Participate in industry and collaborativeinitiatives and complete requested orrequired training.Uphold and promote these Standards Do not produce merchandise in non-compliantor unauthorized facilities. Maintain records and documentation sufficient todemonstrate compliance with these Standards. Post language-appropriate, Walmart-approvedposters in facilities producing product forWalmart. Model and promote the values these Standardsrepresent throughout your chain. Distribute language-appropriate, Walmartapproved versions of these Standardsthroughout your supply chain.

Do not use involuntary or underage labor Exclude involuntary labor—including underage,forced, coerced, bonded, involuntary prison,exploited, trafficked or indentured labor—fromyour operations and supply chain. Be aware of indicators of involuntary labor andactively address them, particularly where yourworkforce includes vulnerable populations, suchas migrants, women and young people. Take steps to recruit responsibly, including bynot charging vulnerable workers recruitment orsimilar fees (or repaying any such fees charged),by providing migrant workers an understandableand accurate employment contract in their nativelanguage prior to departure from their homeRespect forthe IndividualWe have always emphasized the importance ofrespect for every associate, every customer andevery member of the community. We likewiseexpect our Suppliers to respect the dignity of thepeople who grow and make the products we sell.country, and by holding your agents and anylabor brokers and recruiters you use to the samestandards. Allow workers freedom of movement—do notkeep workers’ personal identity documentsor other valuable possessions, do not controlworkers’ freedom of movement by virtue ofdebts owed to you, brokers, or other third partiesthat cannot be reasonably repaid, and allowworkers to terminate employment onreasonable notice. Comply with all applicable laws, regulations,agreements and industry requirements relatingto the employment of young workers.Maintain a fair process for making employment decisions Implement processes and procedures to helpworkers understand the terms and conditions ofemployment prior to employment. Refrain from corporal punishment, harassment,threatening behavior and abuse, including whenimposing discipline. Verify worker eligibility prior to employment. Provide a mechanism for workers to reportconcerns to management, to you, to thegovernment, to appropriate third parties and toWalmart without fear of reprisal. Make all employment decisions (including hiring,termination, promotion, and discipline) based onability and willingness to do the job.

Comply with all applicable laws and agreements regardingcompensation and working hours Provide compensation, benefits, workinghours, breaks, rest days, holidays and leavethat comply with legal requirements andapplicable agreements. Help workers understandthese terms. Do not make illegal or excessive wagedeductions, withhold wages, delay wagepayments, or pay wages irregularly.Recognize freedom of association and collective bargaining Respect the rights of workers to join, form orassist a trade union, or refrain from doing so, inaccordance with applicable law and practice.Provide a safe work environmentRespect forthe IndividualWe have always emphasized the importance ofrespect for every associate, every customer andevery member of the community. We likewiseexpect our Suppliers to respect the dignity of thepeople who grow and make the products we sell. Cultivate a safe, clean and healthy workenvironment as appropriate for your industry,geography and workforce. Provide access to clean and sanitary facilities,water, and—as appropriate—dormitoriesand food. Implement procedures and safeguards to preventaccidents and injuries to workers, includingproper maintenance, established monitoringand inspection routines, worker training andprotection, fire safety measures and restrictionson hazardous work for young workers.

Know your risks and take steps to address them Know and visit the facilities in your supply chainand monitor their performance. Assess and understand your risks, includingthose relating to your industry, geography andworkforce. Adopt a management system and implementtraining appropriate for your industry, geographyand workforce. Remediate non-compliances and mitigate risks;where applicable, work with your chosen thirdparty audit program to receive training, buildcapacity, mitigate risks and remediate. Continuously improve. Monitor your compliance with these Standards,acknowledge where gaps exist and report yourprogress.Comply with the lawStrive forExcellenceWalmart is always looking for ways to improve.We expect our Suppliers to do the same. Understand and comply with all applicable laws,regulations and agreements, including thoserelated to labor, employment, immigration,health, safety, trade and the environment.Comply with Walmart policy Comply with all applicable policies postedat corporate.walmart.com/policies andcorporate.walmart.com/sourcing. Maintain and comply with licenses and permitsas required and appropriate for your industry,geography and facility.

Be honest Be upfront in your dealings with Walmart,auditors and audit programs, and otherthird parties.Act ethically Do not offer gifts or entertainment to Walmart,auditors, or other third parties. Decline to enter into transactions that create aconflict of interest.ReportAct with IntegrityValues of honesty, fairness and objectivity guideour actions. These values should guide ourSuppliers’ actions, too. Report conduct that violates the law or theseStandards or undermines the integrity of theWalmart Responsible Sourcing program so thatwe can address it together. Renounce bribery, corruption, and unethicalpractices in all forms and in all dealings.
