01A Letter from our CEOFrom day one, Zuora has been committedto making a positive impact on the worldby moving people and companies fromownership to usership.Why? Because we believe usership creates happiercustomers, stronger businesses, and betterinnovations. But more than that, our vision of aWorld Subscribed is a place where subscriptionsand recurring revenue models provide broaderaccess to goods and services, increase inclusionand equity, and prioritize sustainability.These principles are deeply ingrained in our valuesand today, serve as the foundation for our workaround environmental, social and governance (ESG)programs. To formalize this commitment, last yearwe created an ESG cross-functional leadershipteam, completed our first-ever materialityassessment, and conducted an analysis of ourcarbon footprint for Scope 1, 2, and 3 emissionsusing the Greenhouse Gas Protocol. We then usedthis data to build our current ESG strategy withseven priority topics including climate change,diversity and inclusion, and corporate governance.We recognize that every company must do their partto tackle climate change and are proud to be carbonneutral as of fiscal year 2022. We have both takensteps to reduce our footprint and have purchasedhigh-quality carbon offsets to mitigate theenvironmental impact of our remaining emissions.We also know that building The World Subscribed demands a diverse and inclusive workplace, whichis why we launched a stand-alone DE&I functionin 2020 with a goal of having 50% of our ZEOs selfidentify as members of underrepresented groups.We’re focused on building an inclusive community,culture, company, and experiences that everyonewants to subscribe to.Additionally, this community cannot be fosteredwithout ethical business practices, which are thebackbone of our company. We adopted policies thatensure we conduct business in an ethical, legal, andsocially responsible manner and we will continue toevolve these practices as our business grows.This is our first report and it shares our unwaveringcommitment to environmental, social andgovernance issues. We’ve made significant progress,but our work is certainly not done. 02Our ApproachAt Zuora, we strive to make a positive impacton the world and to empower others to dothe same. The programs described in thisreport cover our commitment to advancinginitiatives across Environmental, Social, andGovernance (ESG) topics.This report focuses on: our corporate governancepractices; diversity, equity, and inclusion efforts;fostering growth at Zuora; how we’re investing inour local communities; supporting a sustainablefuture; and our efforts in building trust with ourcustomers.This is our inaugural ESG report, which looksback over several years on the ESG efforts we haveput in place. It serves as a starting point for ourstakeholders. We fully expect this report to evolveover time as we progress on our ESG journey andwe welcome all of our stakeholders’ feedback.As the first steps in our journey ahead,we have done the following: Established an ESG cross-functional team coled by our Head of Investor Relations andour Director of Social Impact to builda long-term strategy in alignment withour Board of Directors. Partnered with Watershed, a climate technologyplatform, to measure our carbon footprintacross Scope 1, 2, and 3 emissions, which setsa baseline to help us reduce our greenhousegas (GHG) impact moving forward. Partnered with Nasdaq’s ESG Advisory Servicesto conduct a materiality assessment identifyinghigh priority topics critical for Zuora’s longterm success and societal impact. Our 2022materiality matrix highlights 15 key ESG topics,7 of which were identified by internal andexternal stakeholders as priority for this year. Aligned our ESG strategy pillars to our highpriority topics and made a plan to conduct ahigh-level review annually and an in-depthmateriality assessment every few years toevolve with our business strategy.2

03Expanding Diversity& InclusionWe seek out and embrace people ofall backgrounds, perspectives, andexperiences to enrich Zuora’s culture.Building The World Subscribed demands adiverse and inclusive workplace – it helps us betterunderstand our customers and allows us to innovateacross all areas of the business. This is why weencourage our employees, whom we call ZEOs,to bring their authentic selves to work each day.Our different lived experiences, perspectives,and contributions matter.In September 2018, we set a bold goal of having50% of our ZEOs identify as members ofunderrepresented groups*. As of the end of fiscalyear 2022, we reached 41%. We are proud of theprogress we have made with increasing not onlyour overall ZEO workforce diversity, but our focuson diversity in leadership.43% of our leadership (Director and above), 60%of our executive team and 56% of our Board ofDirectors identified as underrepresented as of theend of fiscal year 2022. We will continue to worktowards our 50% goal at all levels of the company.In November 2020, we also welcomed our firstChief Diversity Officer, Valerie Jackson. Reportingdirectly to our CEO, Valerie is responsible for Zuora’sdiversity and inclusion strategy and initiativesacross our global workforce. We knowthat in order to do this, we must be diligent in ourefforts to create a workplace and culture whereevery ZEO at every level feels valued, included, andinspired to innovate and collaborate authentically.The centerpiece of our efforts to accomplish thisis ONE ZUORA, our framework and strategic plandesigned to inspire innovation through inclusion.Launched in April 2021, the mission of ONE ZUORAis to build an inclusive culture, company, andexperience that everyone wants to subscribe to.We enact this mission through our three strategicpillars: Be: The ZEO Experience, Build: Zuora’sInfrastructure, and Share: Zuora in the World.Diversity is about all of the amazing people andperspectives we bring into Zuora, across theglobe and down the street. It also means equalopportunity for everyone who’s sitting aroundthe table, who’s being recruited, and who’s beingpromoted. Inclusion is the lens through whichwe strive to view and build our processes, culture,and experiences for our ZEOs, customers andpartners. Our commitment to developing a diverse,thriving workforce and inclusive ZEO culturebegins at the top with our most senior leadership.In order to attract and retain key talent, we providemarket-competitive total compensation and benefitpackages and routinely review gender pay equitypractices. Building an inclusive, highperforming ZEO CultureOur customized programs are one way we bring ourdiversity and inclusion efforts to life, within Zuoraand beyond. Below are some examples of how ZEOscome together to help drive positive change.Zuora Black Network (Founded in 2019):Employee Resource GroupsOZ - Out at Zuora (Founded in 2019):Employee Resource Groups (ERGs) are part of thevibrant expressions of our inclusive ZEO culture.We currently have six ERGs:Educating ZEOs on Black perspectives andexperiences, while engaging our communitiesand focusing on career development.Raising awareness about LGBTQIA causes,celebrating identities, and creating a thrivingculture at Zuora for all people.Z-Women (Founded in 2015):Zuora Familia (Founded in 2019):Creating a safe space to promote cultural diversityand empower our Latinx communities in andoutside of Zuora.Z-Veterans (Founded in 2018):ZAAPI - Zuora Asian Americansand Pacific Islanders (Founded in 2021):Strengthening and amplifying women’s voicesas we support one another to achieve our careergoals and build pathways to leadership.Making Zuora a great place to work for militaryveterans, reservists, and military family membersby providing support, resources, and recognitionto all members.Providing opportunities for networking, careerdevelopment, cultural awareness, and supportfor our AAPI ZEOs, community, and allies.12

Our ERGs have thoughtfully planned and executedZEO events across the globe. Highlights in 2021(FY 2022) include: Our Z-Women book club, with moderatedconversations for professional growth anddevelopment. A conversation and volunteer event withINTech Camp for Girls, sponsored by ZuoraBlack Network, exploring how we support andincrease representation for girls and womenin technology. An exploration of the intersection of anti-translegislation and sports during Pride month withOut at Zuora ahead of the 2021 Olympic games. Heritage month celebrations led by ZuoraFamilia and Zuora Asian Americans andPacific Islanders. A collaboration between Out at Zuora andZ-Veterans to recognize National Coming OutDay by hosting an openly gay servicememberfor conversation on the 10th anniversary ofthe repeal of “Don’t Ask, Don’t Tell.”In 2021, Zuora was also a corporate sponsor ofthe “Lesbians Who Tech (Not IRL) Pride Summit2021” and “Women Transforming Technology(WT2).” We believe in being influential and activeat the intersection of the tireless efforts of our ERGsand industry. Zuora will continue to explore newpartnerships and opportunities that strengthenthe work of our ERGs.HeForShe ProgramHeForShe is a sponsorship and mentorshipcampaign started by United Nations Women thatpromotes the engagement of men and boys asactive allies toward ending gender inequality. TheGlobal Services organization at Zuora initiated theHeForShe program internally in 2018, with maleidentifying people leaders being paired as sponsorswith female-identifying individual contributors.Together, they determine their meeting cadenceand identify career goals and plans to achieve them.Participants report that this program helped themto build key relationships, increased their internalvisibility and access to new projects in otherbusiness units in areas of interest, and improvedtheir overall experience at Zuora. HeForShe hassince expanded from Zuora’s Global Servicesorganization to the Product and Engineeringorganization, with the inaugural cohort launchedin September 2021.Parental LeaveWe want our ZEOs to have the flexibility andsupport to balance the needs of their growingfamilies without worrying about work or finances.New parents, regardless of gender or location, areable to take up to 6 months of fully paid parentalleave within the first year of the arrival of theirnew family member. Our ZEOs are empoweredto determine the leave schedule that works bestfor them and their family (i.e. return part-time,full-time, or return and go back out as needed). Wehave also enhanced our parental support programto include resources such as birth preparation,newborn care, infant sleep, breastfeeding, andhow to successfully transition back to work.Employee Relief Fund Supportingour ZEOs in times of need is a toppriority at Zuora. We have recently partnered withE4E Relief to create an Employee Relief Fund to helpZEOs cope with unexpected hardships that placeundue financial stress on them and their families.Our ZEO Relief Fund provides ZEOs with grants ofup to US 10,000 for both catastrophic disastersand personal hardships.13

04Promoting Growthand DevelopmentOpportunities to engage withManagement and Share FeedbackZuora fosters multiple events, including All-Hands,Town Halls, ZEO Community Conversations, andZ-Brief Conversations, for our employees to haveopen, ongoing conversations across teams and withsenior leaders. These are opportunities to discusscontinuous periodic feedback to help improve ourworkplace and culture, learn new topics, developempathy and active listening, and demonstrateallyship and community with colleagues and peers.We also utilize feedback from listening sessions, adhoc surveys and bi-annual employee engagementsurveys using a third party tool to continuouslyunderstand how ZEOs are feeling. The ultimategoal is to strengthen and improve our ZEOexperience and the organization.ZEO Learning &Development ProgramsZuora supports our ZEOs growth both formally aswell as in day-to-day acknowledgment of learningand development that occurs on a continuous basis.Programs and initiatives that help fosterthis include:Z-Grow: ZEOs and their people leaders engagein conversations on a quarterly basis centeredaround three habits: feedback, accountability, anddevelopment. These on-going conversations providea regular opportunity to check-in, share learningand support needs, and exchange meaningfulfeedback.New Hire Onboarding: Cross-functional teamswork together to ensure a warm welcome for ournew ZEOs and ensure they get off on the rightfoot with maximum support and celebration fromtheir people leader, peers, and through frictionlessexperiences that help us prepare for and equip newZEOs with what they need to be successful.Learning Resources: Zuora provides a variety ofresources, such as LinkedIn Learning, to help ZEOsexpand their knowledge base and learn about newareas of interest. We also allocate a certain amountof “Career Cash” annually (today this equates toapproximately 1,000 USD) that ZEOs can use tosupport specific learning and development offeringsthat align with their growth at Zuora.Leader Enablement: Through training programs,resources, communications, and other enablementefforts, people leaders are supported in their criticalrole to help ZEOs thrive and grow at Zuora. As anexample, our new-to-role and new-to-companyZ-Leader Essentials program covers multiple topicsdesigned to provide clarity and expectations aroundthe critical and multi-faceted role of a people leaderat Zuora. Approximately 28% of people leaders havecompleted the program since its launch in 2021.Z-Leadership: A framework of competencies andbehaviors that serve as a foundational force to growand guide leaders at all levels.Career Discussions & Internal Mobility: ZEOs areencouraged to speak with their leaders about theircareer goals, co-develop learning and developmentplans to support their goals, and to proactivelylook for internal opportunities that will aid in theircareer objectives using support tools and resources,including our career paths tool.14

05Supporting Our CommunitiesWe believe businesses can and should be aforce for good. Zuora’s success is directlylinked to our communities.GrantmakingOur business thrives when our communities arealso thriving. Social impact is a key part of ourculture, business, and long-term success. That’s whywe took the 1% Pledge in 2017 and committed ourtime and equity to giving back. This commitmenthas grown into a strategic program supported byour philanthropic fund, The Zuora For Good ImpactFund.In fiscal year 2021, we directed over US 270,000to causes working to cultivate the next generationof tech talent from communities that have beenhistorically overlooked. We supported Climb Hire,Dev/Mission, and Upwardly Global, which arefocused on training untapped talent for careers intechnology and other industries with the goal ofeliminating barriers to entry and building wealthand prosperity in local, diverse communities.In 2019, we launched Zuora.org, which is part ofour company and not a separate entity, to helpindividuals, as well as businesses, benefit fromthe Subscription Economy . We want not onlyour customers, but also those in the communitieswhere we’re located to be able to access, participatein, and benefit from this new economy. To date, wehave contributed US 3 million worth of our ClassA common stock to Zuora.org, which is a donoradvised fund through the Tides Foundation. Thisfunding allows us to make grants to causes in ourcommunities around the world and support ourZEO giving and volunteering programs.In both 2020 and 2021, Zuora was named a TopCorporate Philanthropist by the San FranciscoBusiness Times. We are honored to make this list,which features companies from around the Bay Areathat give substantial amounts to local nonprofits.Grantmaking in FY21We also launched a one-time Community ImpactGrant Program, granting US 254,500 to 10 causesthat: provided immediate and emergency reliefto those most negatively impacted by COVID-19;and/or needed to shift their delivery models tocontinue serving their clients in the new virtualworld sparked by the pandemic. Emergency reliefincluded food distribution, rent relief, affordablehousing placement, and direct cash assistance.And for organizations needing to shift theirbusiness models, these pivots allowed them tomore effectively and safely reach their constituentsvirtually or through socially distanced deliverymodels. The grants were evaluated and selectedby a group of 10 ZEOs from around the world.2020 and 2021 challenged us all in new ways:with a global pandemic, social and racial tensions,and various natural disasters. Old traditionswere challenged and new systems were born. Inresponse, we issued over US 208,000 in emergencyresponse grants to organizations on the front linesof these issues.15

Grantmaking in FY22In fiscal year 2022, we formalized our philanthropicfocus and directed over US 1 million to supportorganizations in our focus areas. Zuora.org iscommitted to building inclusive economies andincreasing access to critical products and servicesfor underserved communities around the world.We invest in programs that support impact-drivenentrepreneurs, build a more sustainable future,create economic opportunities for youth, andstrengthen our local communities. We empowerZEOs to become changemakers and utilize theirpassion and expertise to help drive our socialimpact agenda forward.Sustainability SubscribedFighting climate change and preserving theplanet through the Subscription Economy In fiscal year 2022, we formed a partnership withVillage Capital, which is the most active supporterof impact-driven, seed-stage entrepreneurs inthe world. For more than a decade, Village Capitalhas been reinventing the system to back theentrepreneurs of the future and address the gapsthat currently exist in the innovation economy: Less than 30% of global VC funding goesoutside three US major tech hubs (CA, NY, MA) Less than 14% of VC funding goes to startupsled by mixed-gender teams Less than 3% of VC funding goes to startupsled by Black or Latinx teams Impact investing only makes up 2% of globalassets under managementVillage Capital’s focus on supporting foundersfrom underrepresented backgrounds withlived experiences coupled with their uniquepeer-selected investment process is bringingmore people and perspectives into the globalengine of entrepreneurship. Simultaneously,entrepreneurship has become a critical toolfor solving the climate crisis.In recent years, startups from across the countryhave been finding new and innovative ways totackle climate change and preserve our planet.Many of these startups are part of the SubscriptionEconomy and are leveraging customer-focusedrecurring revenue business models that helpdemocratize access to climate-related solutions.In fiscal year 2022, we granted Village Capital US 409,000 to launch Sustainability Subscribed, aprogram that will support startups from across thecountry who are focused on four interconnectedsectors that contribute substantially to climatechange: Agriculture & Food Systems, Energy,Transportation, or Housing and Buildings,and are working on solutions focused on: Reducing greenhouse gas emissions Expanding access to clean energy Enhancing the resilience and sustainabilityof food and water systems Bolstering a circular economy through thereduction of waste and regeneration ofmaterials Providing analytical insights used to acceleratesustainability and mitigate climate changeThe selected startups will go through an intensive4-month accelerator program that is laser-focusedon investment-readiness. At the end of theprogram, the entrepreneurs will assess each other’scompanies in an open and transparent process andthe two startups ranked highest by their peers willreceive grant funding from Zuora. Our ZEOs areinvolved as Advisory Board members, mentors,and workshop leaders.16

Youth Economic OpportunityAt Zuora, we believe that all young peopledeserve equal access to education and economicopportunity - no matter their background, income,or zip code. Employers around the world arefacing a growing need for talent, while millionsof youth are disconnected from the economicmainstream. In 2021, we launched a partnershipwith the Network for Teaching Entrepreneurship(NFTE) and continued our partnerships with Dev/Mission and Climb Hire to help equip young peoplefrom underserved communities with the skillsand experiences they need to succeed in today’seconomy, while ensuring that companies haveaccess to the workforce they need to compete acrossthe globe. Network for Teaching Entrepreneurship (NFTE)NFTE’s mission is to activate theentrepreneurial mindset and build startup skills in youth from under-resourcedcommunities across the globe. Over the courseof the school year, students come up with anoriginal business idea, build a business plan,and participate in various ‘pitch’ challengeswhere they compete for seed funding to launchtheir business or support their future education.We granted NFTE US 125,000 to support theirwork across the globe. ZEOs will mentor NFTEstudents and help them refine their businessplans, serve as judges during various local,regional, national, and global challenges, andwe will work with NFTE to develop curriculumaround the Subscription Economy . Dev/Mission & Climb HireIn 2021, we continued our partnerships withClimb Hire and Dev/Mission to connect themost overlooked populations to careers intechnology. In addition to providing eachorganization with a US 75,000 grant, ouremployees are engaged as mentors, workshopleaders, and coaches. We were also able tohire ⅓ of our engineering interns from thetwo organizations.17

ZEO Giving & VolunteeringStrengthening our Local Communities &Empowering ZEOs to Become ChangemakersZEOs are empowered to give their time, money,and skills to organizations they care about. Theyalso help us identify local organizations in ourcommunities around the world that are solvingsome of today’s most pressing issues.Kiva Lending ProgramIn June of 2021, we launched our first-ever Kivacampaign and made history as Kiva’s secondmost successful campaign of all-time and theirmost successful campaign of the year. Kiva isa global nonprofit that crowdfunds loans frompeople around the world to support thousandsof microbusinesses and individuals. During thecampaign, all full-time ZEOs were given a US 50credit to lend to a borrower on Kiva’s platform. Over85% of ZEOs across the world used these funds tosupport all types of businesses, from farmers andtailors to barbers and engineers. Some of our loanseven went to support families in need of extra fundsfor school or medical care. In November of 2021,we extended the Kiva Campaign to our customersto recognize the work that they are doing to createthe World Subscribed . We provided them with aUS 250 credit to lend to borrowers of their choiceand over 200 customers participated. Matching Gifts & Dollars for DoersZ-Philanthropy ProgramIn June 2021, Zuora launched a global MatchingGifts program to further empower our ZEOs togive their time, money, and skills to the charitablecauses they care about most. Zuora matches upto US 1,000 per employee per year for charitabledonations, volunteer time, or a combination ofthe two. We are happy to report that in fiscal year2022, our ZEOs donated over US 95,000 and Zuoramatched over US 91,000, directing a total of overUS 186,000 to nonprofits across the globe. Inaddition, our ZEOs volunteered over 2,400 hoursof their time with mission-aligned nonprofits.Our Z-Philanthropy program is powered bypassionate ZEOs from around the world who helpfoster strong relationships between Zuora and ourlocal communities. Z-Philanthropy teams partnerwith local nonprofits to make a positive social andenvironmental impact through leading volunteeringand fundraising initiatives for their particularlocation. We currently have 25 Z-PhilanthropyLeaders and 13 chapters across the world.Employee Grant ProgramIn addition to supporting our ZEOs’ passions arounddonating and volunteering, they also have theopportunity to nominate organizations for grantsof up to US 10,000 each year and in 2021, wegranted US 200,000 to 23 organizations fromaround the world. We supported a wide array ofprograms, ranging from workforce developmentto hunger relief to health equity, and so much more.Global Week/Month of GivingIn 2020, we launched our first annual Global Weekof Service which featured 15 different volunteeringand fundraising events across the globe.
